You warrant that Sample Clauses
You warrant that. (a) You will comply with all applicable laws, statutes and regulations in force from time to time which relate to Modern Slavery;
(b) You will take reasonable steps to ensure that there is no Modern Slavery in Your supply chains or in Your sub-contractor’s supply chains;
(c) You will implement and maintain appropriate due diligence procedures for Your own suppliers and sub-contractors to ensure that there is no Modern Slavery in Your supply chains;
(d) You will notify Us as soon as You become aware of any actual law suspected Modern Slavery in a supply chain which has a connection with the Services or the Goods; and
(e) You will maintain a complete set of records to trace the supply chain of all Goods and Services provided to Us in connection with these Conditions.
(f) You agree to cooperate with any on-site audits or other verifications by us, or a third party designee to monitor compliance with this provision. You agree that failure to comply with this clause 18.2 shall be a basis for terminating this Contract.
You warrant that. 6.2.1 you have full authority and capacity and all necessary permissions, licences and consents to provide the Listing and any Charter on the Site;
6.2.2 if you provide any information about individuals who may assist in providing the Charter (for example, crew):
(a) you have each individuals' specific and informed consent to provide their personal data for Listings and any Charters on the Site; and
(b) you will immediately remove such personal data from any Listings, Charters and the Site if that individual withdraws their consent at any time;
6.2.3 the Listing and any Charter will not breach any agreements you have in place with any third parties; and
6.2.4 the Listing is and the Charter will be provided in accordance with all applicable laws, orders, regulations and other instruments.
You warrant that. 8.1.1 the goods will be free from defects in design, performance, workmanship and makeup, and will conform with this contract (including clause 6); and
8.1.2 the services and the results of the services will be in conformity with this contract (including clause 7), of high quality and workmanship and otherwise satisfactory, for the warranty period.
You warrant that. (a) the contents of each order placed by you or on your behalf with King Living for the purchase of Products, are true, accurate and correct at the time of completion; and
(b) where you apply for a trade discount with King Living through submission of an application form or similar document, all responses provided are true, accurate and correct at the time of completion; and
(c) you have correctly nominated the type of location (whether it be commercial or retail) into which the Products are being delivered and the purpose of usage of the Products by your End-Customer.
You warrant that. ▪ You will only transmit eligible items. ▪ You will not transmit duplicate items. ▪ You will not re‐deposit or re‐present the original item. ▪ All information you provide to the Bank is accurate and true. ▪ You will comply with this Agreement and all applicable rules, laws, and regulations. ▪ You are not aware of any factor which may impair the collectability of the item. ▪ You are responsible for entering the amount of the check correctly and will not hold the bank liable for any loss due to customer error. ▪ You agree to indemnify and hold harmless Interaudi Bank from any loss for breach of this warranty provision.
You warrant that. (a) Any person signing for and, on your behalf, including without limitation any booking intermediary where applicable, has the authority to do so;
(b) You shall comply with, and procure that the Attendees comply with all Relevant Laws.
(c) You have not received any payment or inducement in respect of this Booking.
(d) You will obtain The Hotel’s prior consent before bringing or assembling any equipment (electrical, presentational or otherwise) at the Venue and that any electrical equipment is PAT tested and certificated (and complies with all Relevant Laws)
(e) You and/or all Third-Party Providers shall comply with all requirements of the Performing Rights Society (if appropriate) and that you and/ or any Third Party Provider has public liability insurance to the value of at least £2 million to cover any death of or inquiry to any person or the loss of or damage to any property resulting from their malfunction of your and/ or the Third Party Provider’s equipment and your and /or their actions generally; and
(f) You will comply with all reasonable requests of The Hotel which in their absolute discretion relate to The Hotel and/ or the Venue’s compliance with Relevant Laws.
You warrant that. (a) You have the authority to enter into this Agreement;
(b) You will comply with any legal and regulatory requirements applicable to the Services provided under this Agreement;
You warrant that. (a) Prior to the placement of any order, You have made Your own independent enquiries and satisfied itself as to the size, design, capacity, quality and fitness for purpose of the Products, and to the extent permitted by law, You are not relying on any warranty, promise, representation or inducement in relation to the Products or to enter into this Agreement, either expressly or implied by given by Us.
(b) You purchased the Products from Us for the purposes of resupplying them, or using them up, or transforming them in trade or commerce, in the course of a process of production or manufacture, or repairing or treating other goods of fixtures on land.
You warrant that. (a) This Agreement is valid, binding and enforceable on you in accordance with its terms except to the extent that effect may be given to the law of another jurisdiction , insofar as, under the law of that jurisdiction, the law is mandatory irrespective of the governing law of this Agreement.
(b) Neither you, nor any of your subsidiaries has taken any corporate action or any other step nor have any legal proceedings been threatened or served for the winding-up administration, receivership, administrative receivership or other insolvency or recovery process.
(c) You are not in breach or default under any agreement to which you are a party or which may affect you or any of your assets to an extent or in a manner which would reasonably be expected to have a material adverse effect on the business or financial condition of you and your subsidiaries, taken as a whole.
(d) All financial statements delivered to us unless otherwise expressly stated otherwise have been prepared in accordance with generally accepted accounting principles in Singapore consistently applied and such financial statements fairly present in all material respects your financial condition at the date as of which they were prepared and the result of your operations for the period to which they relate.
(e) All information provided by you is true complete, accurate and up to date in all material respects and you are not aware of any material facts or circumstances that have not been disclosed to us which if disclosed might adversely affect our willingness to enter into this Agreement or accept any person to be a guarantor or indemnifier of your obligations and liabilities.
You warrant that. 2.1.1 by virtue of entering into this Agreement you will not be in breach of any express or implied terms of any contract, court order or any other obligation to any third party binding upon you;
2.1.2 you have not made any material misrepresentations or omissions to the Company in respect of your previous employment, qualifications or generally;
2.1.3 you are not prevented, restricted or disqualified from holding the office of director or secretary to any company, including, for the avoidance of doubt, the Board or the board of any Group Company;
2.1.4 you are entitled to work and reside in Ireland without any additional approvals and/or permits and you will notify the Company immediately if you cease to be so entitled at any time during your employment with the Company; and
2.1.5 you will not without the written consent of the Company work for anyone else while in the employment of the Company.
