YOUR CONFIRMATIONS. 3.1 In entering into the Private Client Terms, we have not made and you are not relying upon any statement, representation, promise or undertaking that is not contained herein. You confirm that you have relied on your own independent advice in entering into the Private Client Terms. You further acknowledge and agree that agreements and arrangements concerning Cash, Investments and/or other assets involve an element of risk and you may incur a loss of some or all of your Cash, Investments and/or other assets. 3.2 Unless we agree otherwise in writing, you confirm that you are acting as a principal (i.e. for your own account and not as agent for anyone else) in our relationship with you and, accordingly, you agree that you will be liable as principal for all obligations and transactions under the Private Client Terms. 3.3 In entering into the Private Client Terms and each transaction with us and in respect of each transaction we enter into for you under the Private Client Terms, you have obtained and made, and you will maintain in effect, all necessary authorisations, consents or approvals, exemptions, licences, notifications and filings and you will comply with their terms and with all applicable laws, rules and regulations. 3.4 You confirm that you have full capacity and authority to enter into the Private Client Terms and each transaction contemplated under them with respect to the particular service that we provide to you. The Private Client Terms and each such transaction under the Private Client Terms are your valid and legally binding obligations, enforceable against you in accordance with their terms except for the effect of bankruptcy, insolvency, reorganisation, moratorium and laws relating to or affecting creditors’ rights and to general equitable principles. Where you are acting as legal representative on behalf of a minor or any other incapable person you confirm that you will personally indemnify us on a full indemnity basis in respect of any Liability arising to the extent that it arises out of the fact that you do not, actually, have appropriate legal authority. 3.5 You confirm that your execution, delivery and performance of the Private Client Terms and each transaction does not and will not violate, contravene, conflict with or constitute a default under any provision of your constitutional documents or any law, regulation, rule, decree, order, judgement or charge, contract, agreement, trust deed or other instrument that is binding on you or...
YOUR CONFIRMATIONS. 2.1 By accepting the Offer, you confirm to us that: 2.1.1 the information you submitted to us (including financial details) in support of your application for grant funding for the Project was and remains true and accurate and you are not subject to any insolvency proceedings or are at risk of being placed in insolvency proceedings; 2.1.2 you have the capacity to and authority to enter into the Agreement; 2.1.3 you will comply with and/or discharge your obligations under the Agreement; 2.1.4 you have provided us with full details of all offers of any Subsidy which you have received or accepted from any public sector body (including SOSE) over the last 3 calendar years; 2.1.5 you hold and will maintain all necessary consents, licences, permits and/or authorisations required to carry out the Project and your obligations under the Agreement; 2.1.6 you will use and where relevant ensure the use of, the Grant only in relation to the Project and in accordance with your application for grant funding; 2.1.7 you own or have the right to use any and all rights in and to any IPR required to enable you to carry out the Project; 2.1.8 you will own or have the right to use all IPR generated by you or by any third party (including subcontractors or consultants) engaged to work on the Project and you will take all steps necessary to protect this IPR 2.1.9 any assets which will be wholly or partly funded by the Grant are and will continue to be free from liens, claims, taxes and encumbrances of any kind and nature; 2.1.10 you are not in receipt of any financial assistance or Subsidy that has been granted in breach of any applicable statutory provisions or regulations or any decisions adopted by any Regulatory Body; and 2.1.11 you are not subject to any outstanding recovery order or other proceeding in respect of any Subsidy. 2.2 You must also meet any conditions set out in the Offer where they are to be satisfied before any Grant is paid.
YOUR CONFIRMATIONS. You confirm to us, and acknowledge that we are relying on these confirmations, that: (a) your obligations under this Agreement are legal, valid, binding and enforceable obligations; (b) you have all necessary Authorisations to provide the Services, including, where applicable, an operator’s licence (within the meaning of section 2(9) of the Road Traffic and Transport Act 2006); (c) the entry into and performance by you of, and the transactions contemplated by, this Agreement do not and will not conflict with any law or regulation applicable to you or any agreement or instrument binding upon you or any of your assets; (d) you have the power to enter into, perform and deliver, and have taken all necessary action to authorise your entry into, performance and delivery of, this Agreement and the transactions contemplated by this Agreement; and (e) any factual information which has been provided to us by you or on your behalf was, or will be, true and accurate in all material respects at the date it was, or is, provided or as at the date (if any) at which it is stated.
