Your Representation. You hereby represent and warrant that you are an experienced senior executive knowledgeable about the matters (and their effect) within the purview of this Agreement and are not under any contractual or legal restraint that prevents or prohibits you from entering into this Agreement or performing the duties and obligations described in this Agreement.
Your Representation. You represent and warrant to us that:
(a) you have obtained all authorisations and have done all things necessary in order to enter into the Agreement and to perform your obligations under the Agreement;
(b) you are not aware of anything which will, or might be reasonably expected to, prevent or impair you from performing your obligations under the Agreement, in the manner and at the times contemplated by these Terms and Conditions; and
(c) you have not relied on any representation made by us which has not been expressly stated in these Terms and Conditions and, without limitation, you acknowledge that we have not represented to you that by entering into the Agreement, or by receiving the Services from us, you, your Premises and/or your other property shall be safe from unlawful entry, loss, damage or injury.
Your Representation. You agree, and hereby represent and warrant, that: • You are at least 18 years of age Our Property may request a copy of applicable government identification to provide your identity. • You have the authority to enter into and perform according to this Agreement. • If You are carrying on a business, You hold all necessary licences and authorisations to do so. • The information You provide pursuant to this Agreement is complete and correct as to the best of Your knowledge. • You shall fulfil the obligations of the Services. • Your use of Our Property’s Collection Services as well as Your Transactions must comply with the laws and regulations applicable to You and Your business.
Your Representation. You represent and in making the sale of the Warrant contemplated hereby to you it is specifically understood and agreed that you are acquiring such Warrant and the shares acquired upon exercise thereof for your own account for the purpose of investment and not with a view to or for sale in connection with any distribution thereof. You further represent and it is specifically understood and agreed that you are acquiring such Warrant and the shares acquired upon exercise thereof for investment for your own account with the intention of holding such Warrant or securities for investment and without the intent of participating directly or indirectly in a distribution thereof. You further represent that you are an "accredited investor" as defined in Rule 501(a) of Regulation D under the Securities Act, that you are able to bear the economic risk of the investment represented by the Warrant and the Warrant Stock and have had the opportunity to meet with and ask questions of representatives of the Company.
Your Representation. 5.1 Availing Internet Banking services requires a certain degree of sophistication on Your part in understanding Information Technology. By signing this agreement, You represent to the Bank that You have the necessary and expedient sophistication to avail Internet Banking services.
5.2 You represent to the Bank that You understand different tricks of Identity thieves such as (i) Hacking (ii)Dumpster diving (iii)Phishing (iv)Pretexting (v) Skimming (vi)Plain stealing etc., and You further represent that You would guard Your identity in general and with particular reference to Internet Banking, namely User-Id, Passwords, PIN, Account numbers and such other customer authentication and verification codes issued to or generated by You, from Identity thieves.
5.3 You represent that You would not hold the Bank responsible if You incur loss due to Your Identity theft attributable to Your lack of diligence.
5.4 Further by signing this agreement, You represent to the Bank that Bank is not required to satisfy itself by enquiry that You have necessary sophistication and the Bank is entitled to assume that You have the sophistication.
5.5 You represent that You understand the difference between different options such as viewing options and transaction options and consequence of exercise of those options over Internet and You would not blame the Bank for any loss, if Your choice of options turns out to be wrong.
Your Representation. This Agreement is made with you in reliance upon your representation to the Company (which, by your acceptance hereof, you confirm) that you are acquiring the Series A Preferred Shares for your own account for the purpose of investment and not with a view to, or for sale in connection with, the distribution thereof nor with any present intention of distributing or selling such Series A Preferred Shares.
Your Representation. Your Representation. You acknowledge, covenant, represent, and warrant that (i) you have the full authority to enter into this Agreement; (ii) you entering into this Agreement does not violate or conflict with any other agreements or obligations to any third parties; (ii) you, any services you provide, and your Certification and Promotional Activities comply with all applicable international, federal, state and local laws, rules and regulations; (iv) you shall make an accurate representation and statement of XXXXXX Fitness’ policies to all present, future and potential clients and/or customers; and, (v) you have not engaged in and will not engage in any activity, commitment, or agreement inconsistent with or in derogation of the rights granted in this Agreement.
Your Representation. You hereby represent and warrant to the Company that the execution and delivery by you of this Agreement to the Company and your performance of your obligations hereunder will not breach the terms of any contract, agreement or understanding to which you are a party, including any covenant not to compete against any prior employer, and you acknowledge and agree that a breach of this representation by you shall render this Agreement void ab initio and without force and effect.
Your Representation. You represent and warrant to us that you have not relied on any representation, undertaking or statement made by us which has not been expressly stated in this Agreement; and, without limitation you acknowledge that we have not represented to you that by entering into this Agreement, or by receiving the Services from us, that we will be able to prevent all or any unauthorised entry, or loss, damage or injury to you, your Premises or property and persons at your Premises.
