Your Representations. You represent to the Company that you have read and fully understand this Agreement and the Plan and that your decision to participate in the Plan is completely voluntary. You also acknowledge that you are relying solely on your own advisors regarding the tax consequences of the Award.
Your Representations. Unless you state otherwise in Par. 9, you represent when signing this Lease that:
(a) you do not already have deployment or change-of-sta- tion orders;
(b) you will not be retiring from the military during the Lease term; and
(c) the term of your enlistment or obligation will not end before the Lease term ends. You must notify us immediately if you are called to active duty or receive deployment or permanent-change-of-sta- tion orders.
Your Representations. You represent and warrant the following with respect to each Check that you transmit through the Mobile Deposit Service:
(i) You have the legal right to deposit and negotiate the Check, regardless of the name of the payee shown on the Check.
(ii) You are the holder of the Check and the person entitled to enforce it.
(iii) The images and information that you transmit accurately represent all of the information on the front and back of the original Check, including (without limitation) all endorsements, at the time of transmission.
(iv) You have not taken any action that would obscure, alter or impair the capture or transmission of information on the front or back of the Check or that otherwise may prevent us or another bank from capturing or processing such information.
(v) You make all warranties that would otherwise apply to the Check if it had been a paper item deposited with us. For example, you warrant that the Check has not been altered and you have a right to enforce the Check.
(vi) You make all encoding, transfer, presentment and other warranties that we or any correspondent bank we use are deemed by law to provide to others (e.g., as a reconverting bank) under any law, regulation, operating circular, clearing house rule, or image exchange network rule or agreement to which we are a party.
(vii) No Check will be presented for deposit or payment more than once.
(viii) The Check is not prohibited (see by Sub Paragraph titled "CERTAIN CHECKS NOT PERMITTED" above).
(ix) You will only use the Mobile Deposit Service for lawful purposes and in compliance with applicable law.
(x) You will not submit files containing malicious code.
Your Representations. You represent and agree that: • You have read this Agreement and understand that MOIS, your Representative and to the extent applicable, the Qualified Custodian(s), Product Sponsor(s), and/or Third-Party Money Manager(s) will rely upon the most current information provided by you in connection with providing Services for your Account. You recognize the value and usefulness of the services of MOIS will depend upon the accuracy and completeness of the information that you provide to MOIS, upon your active participation in the formulation of the objectives, and in the implementation of the advice to attain those objectives. You will provide MOIS all requested information and required documents that MOIS may reasonably request in order to permit a complete evaluation and preparation of the recommendations for you. You agree that you are obligated to notify MOIS of any changes to information previously supplied by you which is no longer accurate. MOIS will not be responsible for the verification of the information and documentation provided by you. You understand that you may maintain (individually or jointly) multiple accounts with different Qualified Custodian(s), Product Sponsor(s), and/or Third-Party Money Manager(s); that you may have different objectives, goals or strategies for such accounts/retirement plans; and that unless otherwise stated, the information contained in the accompanying Account Application only applies to the retirement plan associated with this particular account and the applicable Qualified Custodian, Product Sponsor, and/or Third-Party Money Manager. You are responsible for reading any and all information provided to you by MOIS, your Representative and to the extent applicable the Qualified Custodian(s), Product Sponsors, and Third-Party Money Manager with regard to your retirement plan (including but not limited to this Agreement, accompanying disclosure documents, plan documents, and prospectuses). • You will not lend or borrow money or securities to or from your Representative. You will not enter into any other personal business relationship with your Representative (including any type of investment or business activity involving your Representative or anyone associated with your Representative). Your Representations. You represent that you are eligible to accept and continue employment, and that you have not previously been, are not currently and will not be subject to any agreement or obligation which would bar or limit your ability to perform your duties and responsibilities with the Company. You also represent that all information you have submitted to the Company as part of any application process and your prior employment with the Company, including without limitation your resume, application for employment and employment records, is true and complete.
Your Representations. Upon execution of this agreement and with each notice or instruction that you give hereunder you represent and warrant and covenant to us that:
(a) you have all necessary authority, powers, consents, licences and authorisations and have taken all necessary action to enable you lawfully to enter into and perform your duties and obligations under this agreement;
(b) you are a Participant as defined in the Trust Indenture and are not in breach of the Participant Agreement;
(c) you are in compliance with the money laundering and related provisions of (i) the Uniting and Strengthening America by Providing Appropriate Tools Required to Intercept and Obstruct Terrorism (USA PATRIOT Act) Act of 2001 enacted by the United States of America, and the regulations promulgated thereunder, if you are subject to the requirements of the USA PATRIOT Act, and (ii) such other laws to which you are subject;
(d) the persons entering into this agreement on your behalf have been duly authorised to do so; and
(e) this agreement and the obligations created under it are binding upon you and enforceable against you in accordance with its terms (subject to applicable principles of equity) and do not and will not violate the terms of the Rules or any order, charge or agreement by which you are bound.
Your Representations. If you utilize the Blackboard Reach service to contact any Authorized User, you represent and warrant that you will comply with all applicable laws and contracts in connection with use of contact information for such Authorized User and with respect to the content and transmission of messages sent using the Two-Way Messaging functionality. You represent, warrant and covenant that you will not use the Blackboard Reach service for the purpose of sending commercial messages, including, without limitation, offers to purchase, sell, barter or lease commercial products, goods, or services.
Your Representations. You represent and warrant to us that:
(a) the Trust is and will remain duly constituted with all necessary authority, powers, consents, licences and authorisations and all necessary action has been taken to enable it to engage in the transactions provided for under this Agreement;
(b) you are and will remain duly appointed as trustee of the Trust and have and will have unencumbered legal title to the assets of the Trust at all times;
(c) you have all necessary authority, powers, consents, licences and authorisations and have taken all necessary action to enable you lawfully to enter into and perform your duties and obligations under this Agreement;
(d) the persons entering into this Agreement on your behalf have been duly authorised to do so; and
(e) this Agreement and the obligations created under it are binding upon you and enforceable against you in accordance with its terms (subject to applicable principles of equity) and do not and will not violate the terms of the Rules or any order, charge or agreement by which you are bound. You undertake to notify us in the event that any of the statements set out in the sub-clauses ceases to be true.
Your Representations. You represent and warrant that your entering into this Agreement and your employment with the Company will not be in breach of any agreement with any current or former employer and that you are not subject to any other restrictions on solicitation of clients or customers or competing against another entity. You understand that the Company has relied on this representation in entering into this Agreement.
Your Representations. By applying to register a domain name, or by asking us to maintain or renew a domain name registration, you hereby represent and warrant to us that (a) the statements that you made in your Registration Agreement are complete and accurate; (b) to your knowledge, the registration of the domain name will not infringe upon or otherwise violate the rights of any third party; (c) you are not registering the domain name for an unlawful purpose; and (d) you will not knowingly use the domain name in violation of any applicable laws or regulations. It is your responsibility to determine whether your domain name registration infringes or violates someone else's rights.
