合资公司的成立ESTABLISHMENT OF THE JOINT VENTURE COMPANY. 1根据本协议所规定的条款和条件，并有赖于双方在本协议中所作出的声明、保证和承诺，双方同意根据合资公司章程、合资企业法、合资细则以及中国其他法律法规和本协议的规定，组建合资公司。 Subject to the terms and conditions of this Contract and in reliance upon the representations, warranties and undertakings in this Agreement, the Parties hereby agree to establish the Company pursuant to the Articles of Association and in accordance with the Joint Venture Law, the Joint Venture Regulations and other relevant PRC laws and regulations and the provisions of this Agreement.
