THIS AGREEMENT, made and entered into as of this 28 th day of April, 1999 by and among MML Bay State Insurance Company (hereinafter, the “Company”), a Connecticut insurance company, on its own behalf and on behalf of each segregated asset account of the Company set forth on Schedule A hereto as may be amended from time to time (each account hereinafter referred to as the “Account” or “accounts,” as applicable), and the undersigned fund, a corporation organized under the laws of Maryland (each hereinafter referred to as the “Fund”) and T.
