AMENDMENT NO. 21
TO
FIRST AMENDED AND RESTATED
MASTER DISTRIBUTION AGREEMENT

          This Amendment (the “Amendment”) effective May 1, 2013, amends The First Amended and Restated Master Distribution Agreement (the “Agreement”), dated as of July 16, 2001, by and between AIM Variable Insurance Funds (Invesco Variable Insurance Funds), a Delaware statutory trust and Invesco Distributors, Inc., a Delaware corporation.

     WHEREAS, the parties desire to amend the Agreement to change the names of Invesco Xxx Xxxxxx V.I. American Franchise Fund to Invesco V.I. American Franchise Fund, Invesco Xxx Xxxxxx V.I. American Value Fund to Invesco V.I. American Value Fund, Invesco Xxx Xxxxxx V.I. Xxxxxxxx Fund to Invesco V.I. Xxxxxxxx Fund, Invesco Xxx Xxxxxx V.I. Equity and Income Fund to Invesco V.I. Equity and Income Fund, Invesco Xxx Xxxxxx V.I. Growth and Income Fund to Invesco V.I. Growth and Income Fund, Invesco Xxx Xxxxxx V.I. Mid Cap Growth Fund to Invesco V.I. Mid Cap Growth Fund and Invesco Xxx Xxxxxx V.I. Value Opportunities Fund to Invesco V.I. Value Opportunities Fund;

     Appendix A of the Agreement is hereby deleted in its entirety and replaced with the following:
