Amendment to
Master Global Custody Agreement between
the Customer and JPMorgan Chase Bank, N.A.
This Amendment to the Master Global Custody Agreement between the Customer and JPMorgan Chase Bank, N.A. dated August 12, 2009 (“Agreement”), is by and between JNL Series Trust and JNL Investors Series Trust (each individually “Trust”, collectively, the “Trusts”), JNL Variable Fund LLC (the “Fund”) and JPMorgan Chase Bank, N.A. (“Custodian”).
Whereas, the parties have agreed to amend Schedule A of the Agreement to add the following new funds (“New Funds”) and to amend the following fund names (“Fund Name Changes”):
New Funds (effective April 30, 2012):
1) JNL/American Funds Balanced Allocation Fund;
2) JNL/American Funds Growth Allocation Fund;
3) JNL/Mellon Capital Management Dow Xxxxx U.S. Contrarian Opportunities Index Fund;
4) JNL/Xxxxxx Xxxxxxx Mid Cap Growth Fund; and
5) JNL/Xxxxxxxxx Xxxxxx Strategic Income Fund.
Fund Name Changes (effective February 14, 2012):
1) JNL/XXX Asia ex-Japan Fund to: JNL/Eastspring Investments Asia ex-Japan Fund; and
2) JNL/XXX China-India Fund to: JNL/Eastspring Investments China-India Fund.
Fund Name Changes (effective April 30, 2012):
1) JNL/Capital Guardian U.S. Growth Equity Fund to: JNL/UBS Large Cap Select Growth Fund; and
2) JNL/Eagle Core Equity Fund to: JNL/DFA U.S. Core Equity Fund.
Now, Therefore, the parties hereto agree to amend the Agreement as follows:

To delete Schedule A of the Agreement, and substitute it with Schedule A attached hereto.

Except as specifically amended hereby, the Agreement shall remain in full force and effect in accordance with its terms.
|

The Trusts, Fund and the Custodian hereby each represent and warrant to the other that it has full authority to enter into this Amendment upon the terms and conditions hereof and that the individual executing this Amendment on its behalf has the requisite authority to bind the Trusts, Fund or Custodian to this Amendment.
