AMENDMENT NO. 3 TO

FUND PARTICIPATION AGREEMENT

This Amendment, dated as of October 1, 2006, among SUN LIFE ASSURANCE COMPANY OF CANADA (U.S.), XXXXXXXXX XXXXXX ADVISERS MANAGEMENT TRUST and XXXXXXXXX XXXXXX MANAGEMENT INC. is made to the Fund Participation Agreement and amends said Agreement as follows:

1. Sun Life Insurance and Annuity Company of New York is added as a party to the Agreement.
2. Appendix B is deleted and replaced by the following:
