Ladies and Gentlemen:
Reference is made to the Administration Agreement between us dated as of May 1, 2007, including Schedule A as amended and restated most recently on August 10, 2010 (the “Agreement”).
Pursuant to the Agreement, this letter is to provide written notice of the addition of two new series of RS Investment Trust (the “Trust”), namely RS Global Growth Fund and RS Greater China Fund (each an “Additional Fund”).
In accordance with the provision entitled “Appointment of Administrator” of the Agreement, we request that effective as of the date set forth above, you confirm that you have acted since their respective formation, and will act, as Administrator with respect to the Additional Fund and that Exhibit A to the Agreement be amended in its entirety and replaced with a new Exhibit A attached hereto.
Please indicate your acceptance of the foregoing by executing two copies of this Agreement, returning one to the Trust and retaining one copy for your records.
