Ladies and Gentlemen:
Reference is made to the Administration Agreement between us dated as of May 1, 2007, including Schedule A as amended and restated most recently on July 31, 2007 (the “Agreement”).
Pursuant to the Agreement, this letter is to provide written notice of the creation of three additional funds, namely the RS High Yield Municipal Bond Fund, RS Floating Rate Fund and RS Strategic Income Fund (collectively, the “Additional Funds”) and the termination of nine series, namely the RS Asset Allocation Fund, RS Asset Allocation VIP Series, RS Large Cap Value VIP Series, RS Large Cap Value Fund, RS Smaller Company Growth Fund, RS Mid Cap Growth VIP Series, RS Technology VIP Series, RS Equity Dividend VIP Series and RS Equity Dividend Fund (the “Terminated Funds”).
In accordance with the provision entitled “Appointment of Administrator” of the Agreement, we request that effective December 31, 2009 you confirm (i) that you have acted since their respective formation, and will act, as Administrator with respect to the Additional Funds and (ii), you will no longer serve as Administrator for the Terminated Funds and that Exhibit A to the Agreement be amended in its entirety and replaced with a new Exhibit A annexed hereto.
Please indicate your acceptance of the foregoing by executing two copies of this Agreement, returning one to the Fund and retaining one copy for your records.
