Subject: Amendment 51 to SOW #1 of the IBM/Brocade Goods Agreement ROC-P-68
This letter (the “Amendment”) serves as Amendment Number 51 to SOW #1, including all amendments thereto (“SOW#1”) of the Goods Agreement ROC-P-68 (the “Agreement”), which the parties hereto do mutually agree to amend as follows
1. | The effective date of this Amendment is September 1, 2016 (the “Effective Date”). |
2. | Delete Section 9.7, Software Maintenance and Support Program, in its entirety and replace with the following Section 9.7, Software Maintenance and Support Program. |
9.7 Software Maintenance and Support Program
All Products purchased under this SOW shall be eligible for coverage under Seller’s annual Software Maintenance and Support Program (also known as “Post Contract Support” or “PCS”). Under the terms of this support program, Supplier shall provide for a fee, Software Maintenance and Support for Products. Software Maintenance and Support is defined as the inclusion of software upgrades and enhancements for the Products together with the Software Technical Support provided in section 9.4.
For Products added to the Agreement prior to Amendment 51, the following Post Contract Support terms apply:
Included as part of the transfer price for the Products added to the Agreement prior to Amendment 51 is provision of thirty-six (36) months of product defect support (including, but is not limited to, bug fixes) (“Product Defect Support”) only (the “Product Defect Support Period) and thirteen (13) months of Software Maintenance and Support, both commencing on Product shipment. After the expiration of the initial thirteen (13) month coverage period for Software Maintenance and Support (the “Initial Support Period”), subsequent Software Maintenance and Support shall be referenced as “Post-contract Customer Support” or “PCS.” Supplier will make PCS available for a 5 year period following Product End of Life. PCS will be sold to Buyer’s customer base as a part option or Feature Code. A Supplier part number will be linked to each of the Buyer’s Feature Codes. Buyer may order for its customers PCS at the prices listed on Exhibit A. Customers will have the option to purchase incremental PCS at either the time of initial purchase of the Product, or as a renewal agreement after the Initial Period. Notwithstanding the foregoing, any customer will be entitled to Product Defect Support to support the Product in accordance with the specifications at the time of initial Product shipment at no additional charge during the Product Defect Support Period. Buyer and Seller will meet on a quarterly basis to review the purchase of PCS Feature Codes. If the number of such PCS Feature Code purchase during such quarter are less than the average number of PCS Feature Code purchases of comparable OEM customers, the parties agree to meet to determine ways to increase the sales of such PCS Feature Code purchases
For Products added to the Agreement starting with Amendment 51 and any Products added to Exhibit A thereafter, the following Post Contract Support terms apply:
Buyer will purchase [***] years of Support and Maintenance, paid in full with the initial product purchase price, at an annual discount rate as reflected in the Post Contract Support price stated in Exhibit A, Pricing,. This is based on the PCS formula as a percentage of the annual purchase price as follows: [***] until support end of life. PCS is non-cancellable and non-refundable.
2. | Schedule 1 to Exhibit A, of SOW#1 is hereby deleted and replaced with Schedule 1 to Exhibit A, dated September 1, 2016 and attached hereto. V |

The parties acknowledge that they have read this Amendment, understand it, and agree to be bound by its terms and conditions. All capitalized terms not defined herein shall have the meaning set forth in the Goods Agreement or SOW #1. All other terms and conditions of the Goods Agreement and SOW#1 that are unaffected by the revisions set forth in this Amendment shall remain in full force and effect. Further, the parties agree that this Amendment and the Goods Agreement and SOW#1 are the complete and exclusive statement of the agreement between the parties, superseding all proposals or other prior agreement, oral or written, and all other communications between the parties relating to this subject.
