EIGHTH AMENDMENT TO THE FUND ACCOUNTING SERVICING AGREEMENT

THIS EIGHTH AMENDMENT effective as of November 30, 2015, to the Fund Accounting Servicing Agreement, dated as of August 15, 2005, as amended August 12, 2008,   August 31, 2010,  March 1, 2012, July 1, 2012, December 13, 2013, October 21, 2014 and July 1, 2015 (the "Agreement"), is entered into by and among Xxxxxx X. Xxxxx & Co. Incorporated, a Wisconsin corporation (the "Advisor"), Baird Funds, Inc., a Wisconsin corporation (the “Company”) and U.S. Bancorp Fund Services, LLC, a Wisconsin limited liability company ("USBFS").

RECITALS

WHEREAS, the parties have entered into an Agreement; and

WHEREAS, the Company intends to create an additional fund; and

WHEREAS, the parties desire to extend said Agreement to apply to the Xxxxx Small/Mid Cap Value Fund of said Agreement; and

WHEREAS, Section 15 of the Agreement allows for its amendment by a written instrument executed by the parties.

NOW, THEREFORE, the parties agree as follows:

Amended Exhibit A of the Agreement is hereby superseded and replaced in its entirety with Amended Exhibit A attached hereto.

Except to the extent amended hereby, the Agreement shall remain in full force and effect.
