JOINT FILING AGREEMENT

thereto with respect to beneficial ownership by the undersigned of Common Shares
of Beneficial Interest of ProLogis Trust, par value $0.01 per share, of ProLogis
Trust is being filed on behalf of each of the undersigned under the Securities
