This Amended and Restated Employment Agreement (this βAgreementβ), dated as of MarchΒ 14, 2014 (the βExecution Dateβ), is between Woodside Homes Company, LLC (formerly known as PH Holding LLC), a Delaware limited liability company; Woodside Group, LLC, a Nevada limited liability company (and post-initial public offering of Woodside Homes,Β Inc. (the βIPOβ) d/b/a Woodside,Β Inc.), a Delaware corporation (the βCompanyβ); and Xxxxx Xxxxxxxx (the βExecutiveβ) (collectively, the βPartiesβ and each, a βPartyβ).Β In addition to the terms defined elsewhere herein, initial capitalized terms have the meanings given to them in SectionΒ 25.

A.Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β In contemplation of the IPO, as of the Execution Date, the Parties desire to amend and restate the Offer of Employment letter to the Executive from PH Holding LLC, a Delaware limited liability company, and Woodside Group, LLC, a Nevada limited liability company, dated as of JuneΒ 24, 2010, as amended by the letter agreement among the Parties, dated as of JulyΒ 19, 2012 (the βPrior Agreementβ), as set forth herein.

B.Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β The Company desires to continue to employ the Executive, and the Executive desires to continue to be employed by the Company, on the terms and conditions set forth herein.

NOW, THEREFORE, the Parties agree as follows:

1.Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Employment.Β (a)Β During the Employment Term, the Executive will serve as the Senior Vice President and Chief Financial Officer of the Company, and the Executiveβs principal place of employment will be in Salt Lake City, Utah, subject to any required business travel.Β The Executive will also serve as an officer or employee of any other member of the Company Group, as may be requested from time to time by the Supervisor or the Board on the terms and conditions set forth herein, and without any additional compensation.

(b)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β The employment relationship between the Company and the Executive will be governed by the applicable general employment policies and practices of the Company Group, including those relating to ethics and business conduct, confidential information, expense reimbursement and avoidance of conflicts (together, the βCompany Policiesβ), except that when any express term of this Agreement is in conflict with the Company Policies, such term of this Agreement will control.

2.Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Term.Β Subject to SectionΒ 7, the Executiveβs employment will be for an initial term of three years commencing upon the Execution Date (the βInitial Employment Termβ).Β At the end of the Initial Employment Term and on each succeeding anniversary of the Execution Date, the Employment Term will be automatically extended by one additional year (each, a βRenewal Termβ), unless, not less thanΒ 90Β days prior to the end of the Initial Employment Term or any Renewal Term, either the Executive or the Company has given the other written notice of nonrenewal.Β Without limiting the generality or effect of the foregoing, the Executive will, if applicable, provide the Company with written notice of the Executiveβs intent to terminate employment with the Company at leastΒ 60Β days prior to the effective date of such termination, and the Company will, if applicable, provide the Executive with written notice

of the Companyβs intent to terminate the Executiveβs employment at leastΒ 30Β days prior to the effective date of such termination.Β The Company may place the Executive on leave for all or any portion of the notice period.Β During the leave period, the Company may require the Executive to remain away from its premises and withdraw powers or duties from the Executive; provided that the Company continues to pay the Executive in accordance with the terms of this Agreement during such period.

3.Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Position and Duties of the Executive.Β (a)Β The Executive will report directly to the Chief Executive Officer of the Company (the βSupervisorβ), and have duties, responsibilities and authorities commensurate with the Executiveβs title and position, and such duties, responsibilities and authority as may be assigned to the Executive from time to time by the Supervisor or the Board that are commensurate with the Executiveβs title and position.

(b)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β During the Employment Term, the Executive will devote the Executiveβs best efforts and full business attention to the business(es) of the Company Group and the performance of any of the Executiveβs duties as set forth herein.

(c)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β So long as such activities do not involve a breach of this Agreement and do not interfere with the performance of the Executiveβs duties hereunder, the Executive may participate in any governmental, educational, charitable or other community affairs during the Employment Term and, subject to the prior approval of the Board in the Boardβs discretion, serve as a member of the governing board of any such organization.Β The Executive may retain all fees and other compensation from any such service, and the Company will not reduce the Executiveβs compensation by the amount of such fees.Β Notwithstanding anything herein to the contrary, the Executive may not accept any position during the Employment Term with a for-profit enterprise without the prior written approval of the Board in the Boardβs discretion.

4.Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Compensation.Β (a)Β Base Salary.Β During the Employment Term, the Company will pay to the Executive a base salary per annum equal to $375,000 which will be reviewed annually (as in effect from time to time, the βBase Salaryβ), but may not be decreased, except in the event of a reduction in salaries of Company executives generally, but in no event to less thanΒ 90% of the highest Base Salary paid to the Executive during the Employment Term.Β The Base Salary will be payable at the times and in the manner consistent with the Companyβs policies regarding compensation of the Companyβs executives generally, but in no event less frequently than monthly.

(b)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Annual Bonus.Β During the Employment Term, the Executive will be eligible to receive an annual incentive bonus in accordance with, and subject to, the terms and conditions of the Companyβs applicable annual incentive bonus program (the βAnnual Bonusβ).Β The Annual Bonus will be paid on the date that annual bonuses are paid to similarly situated executives, but in no event later than theΒ 15th day of the third month following the end of the applicable performance period to which the Annual Bonus relates.Β During the Employment Term, the Executiveβs target Annual Bonus opportunity will not be less thanΒ 100% of the Executiveβs Base Salary, subject to the achievement of applicable performance goals.

(c)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Perquisite Allowance.Β During the Employment Term, the Company will provide the Executive with an annual perquisite allowance of $15,000.

(d)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Sign-On Equity.Β So long as the Executive remains employed by the Company through the date of completion of the IPO (the βIPO Dateβ), then the Executive will be entitled to receive a sign-on equity grant (the βSign-on Equity Awardβ) as follows.Β 85,000 shares under the Sign-on Equity Award will be delivered in the form of stock options andΒ 25,000 shares under the Sign-on Equity Award will be delivered in the form of restricted shares, in each case subject to the terms of the Woodside Homes,Β Inc. 2014 Equity Incentive Plan and the terms of the applicable award agreements, attached hereto as ExhibitΒ A.Β The Sign-on Equity Award will be granted on the IPO Date and the per share exercise price of each option to acquire Company stock will be equal to the per share IPO price.

5.Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Benefits.Β (a)Β Employee Plans.Β During the Employment Term, subject to the terms and conditions of the applicable plans, the Executive will be eligible to participate in the Company-sponsored group health, medical, dental, vision, life insurance, 401(k)Β and other employee benefit plans that are available generally to its senior executives (the βEmployee Plansβ).Β The Executive acknowledges that the Company reserves the right to amend or terminate any Employee Plan(s)Β at any time in its discretion, subject to the terms of such Employee Plan(s), the first sentence of this SectionΒ 5(a), and applicable law.

(b)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Vacation, During the Employment Term, the Executive will be eligible to participate in the Companyβs vacation, holiday and sick, personal and other leave policies as are provided under the Companyβs policies applicable to executives generally.Β The Executive will be eligible for four weeks of paid vacation during each full fiscal year during the Employment Term.Β Treatment of any accrued vacation not taken in any calendar year is subject to the practices and policies of the Company and applicable laws.

6.Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Expenses.Β From and after the Execution Date, the Company will pay or reimburse the Executive for reasonable and necessary business expenses incurred by the Executive during the Employment Term in connection with the Executiveβs duties on behalf of the Company Group in accordance with the Companyβs travel and expense policy, as it may be amended from time to time, or any successor policy applicable to executives of the Company, following submission by the Executive of reimbursement expense forms in a form consistent with such expense policies.Β For the avoidance of doubt, any expenses associated with trade memberships will require the written approval of the chairperson of the Compensation Committee of the Board.

7.Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Termination.Β (a)Β Termination by the Company for Cause or Resignation by the Executive Without Good Reason.Β If, during the Employment Term, the Executiveβs employment is terminated by the Company for Cause or the Executive resigns without Good Reason, the Executive will not be eligible to receive Base Salary, to receive an Annual Bonus or to participate in any Employee Plans with respect to future periods after the date of such termination or resignation, except for the right to receive (i)Β earned but unpaid Base Salary and Annual Bonus through the date of termination of employment, to be paid in accordance with the Companyβs normal payroll practice; (ii)Β any accrued unused vacation time, to be paid in

accordance with the Companyβs normal payroll practice; (iii)Β any unreimbursed business expenses incurred by the Executive prior to the date of termination, to be paid in accordance with the provisions of SectionΒ 6; and (iv)Β all compensation and benefits payable to the Executive under the terms of the Employee Plans, including any long-term incentive plans, in which the Executive participated prior to the date of termination of employment, in accordance with the terms of such plans (together, the βAccrued Compensation and Benefitsβ).

(b)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Termination by the Company Without Cause or Resignation by the Executive for Good Reason.Β Except as otherwise set forth in SectionsΒ 7(c)Β and (d), if, during the Employment Term, the Executiveβs employment is terminated by the Company without Cause or the Executive terminates employment for Good Reason (in each case other than due to the Executiveβs death or Disability), the Executive will be entitled to receive from the Company, the following, subject to SectionΒ 7(g):

(i)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β The Accrued Compensation and Benefits;

(iv)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β A pro-rated Annual Bonus for the year of termination of employment based on the number of days prior to the Executiveβs termination of employment during the applicable performance period, payable based on actual performance in accordance with the terms of SectionΒ 4(b)Β (the βPro Rata Bonusβ); and

(v)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β A lump sum cash payment equal to (A)Β 12 multiplied by (B)Β the employer portion of the monthly cost of maintaining health benefits for the Executive (and the Executiveβs spouse and eligible dependents) as of the date of termination of employment under a group health plan of the Company for purposes of the Consolidated Omnibus Budget Reconciliation Act ofΒ 1985, as amended (βCOBRAβ), excluding any short-term or long-term disability insurance benefits.

(c)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Termination by the Company Without Cause or Resignation by the Executive for Good Reason in Connection with a Change in Control Prior to an IPO.Β If, (i)Β during a Change in Control Period that commences prior to DecemberΒ 31, 2014 and (ii)Β prior to an IPO, the Executiveβs employment is terminated by the Company without Cause or the Executive terminates employment for Good Reason (in each case other than due to the Executiveβs death or Disability), the Executive will be entitled to receive from the Company, in full satisfaction of the Executiveβs rights and benefits under SectionΒ 4(d), the following, subject to SectionΒ 7(g):

(i)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β A lump sum cash payment equal to an amount determined by multiplyingΒ 25,000 by the per-unit/share consideration received by holders, as applicable, in the Change in Control; and

For the avoidance of doubt, such payments will be in addition to any amounts otherwise payable in accordance with SectionΒ 7(b)Β or (d), as the case may be.Β Notwithstanding anything herein to the contrary, the provisions of this SectionΒ 7(c)Β will terminate upon the occurrence of an IPO.

(d)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Termination by the Company Without Cause or Resignation by the Executive for Good Reason During the Change in Control Period.Β If, during the Employment Term and during the Change in Control Period, the Executiveβs employment is terminated by the Company without Cause or the Executive terminates employment for Good Reason (in each case other than due to the Executiveβs death or Disability), the Executive will be entitled to receive from the Company, the following, subject to SectionΒ 7(g)Β and in lieu of any amounts otherwise payable in accordance with SectionΒ 7(b):

(iv)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β A lump sum cash payment equal to (A)Β 18 multiplied by (B)Β the employer portion of the monthly cost of maintaining health benefits for the Executive (and the Executiveβs spouse and eligible dependents) as of the date of termination of employment under a group health plan of the Company for purposes of COBRA, excluding any short-term or long-term disability insurance benefits.

(e)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Termination by Death or Disability.Β If the Executive dies or becomes Disabled during the Employment Term, the Executiveβs employment will terminate and the Executive (or the Executiveβs beneficiary in the case of Death) will be entitled to receive from the Company:

(i)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β The Accrued Compensation and Benefits; and

(f)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Expiration of the Term.Β If the Employment Term ends because the Company does not renew this Agreement under SectionΒ 2, and the Executiveβs employment terminates during theΒ 30-day period following the end of the Employment Term for any reason (other than a termination by the Company for Cause), then the Executive will be entitled to receive the payments as set forth in SectionΒ 7(b).

(g)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Payment TimingΒ & Release Requirement.Β Any obligation of the Company to make any payment pursuant to SectionΒ 7(b), 7(c)Β orΒ 7(d)Β (other than the payment of Accrued Compensation and Benefits) is conditioned upon the Executive first executing and delivering to the Company an executed release, in the form attached hereto as ExhibitΒ B (with such changes, if any, as the Company reasonably deems necessary or advisable to ensure compliance with law, provided that such revised release is delivered to the Executive not later than one day following the Executiveβs termination of employment) (the βReleaseβ) withinΒ 29Β days after the date of termination of employment, with all periods for revocation therein having expired (such revocation period not to exceed seven days from the date the Executive executes the Release).Β Subject to the Executiveβs compliance with the preceding sentence, all amounts payable, or other benefits set forth in this SectionΒ 7 (other than the payment of Accrued Compensation and Benefits and any prorated annual bonuses) will be paid or provided (or, in the case of payments over a period of time, will begin to be paid) on theΒ 30thΒ day following the date of termination of employment.

(h)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Forfeiture.Β Notwithstanding the foregoing, any right of the Executive to receive termination payments and benefits hereunder will be forfeited if the Executive breaches Section 8(a), (b), (c) or (e); provided that, before invoking this paragraph, the Company will provide the Executive a reasonable time (not to exceed 30 days) to respond to such assertion and, to the extent curable, a right to cure such breach within such time.

8.Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Duty of Loyalty.Β During the course, and as a result, of the Executiveβs employment with the Company, the Executive will have access to Confidential Information; the opportunity to gain close knowledge of, and possible influence over, customers, suppliers, independent contractors and employees of the Company Group; possess in some measure the goodwill of the Company Group; and come to possess an intimate knowledge of the business of the Company Group, including all of its policies, methods, personnel and operations.

(a)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Confidentiality.Β (i)Β The Executive acknowledges that, in the course of the Executiveβs employment, the Executive will become familiar with the trade secrets, confidential information and other proprietary information concerning the Company Group, including strategies, business plans or practices, business operations, deals in the pipeline, employment pay information and data, compensation and fee information, and potential home buyers with whom the Company is working to sell a home, in each case, regardless of whether such information has been reduced to documentary form, which the Company and/or an Affiliate treats as confidential or proprietary, but excluding such information the Executive possessed prior to his commencement of employment with the Company Group (collectively, the βConfidential Informationβ).

(ii)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β The Executive acknowledges and agrees that any and all Confidential Information will be received and held by the Executive in a confidential capacity.Β The Executive will not, during the Employment Term and/or at any time thereafter, in any manner, whether directly or indirectly, knowingly use for the Executiveβs own benefit or the benefit of any other Person, or disclose, divulge, render or offer, any Confidential Information, except on behalf of the Company in the course of the proper performance of the Executiveβs duties hereunder.

(b)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Non-Competition.Β (i)Β The Executive acknowledges that (A)Β the Executiveβs services are of special, unique and extraordinary value to the Company Group and (B)Β the Company Groupβs ability to accomplish its purposes and to successfully compete in the marketplace depends substantially on the skills and expertise of the Executive.Β For purposes of this Agreement, βCompetitive Businessβ means any home building and/or land development business (whether a corporation or a division of a corporation or similar business unit) which competes with any member of the Company Group, other than a fund which provides financing or equity for purposes of land development or home building.

(ii)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β The Executive agrees that, during the Employment Term, and for a period ofΒ 12Β months after the termination date of employment (the βRestricted Periodβ), the Executive will not, whether alone or jointly, or as an employee, officer, agent, partner, member, stockholder (except of not more thanΒ 2% of the outstanding stock of any listed company), investor, consultant, advisor, or independent contractor, directly, indirectly or beneficially, irrespective of whether compensation or other remuneration is provided, for the Executiveβs own account or for the benefit of any other Person, engage in any Competitive Business, anywhere in the world.

(c)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Non-Solicitation.Β The Executive agrees that, during the Restricted Period, the Executive will not:

(i)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β hire, solicit, encourage or otherwise induce any employee, consultant or independent contractor of any member of the Company Group, who is known by the Executive to have provided services to any member of the Company Group within the six months immediately preceding the Executiveβs termination of employment, to terminate his or her employment or other contractual relationship with any member of the Company Group.

sales, manufacturersβ and other materials or articles or information, including data processing reports, computer programs, software, customer information and records, business records, price lists or information, samples, or any other materials or data of any kind furnished to the Executive by the Company Group or developed, made or compiled by the Executive on behalf of the Company Group or at the Company Groupβs direction or for the Company Groupβs use or otherwise in connection with the Executiveβs employment hereunder, are and will remain the sole property of the Company Group, including in each case all copies thereof in any medium, including computer tapes and other forms of information storage, but excluding materials relating directly to the terms and conditions of the Executiveβs employment, the Executiveβs performance as an employee of the Company Group and any items made available to the Companyβs stockholders, in their capacity as such (the βCompany Propertyβ).Β If any member of the Company Group requests the return of any Company Property at any time during or at or after the date of termination of employment, the Executive will deliver all such Company Property, including all copies of the same, to the Company as soon as practicable.Β The provisions of this paragraph apply during and after the period when the Executive is an employee of the Company Group and will be in addition to (and not a limitation of) any legally applicable protections of the Company Groupβs interest in Confidential Information, trade secrets and the like.Β Nothing in this SectionΒ 8(d)Β will prohibit or restrict the Executive from retaining and utilizing his personal cell phones, personal blackberries, personal computers, personal rolodex and the like, whether maintained on Company property or otherwise, so long as the Executive represents to the Company that the Executive has removed all Confidential Information from such items and, if requested by the Company, provides the Company with access to such items to confirm that all Confidential Information has been removed.

(e)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Non-Disparagement.Β At no time during or after the Employment Term will the Executive utter, issue or circulate publicly any false or disparaging statements, remarks or rumors about any member of the Company Group and/or any of their respective businesses, or any of their respective officers, employees, directors, agents or representatives, in any case that are reasonably likely to result in harm to the Company.Β The Company will not, during the Employment Term, make any formal statements that disparage the Executive and are reasonably likely to result in harm to the Executive; provided, however, that communications with the Executive relating to the Executiveβs job performance will not violate this sentence to the extent that such statements are not made publicly.Β The Company will not, following the end of the Employment Term, make any formal statements that disparage the Executive and are reasonably likely to result in harm to the Executive.Β The Company agrees that it will instruct each member of its senior executive team and each member of the Board to not, in their respective capacities as Company employees or members of the Board, utter, issue or circulate publicly any false or disparaging statements, remarks or rumors about the Executive.Β For the avoidance of doubt, nothing in this SectionΒ 8(e)Β will be deemed to preclude any Person from making such statements as are necessary to comply with any applicable law, regulatory guidance or ruling.

(f)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β The Executiveβs obligation of confidentiality will survive, regardless of any other breach of this Agreement or any other agreement, by any Party, until and unless

such Confidential Information has become, through no fault of the Executive, generally known to the public.Β For purposes of this paragraph, βgenerally knownβ means known throughout the domestic U.S.Β industry or the appropriate foreign countryβs or countriesβ industry, in each case in which the Company or a member of the Company Group is or was engaged.Β In the event that the Executive is required by law, regulation, or court order to disclose any of the Confidential Information, the Executive will promptly notify the Company prior to making any such disclosure to facilitate the Company Group seeking a protective order or other appropriate remedy from the proper authority, at the Companyβs sole cost and expense.Β The Executive further agrees to cooperate with the Company Group from and after the Execution Date in seeking such order or other remedy and that, if the Company is not successful in precluding the requesting legal body from requiring the disclosure of the Confidential Information, the Executive will, at the Companyβs sole cost and expense, furnish only that portion of the Confidential Information that is legally required, and the Executive will exercise all reasonable legal efforts, at the Companyβs sole cost and expense, to obtain reliable assurances that confidential treatment will be accorded to the Confidential Information.

(g)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β The Executiveβs obligations under this SectionΒ 8 are in addition to, and not in limitation of, all other obligations of confidentiality under applicable law and regulatory guidance.

(h)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β The Executive and the Company each hereby consent and agree that the other will be entitled to seek, in addition to damages sustained by a breach of this Agreement and any forfeitures under SectionΒ 7(h), a temporary or permanent injunction or other equitable relief against any breach or threatened breach of this SectionΒ 8 from any court of competent jurisdiction, without the necessity of posting any bond or other security.Β To the extent available, the aforementioned equitable relief will be in addition to, not in lieu of, legal remedies, monetary damages or other available forms of relief.

(i)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β If a court at any time determines that any restriction or limitation in this SectionΒ 8 is unreasonable or unenforceable, it will be deemed amended so as to provide the maximum protection to the Company Group or the Executive, as the case may be, and be deemed reasonable and enforceable by the court.

9.Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Developments.Β (a)Β The Executive will make full and prompt disclosure to the Company Group of all inventions, improvements, discoveries, methods, developments, software, mask works and works of authorship, whether patentable or copyrightable or not, (i)Β which relate to the business(es) of the Company Group and have heretofore been created, made, conceived or reduced to practice by the Executive or under the Executiveβs direction or jointly with others, and not assigned to prior employers, or (ii)Β which have utility in or relate to the Company Groupβs business(es) and are created, made, conceived or reduced to practice by the Executive or under the Executiveβs direction or jointly with others during the Executiveβs employment with the Company Group, whether or not during normal working hours or on the premises of the Company Group (all of the foregoing of which are collectively referred to in this Agreement as βDevelopmentsβ).

(b)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β The Executive agrees to assign and hereby assigns to the Company Group (or any Person designated by the Company Group) all of the Executiveβs rights, title and interest worldwide in and to all Developments and all related patents, patent applications, copyrights and copyright applications, and any other applications for registration of a proprietary right.Β This paragraph will not apply to Developments that the Executive developed entirely on the Executiveβs own time without using the Company Groupβs equipment, supplies, facilities or Confidential Information and that does not, at the time of conception or reduction to practice, have utility in or relate to the Company Groupβs business(es), or actual or demonstrably anticipated research or development.Β To the extent this Agreement is construed in accordance with the laws of any jurisdiction which precludes a requirement in an employee agreement to assign certain classes of inventions made by an employee, this paragraph will be interpreted not to apply to any invention which a court rulesΒ or the Company agrees falls within such classes but will be interpreted to apply thereto to the maximum extent legally permissible.

(c)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β The Executive will cooperate fully with the Company Group, both during and after the Executiveβs employment with the Company Group, with respect to the procurement, maintenance and enforcement of copyrights, patents and other intellectual property rights (both in the United States and other countries) relating to Developments.Β The Executive will not be required to incur or pay any costs or expenses in connection with the rendering of such cooperation.Β The Executive will sign all papers, including copyright applications, patent applications, declarations, oaths, formal assignments, assignments of priority rights, and powers of attorney, and do all things that the Company Group may deem necessary or desirable in order to protect its rights and interests in any Development.Β If any member of the Company Group is unable, after reasonable effort, to secure the Executiveβs signature on any such papers, any executive officer of the Company is expressly authorized to execute any such papers as the Executiveβs agent and attorney-in-fact, coupled with interest, and the Executive hereby irrevocably designates and appoints each executive officer of the Company as the Executiveβs agent and attorney-in-fact to execute any such papers on the Executiveβs behalf and to take any and all other actions as the Company Group may deem necessary or desirable in order to protect its rights and interests in any Development, under the conditions described in this sentence.

10.Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Remedies, The Executive and the Company acknowledge that the covenants contained in SectionsΒ 8 andΒ 9 are reasonable under the circumstances.Β Accordingly, if, in the opinion of any court of competent jurisdiction, any such covenant is not reasonable in any respect, such court will have the right, power and authority to sever or modify any provision or provisions of such covenants as to the court will appear not reasonable and to enforce the remainder of the covenants as so amended.Β The Executive further acknowledges that the remedy at law available to the Company Group for breach of any of the Executiveβs obligations under SectionsΒ 8 andΒ 9 would be inadequate and that damages flowing from such a breach may not readily be susceptible to being measured in monetary terms.Β Accordingly, in addition to any other rights or remedies that the Company Group may have at law, in equity or under this Agreement, upon proof of the Executiveβs violation of any such provision of this Agreement, the Company Group will be entitled to immediate injunctive relief and may obtain a temporary order

restraining any threatened or further breach, without the necessity of proof of actual damage or the posting of any bond.

11.Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Continued Availability and Cooperation.Β (a)Β Following termination of the Executiveβs employment, the Executive will reasonably cooperate with the Company Group and with the Company Group membersβ counsel in connection with any present or future actual or threatened litigation, administrative proceeding or investigation involving any member of the Company Group that relates to events, occurrences or conduct occurring (or claimed to have occurred) during the period of the Executiveβs employment by the Company Group.Β Cooperation will include:

(i)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Being reasonably available for interviews and discussions with the Company Group membersβ counsel, as well as for depositions and trial testimony;

(ii)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β If depositions or trial testimony are to occur, being reasonably available and cooperating in the preparation therefor, as and to the extent that the Company Group or any Company Group memberβs counsel reasonably requests; and

(iii)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Reasonably cooperating fully in the development and presentation of the Company Groupβs prosecution or defense of such litigation or administrative proceeding;

provided that, if applicable, in each case, such cooperation will take into account the Executiveβs responsibilities to a new employer.

(b)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β The Company will reimburse the Executive for reasonable travel, lodging, telephone and similar expenses, as well as reasonable attorneysβ fees for independent legal counsel reasonably acceptable to the Company, incurred in connection with any such cooperation, consultation and advice rendered under this Agreement after the Executiveβs termination of employment.Β However, the Executive will not be entitled to any separate compensation for any matter referred to in this SectionΒ 11.

12.Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Other Agreements, Entire Agreement,Β Etc.Β No agreements or representations or warranties, oral or otherwise, express or implied, with respect to the subject matter hereof have been made by any Party which are not expressly set forth in this Agreement.Β This Agreement contains the entire agreement of the Parties with respect to the subject matter hereof and supersedes all prior agreements and understandings relating to the subject matter hereof (including the Prior Agreement).Β Nothing herein will be deemed to provide the Executive a right to remain an officer or employee of any member of the Company Group.

13.Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Withholding of Taxes.Β The Company will have the right to withhold from any amount payable hereunder any federal, state, city, local or other taxes in order for the Company Group to satisfy any withholding tax obligation it may have under any applicable law, regulation or ruling.

14.Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Successors and Binding Agreement.Β (a)Β The Company will require any successor (whether direct or indirect, by purchase, merger, consolidation, reorganization or

otherwise) to all or substantially all of the business or assets of the Company expressly to assume and agree to perform this Agreement in the same manner and to the same extent the Company would be required to perform if no such succession had taken place.Β This Agreement will be binding upon and inure to the benefit of the Company and any successor to the Company, including any Person acquiring directly or indirectly all or substantially all of the business or assets of the Company whether by purchase, merger, consolidation, reorganization or otherwise (and such successor will thereafter be deemed βthe Companyβ for purposes of this Agreement), but will not otherwise be assignable or delegable by the Company, except that the Company may assign this Agreement, or may assign its rights and delegate its duties hereunder, to any Person who acquires all of the voting stock of the Company (or to any parent entity thereof).

(b)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β This Agreement will inure to the benefit of and be enforceable by the Executiveβs personal or legal representatives, executors, administrators, successors, heirs, distributees and legatees.Β If the Executive dies while any amount would still be payable to the Executive hereunder (other than amounts which, by their terms, terminate upon the death of the Executive) if the Executive had continued to live, all such amounts, unless otherwise provided herein, will be paid in accordance with the terms of this Agreement to the executors, personal representatives or administrators of the Executiveβs estate.

(c)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β This Agreement is personal in nature and neither the Company nor the Executive may, without the consent of the other, assign or delegate this Agreement or any rights or obligations hereunder, except as expressly provided in SectionsΒ 14(a)Β andΒ 14(b).Β Without limiting the generality or effect of the foregoing, the Executiveβs right to receive payments hereunder will not be assignable, transferable or delegable, whether by pledge, creation of a security interest, or otherwise, other than by a transfer by the Executiveβs will, by the laws of descent and distribution or by court order and, in the event of any attempted assignment or transfer contrary to this paragraph, the Company will have no liability to pay any amount so attempted to be assigned, transferred or delegated.

15.Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Notices.Β Any notice, demand, claim or other communication under this Agreement will be in writing and will be deemed to have been given (a)Β on delivery if delivered personally; (b)Β on the date on which delivery thereof is guaranteed by the carrier if delivered by a national courier guaranteeing delivery within a fixed number of days of sending; or (c)Β on the date of transmission thereof if delivery is confirmed, but, in each case, only if addressed to the Parties in the following manner at the following addresses (or at the other address as a Party may specify by notice to the other) to the Company, to the attention of the General Counsel at its principal executive offices, and to the Executive, at the Executiveβs principal residence as set forth in the employment records of the Company.

16.Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Governing Law and Choice of Forum.Β (a)Β This Agreement will be construed and enforced according to the laws of the State of Utah, other than the choice of law provisions thereof.Β The Parties agree that the prevailing party will be entitled to recover reasonable expenses, costs and fees (including attorneysβ fees) in connection with any dispute hereunder.

(b)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β The Parties consent to the exclusive jurisdiction of all state and federal courts located in Salt Lake City, Utah (or, if the Executive so elects, the state in which the

Executive was last based), as well as to the jurisdiction of all courts of which an appeal may be taken from such courts, for the purpose of any suit, action or other proceeding arising out of, or in connection with, this Agreement or that otherwise arise out of the employment relationship.Β Each Party hereby expressly waives (i)Β any and all rights to bring any suit, action or other proceeding in or before any court or tribunal other than the courts described above, and covenants that it will not seek in any manner to resolve any dispute other than as set forth in this paragraph, and (ii)Β any and all objections either may have to venue, including the inconvenience of such forum, in any of such courts.Β In addition, each Party consents to the service of process by personal service or any manner in which notices may be delivered hereunder in accordance with this Agreement.

17.Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Validity/Severability.Β The Parties agree that (a)Β the provisions of this Agreement will be severable in the event that for any reason whatsoever any of the provisions hereof are invalid, void or otherwise unenforceable, (b)Β any such invalid, void or otherwise unenforceable provisions will be replaced by other provisions which are as similar as possible in terms to such invalid, void or otherwise unenforceable provisions but are valid and enforceable, and (c)Β the remaining provisions will remain valid and enforceable to the fullest extent permitted by applicable law.

18.Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Survival.Β The obligations of the Company and the Executive under this Agreement which by their nature may require either partial or total performance after the expiration or termination of the Employment Term or this Agreement (including those under SectionsΒ 8, 9, 10 andΒ 11) will survive any termination or expiration of this Agreement.

19.Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Subsequent Employment.Β During the Restricted Period, if the Executive is offered employment or the opportunity to enter into any business activity, whether as owner, investor, executive, manager, employee, independent consultant, contractor, advisor or otherwise, then prior to entering into any definitive agreement with the offeror, the Executive will inform the offeror of the existence of SectionsΒ 8 andΒ 9 of this Agreement and provide the offeror a copy thereof.

20.Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Excise Tax.Β (a)Β Notwithstanding any other provisions in this Agreement, in the event that any payment or benefit received or to be received by the Executive (including any payment or benefit received in connection with a change in control of the Company or the termination of the Executiveβs employment, whether pursuant to the terms of this Agreement or any other plan, program, arrangement or agreement) (all such payments and benefits, together, the βTotal Paymentsβ) would be subject (in whole or part), to any excise tax imposed under SectionΒ 4999 of the Code, or any successor provision thereto (the βExcise Taxβ), then, after taking into account any reduction in the Total Payments provided by reason of SectionΒ 280G of the Code in such other plan, program, arrangement or agreement, the Company will reduce the Total Payments to the extent necessary so that no portion of the Total Payments is subject to the Excise Tax (but in no event to less than zero); provided, however, that the Total Payments will only be reduced if (i)Β the net amount of such Total Payments, as so reduced (and after subtracting the net amount of federal, state, municipal and local income taxes on such reduced Total Payments and after taking into account the phase out of itemized deductions and personal exemptions attributable to such reduced Total Payments), is greater than or equal to (ii)Β the net amount of such Total Payments without such reduction (but after subtracting the net amount of

(b)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β In the case of a reduction in the Total Payments, the Total Payments will be reduced in the following order (unless reduction in another order is required to avoid adverse consequences under SectionΒ 409A, in which case, reduction will be in such other order):Β (i)Β payments that are payable in cash that are valued at full value under Treasury RegulationΒ SectionΒ 1.280G-1, Q&AΒ 24(a)Β will be reduced (if necessary, to zero), with amounts that are payable last reduced first; (ii)Β payments and benefits due in respect of any equity valued at full value under Treasury RegulationΒ SectionΒ 1.280G-1, Q&AΒ 24(a), with the highest values reduced first (as such values are determined under Treasury RegulationΒ SectionΒ 1.280G-1, Q&AΒ 24) will next be reduced; (iii)Β payments that are payable in cash that are valued at less than full value under Treasury RegulationΒ SectionΒ 1.280G-1, Q&AΒ 24, with amounts that are payable last reduced first, will next be reduced; (iv)Β payments and benefits due in respect of any equity valued at less than full value under Treasury RegulationΒ SectionΒ 1.280G-1, Q&AΒ 24, with the highest values reduced first (as such values are determined under Treasury RegulationΒ SectionΒ 1.280G-1, Q&AΒ 24) will next be reduced; and (v)Β all other non-cash benefits not otherwise described in clausesΒ (ii)Β or (iv)Β will be next reduced pro-rata.Β Any reductions made pursuant to each of clausesΒ (i)-(v)Β above will be made in the following manner:Β first, a pro-rata reduction of cash payment and payments and benefits due in respect of any equity not subject to SectionΒ 409A, and second, a pro-rata reduction of cash payments and payments and benefits due in respect of any equity subject to SectionΒ 409A as deferred compensation.

(c)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β For purposes of determining whether and the extent to which the Total Payments will be subject to the Excise Tax:Β (i)Β no portion of the Total Payments the receipt or enjoyment of which the Executive shall have waived at such time and in such manner as not to constitute a βpaymentβ within the meaning of SectionΒ 280G(b)Β of the Code will be taken into account; (ii)Β no portion of the Total Payments will be taken into account which, in the opinion of tax counsel (βTax Counselβ) reasonably acceptable to the Executive and selected by the accounting firm which was, immediately prior to the change in control, the Companyβs independent auditor (the βAuditorβ), does not constitute a βparachute paymentβ within the meaning of SectionΒ 280G(b)(2)Β of the Code (including by reason of SectionΒ 280G(b)(4)(A)Β of the Code) and, in calculating the Excise Tax, no portion of such Total Payments will be taken into account which, in the opinion of Tax Counsel, constitutes reasonable compensation for services actually rendered, within the meaning of SectionΒ 280G(b)(4)(B)Β of the Code, in excess of the βbase amountβ (as set forth in SectionΒ 280G(b)(3)Β of the Code) that is allocable to such reasonable compensation; and (iii)Β the value of any non-cash benefit or any deferred payment or benefit included in the Total Payments will be determined by the Auditor in accordance with the principles of SectionsΒ 280G(d)(3)Β and (4)Β of the Code.

such payments were calculated and the basis for such calculations, including any opinions or other advice the Company received from Tax Counsel, the Auditor, or other advisors or consultants (and any such opinions or advice which are in writing will be attached to the statement).Β If the Executive objects to the Companyβs calculations, the Company will pay to the Executive such portion of the Total Payments (up toΒ 100% thereof) as the Executive determines is necessary to result in the proper application of this SectionΒ 20.Β All determinations required by this SectionΒ 20 (or requested by either the Executive or the Company in connection with this SectionΒ 20) will be at the expense of the Company.Β The fact that the Executiveβs right to payments or benefits may be reduced by reason of the limitations contained in this SectionΒ 20 will not of itself limit or otherwise affect any other rights of the Executive under this Agreement.

21.Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Compliance with SectionΒ 409A.Β (a)Β The Parties intend that any amounts payable under this Agreement, and the Companyβs and the Executiveβs exercise of authority or discretion hereunder, comply with the provisions of SectionΒ 409A of the Code, along with the rules, regulations and guidance promulgated thereunder by the Department of the Treasury or the Internal Revenue Service (collectively, βSectionΒ 409Aβ) so as not to subject the Executive to the payment of the additional tax, interest or penalty which may be imposed under SectionΒ 409A.Β In furtherance thereof, to the extent that any provision of this Agreement would result in the Executive being subject to payment of additional tax, interest or penalty under SectionΒ 409A, the Parties agree to amend this Agreement if permitted under SectionΒ 409A in a manner which does not impose any additional taxes, interest or penalties on Executive in order to bring this Agreement into compliance with SectionΒ 409A, without materially changing the economic value of the arrangements under this Agreement to any Party, and thereafter the Parties will interpret its provisions in a manner that complies with SectionΒ 409A.Β Notwithstanding the foregoing, no particular tax result for the Executive with respect to any income recognized by the Executive in connection with this Agreement is guaranteed.

(b)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Notwithstanding any provisions of this Agreement to the contrary, if the Executive is a βspecified employeeβ (within the meaning of SectionΒ 409A and determined pursuant to any policies adopted by the Company consistent with SectionΒ 409A), at the time of the Executiveβs βSeparation From Serviceβ (within the meaning of SectionΒ 409A) and if any portion of the payments or benefits to be received by the Executive upon Separation From Service would be considered deferred compensation under SectionΒ 409A and cannot be paid or provided to the Executive without the Executive incurring taxes, interest or penalties under SectionΒ 409A, then such amounts that would otherwise be payable pursuant to this Agreement and such benefits that would otherwise be provided pursuant to this Agreement, in each case, during the six-month period immediately following the Executiveβs Separation From Service will instead be paid or made available on the earlier of (i)Β the first business day of the seventh month following the date of Executiveβs Separation From Service or (ii)Β the Executiveβs death.

6.Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Tax Withholding.Β Delivery of the Common Shares purchased upon exercise of this Option shall be conditioned upon the prompt payment by the Participant to the Company of an amount equal to the applicable federal, state and local income taxes and other amounts required to be withheld (the βWithholding Taxesβ) in connection with such exercise.Β Subject to the limitations of applicable law, the Company shall have the power and the right to deduct or withhold, or require the Participant to remit to the Company, the minimum statutory amount to satisfy the Withholding Taxes with respect to any taxable event arising as a result of this Agreement.Β The Participant is advised to consult with the Participantβs own tax advisors regarding the exercise of the Option and holding of the Common Shares.

This RESTRICTED STOCK AWARD AGREEMENT (this βAgreementβ), dated [Β Β Β Β Β Β Β Β Β Β Β Β Β Β ], 2014(1)Β (the βDate of Grantβ), is between Woodside Homes,Β Inc., a Delaware corporation (the βCompanyβ), and Xxxxx Xxxxxxxx (the βParticipantβ).Β The Award hereunder is granted pursuant to the terms of the CompanyβsΒ 2014 Equity Incentive Plan (the βPlanβ).Β Capitalized terms used herein but not defined shall have the respective meanings set forth in the Plan.

1.Β Β Β Β Β Β Β Β Β Β Β Β Restricted Shares.Β As contemplated by the Employment Agreement, dated as of [Β Β Β Β Β Β Β Β ,2014], between the Company and the Participant (the βEmployment Agreementβ), the Company hereby grants to the Participant, as of the Date of Grant, 25,000 shares of Common Stock (the βRestricted Sharesβ), subject to such vesting, transfer and other restrictions and conditions as set forth in this Agreement (the βAwardβ).Β For the avoidance of doubt, upon and following the Date of Grant, the provisions of SectionΒ 7(c)Β of the Employment Agreement (regarding termination prior to an IPO) will terminate and be of no force or effect.

2.Β Β Β Β Β Β Β Β Β Β Β Β Vesting Requirements.

(a)Β Β Β Β Β Β Β Β Β Β General.Β Subject to the terms of this Agreement, the Restricted Shares shall vest and become nonforfeitable in three installments:Β 20% on [Β Β Β Β Β Β Β Β , 2015](2)Β andΒ 40% on each of [Β Β Β Β Β Β Β Β , 2016](3)Β and [Β Β Β Β Β Β Β Β , 2017](4), subject to the Participantβs Continuous Service on each of these dates, other than as specifically stated herein.

(b)Β Β Β Β Β Β Β Β Β Β Effect of a Change in Control.Β The Award shall become fully and immediately vested and nonforfeitable upon the occurrence of a Change in Control, provided that (i)Β the Participant is in Continuous Service with the Company as of the date of such Change in Control and (ii)Β with respect to the original Award, no Replacement Award exists following such Change in Control.Β An Award constitutes a βReplacement Awardβ if (A)Β it is of the same type (e.g., stock option for Option, restricted stock award for Restricted Stock Award, restricted stock unit awards for Restricted Stock Unit Award,Β etc.) as the original Award, (B)Β it has a value at least equal to the value of the original Award, (C)Β it relates to publicly traded equity securities of the Company or its successor in the Change in Control or another entity that is affiliated with the Company or its successor following the Change in Control, (D)Β if the Participant holding the original Award is subject to U.S.Β federal income tax under the Code, the tax consequences to such Participant under the Code of the Replacement Award are not less favorable to such Participant than the tax consequences of the original Award, and (E)Β its other terms and conditions are not less favorable to the Participant holding the original Award than the terms and conditions of the original Award (including, without limitation, the provisions that would apply in the event of a subsequent Change in Control); provided that, without limiting the generality of the foregoing, the Replacement Award may take the form of a continuation of the original Award

if the foregoing requirements are satisfied.Β The determination of whether the conditions of a Replacement Award are satisfied will be made by the Board, as constituted immediately before the Change in Control, in its sole discretion (taking into account the requirements of Treasury RegulationΒ 1.409A-3(i)(5)(iv)(B)Β and compliance of the original Award or Replacement Award with SectionΒ 409A of the Code).Β Without limiting the generality of the foregoing, the Committee may determine the value of Awards and Replacement Awards that are stock options by reference to either their intrinsic value or their fair value.Β Notwithstanding anything to the contrary herein, the Award shall become fully and immediately vested and nonforfeitable upon a termination of the Participantβs Continuous Service without βCauseβ or by the Participant for βGood Reasonβ (each of Cause and Good Reason, as defined in the Employment Agreement) during a period when the Company is a party to an agreement, the consummation of which would result in a Change in Control, or withinΒ 24Β months following a Change in Control.

(c)Β Β Β Β Β Β Β Β Β Β Termination of Continuous Service without Cause; for Good Reason.Β In the event of a termination of the Participantβs Continuous Service by the Company without Cause, or by the Participant for Good Reason, in each case other than as provided in SectionΒ 2(b)Β hereof, then the Award shall becomeΒ 60% vested (including any vesting which may have already occurred) if such termination of Continuous Service occurs prior to [Β Β Β Β Β Β Β , 2016](1)Β and shall become fully vested if such termination of Continuous Service occurs upon or following such date.

(d)Β Β Β Β Β Β Β Β Β Β Termination of Continuous Service by reason of Death or Disability.Β The Award shall become fully and immediately vested and nonforfeitable upon the Participantβs termination of Continuous Service due to his death or Disability (as defined in the Employment Agreement).

3.Β Β Β Β Β Β Β Β Β Β Β Β Effect of Termination of Continuous Service.Β In the event of a termination of the Participantβs Continuous Service for any reason, the Participant shall automatically forfeit the Participantβs Restricted Shares that have not become vested in accordance with SectionΒ 2 hereof, which portion shall be cancelled and be of no further force or effect.

4.Β Β Β Β Β Β Β Β Β Β Β Β Investment Representation.Β Upon acquisition of the Restricted Shares at a time when there is not in effect a registration statement under the Securities Act relating to the shares of Common Stock, the Participant hereby represents and warrants, and by virtue of such acquisition shall be deemed to represent and warrant, to the Company that the shares of Common Stock shall be acquired for investment and not with a view to the distribution thereof, and not with any present intention of distributing the same, and the Participant shall provide the Company with such further representations and warranties as the Company may require in order to ensure compliance with applicable federal and state securities, blue sky and other laws.Β No shares of Common Stock shall be acquired unless and until the Company and/or the Participant shall have complied with all applicable federal or state registration, listing and/or qualification requirements and all other requirements of law or of any regulatory agencies having jurisdiction, unless the Committee has received evidence satisfactory to it that the Participant may acquire such shares pursuant to an exemption from registration under the applicable securities laws.Β Any

5.Β Β Β Β Β Β Β Β Β Β Β Β Securities Laws/Legend on Certificates.Β The issuance and delivery of certificates representing vested Restricted Shares shall comply with all applicable requirements of law, including without limitation the Securities Act ofΒ 1933, as amended, the rulesΒ and regulations promulgated thereunder, state securities laws and regulations, and the regulations of any stock exchange or other securities market on which the Companyβs securities may then be traded.Β If the Company deems it necessary to ensure that the issuance of securities under the Plan is not required to be registered under any applicable securities laws, each Participant to whom such security would be issued shall deliver to the Company an agreement or certificate containing such representations, warranties and covenants as the Company which satisfies such requirements.Β The certificates representing the vested Restricted Shares shall be subject to such stop transfer orders and other restrictions as the Committee may deem reasonably advisable, and the Committee may cause a legend or legends to be put on any such certificates to make appropriate reference to such restrictions.

6.Β Β Β Β Β Β Β Β Β Β Β Β Adjustments.Β The Award granted hereunder shall be subject to the provisions of SectionΒ 9 of the Plan relating to adjustments for recapitalizations, reclassifications and other specified events or changes in the Companyβs corporate structure.

7.Β Β Β Β Β Β Β Β Β Β Β Β SectionΒ 83(b); Tax Withholding.Β The Participant may make an election under SectionΒ 83(b)Β of the Code with respect to the Restricted Shares by filing a copy of such election with the Company withinΒ 30Β days of the Date of Grant.Β If the Participant makes such an election, the grant of Restricted Shares shall be conditioned upon the prompt payment by the Participant to the Company of an amount equal to the applicable federal, state and local income taxes and other amounts required to be withheld (the βWithholding Taxesβ) in connection with such election.Β If the Participant does not make an election under SectionΒ 83(b)Β of the Code with respect to the grant of Restricted Shares, the Participant shall pay to the Company any Withholding Taxes with respect to the Restricted Shares, upon the lapse of the vesting restrictions and, with respect to any accrued dividends, upon the payment of such dividends.Β The lapse of such vesting restrictions and the payment of such dividends or distributions shall be conditioned upon the prior payment of the applicable Withholding Taxes by the Participant.Β Subject to the limitations of applicable law, the Company shall have the power and the right to deduct or withhold, or require the Participant to remit to the Company, the minimum statutory amount to satisfy the Withholding Taxes with respect to any taxable event arising as a result of this Agreement.Β The Participant is advised to consult with the Participantβs own tax advisors regarding the purchase and holding of the Restricted Shares, and the Company shall bear no liability for any consequence of the Participant making andΒ 83(b)Β election or failing to make anΒ 83(b)Β election.

8.Β Β Β Β Β Β Β Β Β Β Β Β Rights of the Participant.Β Neither this Award nor the execution of this Agreement shall confer upon the Participant any right to, or guarantee of, continued employment by or service with the Company, or in any way limit the right of the Company to terminate the Continuous Service of the Participant at any time, subject to the terms of the Employment

Agreement or any other written employment or similar agreement between or among the Company and the Participant.

9.Β Β Β Β Β Β Β Β Β Β Β Β Transfer Restrictions.Β The Restricted Shares granted hereunder shall be subject to the provisions of SectionΒ 6 of the Plan relating to the prohibition on the assignment and transfers; provided, however, that, subject to any applicable securities laws or registration requirements and SectionΒ 6 of the Plan, the Participant may transfer the Restricted Shares for estate planning purposes.

10.Β Β Β Β Β Β Β Β Β Professional Advice.Β The acceptance of this Award and the making of anΒ 83(b)Β election may have consequences under federal and state tax and securities laws that may vary depending upon the individual circumstances of the Participant.Β Accordingly, the Participant acknowledges that the Participant has been advised to consult his personal legal and tax advisors in connection with this Agreement and this Award.

11.Β Β Β Β Β Β Β Β Β Construction.Β The Award granted hereunder is granted by the Company pursuant to the Plan and is in all respects subject to the terms and conditions of the Plan.Β The Participant hereby acknowledges that a copy of the Plan has been delivered to the Participant and accepts the Award hereunder subject to all terms and provisions of the Plan, which are incorporated herein by reference.Β Capitalized terms used herein but not defined shall have the respective meanings set forth in the Plan.Β In the event of a conflict or ambiguity between any term or provision contained herein and a term or provision of the Plan, the Plan will govern and prevail.Β The construction of and decisions under the Plan and this Agreement are vested in the Board, whose determinations shall be final, conclusive and binding upon the Participant.

12.Β Β Β Β Β Β Β Β Β Clawback.Β The Restricted Shares will be subject to such clawback provisions as may be required to be made pursuant to any applicable law, government regulation or stock exchange listing requirement.

13.Β Β Β Β Β Β Β Β Β Governing Law.Β This Agreement shall be construed and enforced in accordance with the laws of the State of Delaware, without giving effect to the choice of law principles thereof.

14.Β Β Β Β Β Β Β Β Β Counterparts.Β This Agreement may be executed in counterparts, each of which shall be deemed to be an original but all of which together shall constitute one and the same instrument.

15.Β Β Β Β Β Β Β Β Β Notices.Β All notices and other communications hereunder shall be in writing and shall be deemed given when delivered personally or when telecopied (with confirmation of transmission received by the sender), three business days after being sent by certified mail, postage prepaid, return receipt requested or one business day after being delivered to a nationally recognized overnight courier with next day delivery specified to the parties at the following addresses (or at such other address for a party as shall be specified by like notice):Β Company:Β Woodside Homes,Β Inc., 00 X.
