AMENDMENT TO SUB-ADVISORY AGREEMENT BETWEEN
TRANSAMERICA ASSET MANAGEMENT, INC. AND

THIS AMENDMENT is made as of January 6, 2011, to the Sub-Advisory Agreement dated as of November 7, 2005, as amended (the “Agreement”), between Transamerica Asset Management, Inc. and X.X. Xxxxxx Investment Management Inc.
In consideration of the mutual covenants contained herein, the parties agree as follows:
