ASSIGNMENT, ASSUMPTION AND RECOGNITION AGREEMENT
This Assignment, Assumption and Recognition Agreement (the “AAR Agreement”) is made and entered into as of April 30, 2007 (the “Closing Date”), among DB Structured Products, Inc., having an address at 00 Xxxx Xxxxxx, Xxx Xxxx, Xxx Xxxx 00000 (the “Assignor”), Deutsche Alt-A Securities, Inc., having an address at 00 Xxxx Xxxxxx, Xxx Xxxx, Xxx Xxxx 00000 (the “Assignee”), and Ocwen Loan Servicing, LLC (successor to Ocwen Federal Bank FSB), having an address at 0000 Xxxxxxxxxxx Xxxx, Xxxxxx Xxxx Xxxx Xxxxx 000, Xxxx Xxxx Xxxxx, Xxxxxxx 00000 (the “Company” or the “Servicer”) and acknowledged and agreed to by Xxxxx Fargo Bank, N.A., as master servicer (the “Master Servicer”).
In consideration of the mutual promises contained herein, the parties hereto agree that the residential mortgage loans listed on Attachment 1 annexed hereto (the “Assigned Loans”), which are now serviced by the Company on behalf of the Assignor and its successors and assigns pursuant to the Interim Servicing and Servicing Rights Purchase Agreement, dated as of February 1, 2004 as amended by Amendment Number One, dated June 30, 2004, by and among the Assignor, Ocwen Financial Corporation and the Company (the “Servicing Agreement”), shall be sold by the Assignor to the Assignee pursuant to the Mortgage Loan Purchase Agreement, dated as of April 30, 2007 (the “MLPA”), between the Assignor and the Assignee and subject to the terms of this AAR Agreement. The Assignee intends to transfer all right, title and interest in and to the Assigned Loans to HSBC Bank USA, National Association, as trustee (the “Trustee”) for the holders of Deutsche Alt-A Securities Mortgage Loan Trust, Series 2007-AR3 Mortgage Pass-Through Certificates (the “Certificateholders”) pursuant to the Pooling and Servicing Agreement, dated as of April 1, 2007 (the “Pooling and Servicing Agreement”) among the Assignee, as depositor, the Trustee, Xxxxx Fargo Bank, N.A., as Master Servicer and as securities administrator (the “Securities Administrator”), and Xxxxxxx Fixed Income Services Inc., as credit risk manager. Capitalized terms used herein but not defined shall have the meanings ascribed to them in the Servicing Agreement.
Assignment and Assumption

Assignor hereby grants, transfers and assigns to Assignee all of the right, title and interest of Assignor in, to and under the Servicing Agreement as it relates to the servicing of the Assigned Loans (other than the ownership of the servicing rights). Assignor specifically reserves and does not assign to Assignee any right, title and interest in, to or under the Servicing Agreement, as it relates to loans other than the Assigned Loans set forth on Attachment 1. Notwithstanding anything to the contrary contained herein, the Assignor specifically reserves and does not assign to the Assignee any right, title and interest in, to or under the representations and warranties contained in Sections 4.01 and 4.03 of the Servicing Agreement, the right to enforce the representations and warranties set forth in Article 4 of the Servicing Agreement against the Company.
Representations, Warranties and Covenants

Assignor warrants and represents to Assignee and Company as of the Closing Date:
(a)
Attached hereto as Attachment 2 is a true and accurate copy of the Servicing Agreement, which agreement is in full force and effect as of the Closing Date and the provisions of which have not been waived, amended or modified in any respect, nor has any notice of termination been given thereunder;
(b)
Assignor is the lawful owner of the Assigned Loans with full right to transfer the Assigned Loans and any and all of its interests, rights and obligations under the Servicing Agreement as they relate to the Assigned Loans, free and clear from any and all claims and encumbrances; and upon the transfer of the Assigned Loans to Assignee under the MLPA, Assignee shall have good title to each and every Assigned Loan, as well as any and all of Assignor’s interests, rights and obligations under the Servicing Agreement as they relate to the Assigned Loans, free and clear of any and all liens, claims and encumbrances;
(c)
Assignor is duly organized, validly existing and in good standing under the laws of the jurisdiction of its incorporation, and has all requisite power and authority to acquire, own and sell the Assigned Loans;
(d)
Assignor has full corporate power and authority to execute, deliver and perform its obligations under this AAR Agreement, and to consummate the transactions set forth herein. The consummation of the transactions contemplated by this AAR Agreement is in the ordinary course of Assignor’s business and will not conflict with, or result in a breach of, any of the terms, conditions or provisions of Assignor’s certificate of incorporation or by-laws or any legal restriction, or any material agreement or instrument to which Assignor is now a party or by which it is bound, or result in the violation of any law, rule, regulation, order, judgment or decree to which Assignor or its property is subject. The execution, delivery and performance by Assignor of this AAR Agreement and the consummation by it of the transactions contemplated hereby, have been duly authorized by all necessary corporate action on the part of Assignor. This AAR Agreement has been duly executed and delivered by Assignor and, upon the due authorization, execution and delivery by Assignee and Company, will constitute the valid and legally binding obligation of Assignor enforceable against Assignor in accordance with its terms except as enforceability may be limited by bankruptcy, reorganization, insolvency, moratorium or other similar laws now or hereafter in effect relating to creditors’ rights generally, and by general principles of equity regardless of whether enforceability is considered in a proceeding in equity or at law; and
(e)
No consent, approval, order or authorization of, or declaration, filing or registration with, any governmental entity is required to be obtained or made by Assignor in connection with the execution, delivery or performance by Assignor of this AAR Agreement, or the consummation by it of the transactions contemplated hereby. Neither Assignor nor anyone acting on its behalf has offered, transferred, pledged, sold or otherwise disposed of the Assigned Loans or any interest in the Assigned Loans, or solicited any offer to buy or accept a transfer, pledge or other disposition of the Assigned Loans, or any interest in the Assigned Loans or otherwise approached or negotiated with respect to the Assigned Loans, or any interest in the Assigned Loans with any Person in any manner, or made any general solicitation by means of general advertising or in any other manner, or taken any other action, which would constitute a distribution of the Assigned Loans under the Securities Act of 1933, as amended (the “1933 Act”) or which would render the disposition of the Assigned Loans a violation of Section 5 of the 1933 Act or require registration pursuant thereto.

Assignee warrants and represents to, and covenants with, Assignor and Company as of the Closing Date:
(a)
Assignee is duly organized, validly existing and in good standing under the laws of the jurisdiction of its incorporation and has all requisite power and authority to acquire, own and purchase the Assigned Loans;
(b)
Assignee has full corporate power and authority to execute, deliver and perform its obligations under this AAR Agreement, and to consummate the transactions set forth herein. The consummation of the transactions contemplated by this AAR Agreement is in the ordinary course of Assignee’s business and will not conflict with, or result in a breach of, any of the terms, conditions or provisions of Assignee’s certificate of incorporation or by-laws or any legal restriction, or any material agreement or instrument to which Assignee is now a party or by which it is bound, or result in the violation of any law, rule, regulation, order, judgment or decree to which Assignee or its property is subject. The execution, delivery and performance by Assignee of this AAR Agreement and the consummation by it of the transactions contemplated hereby, have been duly authorized by all necessary corporate action on the part of Assignee. This AAR Agreement has been duly executed and delivered by Assignee and, upon the due authorization, execution and delivery by Assignor and Company, will constitute the valid and legally binding obligation of Assignee enforceable against Assignee in accordance with its terms except as enforceability may be limited by bankruptcy, reorganization, insolvency, moratorium or other similar laws now or hereafter in effect relating to creditors’ rights generally, and by general principles of equity regardless of whether enforceability is considered in a proceeding in equity or at law;
(c)
No consent, approval, order or authorization of, or declaration, filing or registration with, any governmental entity is required to be obtained or made by Assignee in connection with the execution, delivery or performance by Assignee of this AAR Agreement, or the consummation by it of the transactions contemplated hereby; and
(d)
Assignee agrees to be bound by all of the terms, covenants and conditions of the Servicing Agreement with respect to the Assigned Loans, and from and after the Closing Date, Assignee assumes for the benefit of each of Assignor and Company all of Assignor’s obligations thereunder but solely with respect to such Assigned Loans.

Company warrants and represents to, and covenants with, the Assignor and the Assignee (unless otherwise specified) as of the Closing Date:
(a)
Attached hereto as Attachment 2 is a true and accurate copy of the Servicing Agreement, which agreement is in full force and effect as of the Closing Date and the provisions of which have not been waived, amended or modified in any respect, nor has any notice of termination been given thereunder;
(b)
The Company shall establish a Custodial Account and an Escrow Account under the Servicing Agreement with respect to the Assigned Loans separate from the Custodial Account and Escrow Account previously established under the Servicing Agreement in favor of Assignor, and shall remit collections received. The Custodial Account and Escrow Account shall be entitled “Ocwen Federal Bank FSB, as servicer in trust for Deutsche Alt-A Securities Mortgage Loan Trust, Series 2007-AR3”;

The Company hereby restates to the Assignor the representations and warranties set forth in Subsection 4.01 as of the Closing Date. In the event of a breach of any such representations and warranties as of the date set forth above, the Assignor shall be entitled to all the remedies under the Servicing Agreement.
Recognition of Assignee.

From and after the Closing Date, the Company shall recognize Assignee as owner of the Assigned Loans, and acknowledges that the Assigned Loans will be part of a REMIC, and will service the Assigned Loans in accordance with the Servicing Agreement, as modified herein, but in no event in a manner that would (i) cause any REMIC to fail to qualify as a REMIC or (ii) result in the imposition of a tax upon any REMIC (including but not limited to the tax on prohibited transactions as defined in Section 860F(a)(2) of the Code and the tax on contributions to a REMIC set forth in Section 860G(d) of the Code). It is the intention of the Assignor, the Company and the Assignee that this AAR Agreement shall be binding upon and for the benefit of the respective successors and assigns of the parties hereto. Neither the Company nor the Assignor shall amend or agree to amend, modify, waive, or otherwise alter any of the terms or provisions of the Servicing Agreement which amendment, modification, waiver or other alteration would in any way affect the Assigned Loans without the prior written consent of the Trustee and, with respect to the servicing of the Assigned Loans, the Master Servicer. Company hereby acknowledges that pursuant to the Pooling and Servicing Agreement, the Assignee will assign all of its rights under this AAR Agreement to the Trustee for the benefit of the Certificateholders. Company hereby acknowledges and consents to the assignment by the Assignee of all of the Assignee’s rights against the Company pursuant to this AAR Agreement and to the enforcement or exercise of any right or remedy against the Company pursuant to this AAR Agreement by the Trustee.
Modification of Servicing Agreement

The Company and the Assignor hereby modify the Servicing Agreement with respect to the Assigned Loans as follows:
(a)
The following definitions in Article 1 of the Servicing Agreement are modified by deleting such definitions in their entirety and replacing them with the following
Business Day: Any day other than a Saturday, a Sunday or a day on which banking and savings and loan institutions in the States of Florida, New Jersey, Minnesota, Maryland or New York, or the state in which the servicing operations of the Servicer are located are authorized or obligated by law or executive order to be closed.
Determination Date: With respect to each Remittance Date, the 15th day of the month in which the Remittance Date occurs, or if not a Business Day, the Business Day immediately preceding such 15th day.
Remittance Date: The 18th day of each calendar month or if such 18th day is not a Business Day, the Business Day immediately preceding such 18th day; provided, that the first Remittance Date shall be May 18th, 2007.
REO Property: Any Mortgaged Property that was subject to a Mortgage Loan after such Mortgaged Property has been acquired on behalf of the Owner pursuant to this Agreement through foreclosure or similar proceedings, acceptance of deed-in-lieu of foreclosure, acquisition of title in lieu of foreclosure or the acquisition of title by operation of law.
Servicing Fee: With respect to each Mortgage Loan, the amount of the annual fee the Owner shall pay to the Servicer, which shall, for a period of one full month, be equal to one-twelfth of the product of (a) the Servicing Fee Rate and (b) the Stated Principal Balance of such Mortgage Loan. Such fee shall be payable monthly, computed on the basis of the same principal amount and period respecting which any related interest payment on a Mortgage Loan is received. The obligation of the Owner to pay the Servicing Fee is limited to, and the Servicing Fee is payable solely from, the interest portion (including recoveries with respect to interest from Liquidation Proceeds, to the extent permitted by Section 5.14 of such Monthly Payment collected by the Servicer, or as otherwise provided under Section 5.14.
(b)
The definition of “Nonrecoverable Monthly Advance” in Article 1 of the Servicing Agreement is amended by adding the words “or Monthly Advance” after the word “Advance” in each of the first and third lines.
(c)
The definition of “Servicing Advances” in Article 1 of the Servicing Agreement is amended by deleting the words “a Nonrecoverable Servicing Advance” in each of the third and fourth lines and replacing them with the word “nonrecoverable”.
(d)
Article 1 of the Servicing Agreement is modified by adding the following new definition thereto:
Balloon Mortgage Loan: A Mortgage Loan that provides for the payment of the unamortized principal balance of such Mortgage Loan in a single payment, that is substantially greater than the preceding monthly payment at the maturity of such Mortgage Loan.
Balloon Payment: A payment of the unauthorized principal balance of a Mortgage Loan in a single payment, that is substantially greater than the preceding Monthly Payment at the maturity of such Mortgage Loan.
Depositor: Deutsche Alt-A Securities, Inc., a Delaware corporation, or its successor in interest.
Due Period: With respect to each Remittance Date, the period commencing on the second day of the month preceding the month of the Remittance Date and ending on the first day of the month of the Remittance Date.
Exchange Act: The Securities Exchange Act of 1934, as amended, and the rules and regulations thereunder.
Monthly Advance: The portion of each Monthly Payment that is delinquent with respect to each Mortgage Loan at the close of business on the Determination Date and required to be advanced by the Servicer pursuant to Section 5.02A on the Remittance Date of the related month.
Mortgage Loan Remittance Rate: With respect to each Mortgage Loan, the annual rate of interest remitted to the Owner, which shall be equal to the related Mortgage Interest Rate minus the Servicing Fee Rate and minus any lender paid premium with respect to any Primary Insurance Policies, if applicable.
PCAOB: Means the Public Company Accounting Oversight Board.
Prepayment Period: With respect to each Remittance Date, the calendar month preceding the month in which the Remittance Date occurs.
Prepayment Interest Shortfall Amount: With respect to any Mortgage Loan that was subject to a Principal Prepayment in full or in part during the Prepayment Period, the amount, if any, by which one month’s interest at the related Mortgage Loan Remittance Rate on such Principal Prepayment exceeds the amount of interest paid in connection with such Principal Prepayment.
Regulation AB: Means Subpart 229.1100 – Asset Backed Securities (Regulation AB), 17 C.F.R. §§229.1100-229.1123, as such any be amended from time to time, and subject to such clarification and interpretation as have been provided by the Commission in the adopting release (Asset-Backed Securities, Securities Act Release No. 33-8518, 70 Fed. Reg. 1,506, 1,531 (Jan. 7, 2005)) or by the staff of the Commission, or as may be provided by the Commission or its staff from time to time.
Relevant Servicing Criteria: Means the servicing criteria applicable to the various parties, as set forth on Exhibit N attached hereto.
REO Disposition Proceeds: All amounts received with respect to an REO Disposition pursuant to Section 5.14.
Xxxxxxxx-Xxxxx Act: Means the Xxxxxxxx-Xxxxx Act of 2002 and the rules and regulations of the Commission promulgated thereunder (including any interpretations thereof by the Commission’s staff).
Xxxxxxxx-Xxxxx Certification: A written certification signed by an officer of the Master Servicer that complies with (i) the Xxxxxxxx-Xxxxx Act of 2002, as amended from time to time, and (ii) Exchange Act Rules 13a-14(d) and 15d-14(d), as in effect from time to time; provided that if, after the Closing Date (a) the Xxxxxxxx-Xxxxx Act of 2002 is amended, (b) the Rules referred to in clause (ii) are modified or superseded by any subsequent statement, rule or regulation of the Commission or any statement of a division thereof, or (c) any future releases, rules and regulations are published by the Commission from time to time pursuant to the Xxxxxxxx-Xxxxx Act of 2002, which in any such case affects the form or substance of the required certification and results in the required certification being, in the reasonable judgment of the Master Servicer, materially more onerous that then form of the required certification as of the Closing Date, the Xxxxxxxx-Xxxxx Certification shall be as agreed to by the Master Servicer, the Depositor and the Sponsor following a negotiation in good faith to determine how to comply with any such new requirements.
Securities Administrator: The Master Servicer.
Servicemembers Civil Relief Act: The Servicemembers Civil Relief Act, as amended, or any similar state or local law.
Servicing Criteria: Means the criteria set forth in paragraph (d) of Item 1122 of Regulation AB, as such may be amended from time to time.
Servicing Fee Rate: 0.25% per annum for each fixed rate Mortgage Loan and 0.375% per annum for each adjustable rate Mortgage Loan.
Servicing Function Participant: Means any sub-servicer, subcontractor or any other Person engaged by the Servicer, that is determined to be “participating in the servicing function” within the meaning of Item 1122 of Regulation AB.
Stated Principal Balance: As to each Mortgage Loan and as of any date of determination, (i) the principal balance of the Mortgage Loan at the Cut-off Date after giving effect to payments of principal due on or before such date, whether or not received, minus (ii) all amounts previously distributed to the Owner with respect to the related Mortgage Loan representing payments or recoveries of principal.
Subcontractor: Means any vendor, subcontractor or other Person that is not responsible for the overall servicing of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB (without regards to any threshold percentage specified therein) with respect to Mortgage Loans under the direction or authority of any Servicer (or a Sub-Servicer of any Servicer), the Master Servicer, the Trustee, a Custodian or the Securities Administrator.
Sub-Servicer: Means any Person that services Mortgage Loans on behalf of any Servicer and is responsible for the performance (whether directly or through sub-servicers or Subcontractors) of a substantial portion of the material servicing functions required to be performed under this Agreement or any related Sub-Servicing Agreement that is identified in Item 1122(d) of Regulation AB.
Trust: Deutsche Alt-A Securities Mortgage Loan Trust, Series 2007-AR3
Trustee: HSBC Bank USA, National Association, its successors and assigns.
(e)
Article 3 of the Servicing Agreement is hereby deleted and replaced with the word “[RESERVED]”.
(f)
The first paragraph of Section 5.01 to the Servicing Agreement is modified by deleting the words “actual/actual” in the second line and replacing them with the words “scheduled/scheduled”.
(g)
A new Section 5.02A to the Servicing Agreement is hereby added as follows:
Section 5.02A.
Monthly Advances by Servicer.
On each Remittance Date, the Servicer shall deliver to the Master Servicer from its own funds or from amounts held for future distribution an amount equal to all Monthly Payments (with interest adjusted to the Mortgage Loan Remittance Rate) which were due on the Mortgage Loans during the applicable Due Period and which were delinquent at the close of business on the Determination Date or which were deferred pursuant to Section 5.01. For purposes of the preceding sentence, the Monthly Payment on each Balloon Mortgage Loan with a delinquent Balloon Payment is equal to the assumed monthly payment that would have been due on the related Due Date based on the original principal amortization schedule for such Balloon Mortgage Loan. Any amounts held for future distribution and so used shall be replaced by the Servicer by deposit in the Custodial Account on or before any future Remittance Date if funds in the Custodial Account on such Remittance Date shall be less than payments to the Owner required to be made on such Remittance Date. The Servicer shall be obligated to make such advances through the last Remittance Date prior to the Remittance Date for the distribution of all Liquidation Proceeds and other payments or recoveries (including REO Disposition Proceeds, Insurance Proceeds and Condemnation Proceeds) with respect to the Mortgage Loan; provided however, that such obligation shall cease if the Servicer determines, in its sole reasonable opinion, that Advances with respect to such Mortgage Loan are non-recoverable by the Servicer from Liquidation Proceeds, REO Disposition Proceeds, Insurance Proceeds, Condemnation Proceeds, or otherwise with respect to a particular Mortgage Loan. In the event that the Servicer determines that any such Advances are non-recoverable, the Servicer shall provide the Owner with an Officers’ Certificate evidencing such determination. The Servicer shall not be obligated to advance shortfalls of interest resulting from the Application of the Service members’ Civil Relief Act or any similar state laws or bankruptcy.
(h)
The second paragraph of Section 5.04 to the Servicing Agreement is modified by deleting the words “net of the Servicing Fee as provided in Section 7.03” in subpart (i) and replacing them with the words “adjusted to the Mortgage Loan Remittance Rate”.
(i)
The second paragraph of Section 5.04 to the Servicing Agreement is modified by adding the following subpart after subpart (viii):
(ix) with respect to each Principal Prepayment in full, the Prepayment Interest Shortfall Amount, if any, for the month of distribution. Such deposit shall be made from the Servicer’s own funds, without any right of reimbursement therefore up to a maximum amount per month of the Servicing Fee actually received for such month for the Mortgage Loans;
(j)
The second paragraph of Section 5.05 to the Servicing Agreement is modified by adding the words “to reimburse itself for any unpaid Servicing Fees and” in the beginning of subpart (ii).
(k)
The second paragraph of Section 5.05 to the Servicing Agreement is modified by adding the following subpart after subpart (vii):
(ix) to reimburse itself for Monthly Advances of the Servicer’s funds made pursuant to Section 5.02A, the Servicer’s right to reimburse itself pursuant to this sub clause (ii) being limited to amounts held for future distribution and received on the related Mortgage Loan which represent late Monthly Payments, Liquidation Proceeds and such other amounts as may be collected by the Servicer respecting which any such advance was made, it being understood that, in the case of any such reimbursement, the Servicer’s right thereto shall be prior to the rights of Owner, and all other amounts required to be paid to the Owner with respect to such Mortgage Loan;
(l)
The fourth paragraph of Section 5.14 to the Servicing Agreement is modified by deleting such paragraph in its entirety and replacing it with the following:
The Servicer shall use its best efforts to dispose of the REO Property as soon as possible and shall sell such REO Property in any event within one (1) year after title has been taken to such REO Property (excluding any applicable redemption periods), unless (i) a REMIC election has not been made with respect to the arrangement under which the Mortgage Loans and the REO Property are held, and (ii) the Servicer determines, and gives an appropriate notice to the Owner to such effect, that a longer period is necessary for the orderly liquidation of such REO Property. If a period longer than one (1) year is permitted under the foregoing sentence, (i) the Servicer shall report monthly to the Owner as to the progress being made in selling such REO Property and (ii) if a purchase money mortgage is taken in the name of the Servicer, as mortgagee, in connection with such sale, such purchase money mortgage shall not be held pursuant to this Agreement.
(m)
A new Section 5.17 to the Servicing Agreement is hereby added as follows:
5.17
Monthly Reporting.
Notwithstanding anything to the contrary in the Servicing Agreement, with respect to the Mortgage Loans, not later than the sixteenth calendar day of each month (or if such sixteenth calendar day is not a Business Day, the immediately succeeding Business Day), the Servicer shall furnish to the Master Servicer (i)(a) monthly loan data as set forth in Exhibit E hereto (or in such other format mutually agreed-upon between the Servicer and the Master Servicer), (b) default loan data as set forth in Exhibit E hereto (or in such other format mutually agreed upon between the Servicer and the Master Servicer) and (c) information regarding the realized losses and gains as set forth in Exhibit E hereto (or in such other format mutually agreed-upon between the Servicer and the Master Servicer), in each case relating to the period ending on the last day of the preceding calendar month, (ii) all such information required pursuant to clause (i)(a) above on a magnetic tape, electronic mail, or other similar media reasonably acceptable to the Master Servicing, and (iii) all supporting documentation with respect to the information required under the preceding paragraph.
(n)
The first paragraph of Section 6.01 to the Servicing Agreement is modified by deleting the word “preceding” in the second line after the words “business on the”.
(o)
The third paragraph of Section 6.01 to the Servicing Agreement is modified by deleting such paragraph in its entirety and replacing it with the following:
With respect to any remittance received by the Owner after the day on which such payment was due, the Servicer shall pay to the Owner interest on any such late payment at an annual rate equal to the Prime Rate, adjusted as of the date of each change, plus three percentage points, but in no event greater than the maximum amount permitted by applicable law. Such interest shall be paid by the Servicer to the Owner on the date such late payment is made and shall cover the period commencing with the day following the day on which such payment was due and ending with the day on which such payment is made, both inclusive. Such interest shall be remitted along with such late payment. The payment by the Servicer of any such interest shall not be deemed an extension of time for payment or a waiver of any Event of Default by the Servicer.
(p)
The second paragraph of Section 6.02 to the Servicing Agreement is modified by deleting the words “occurring in the following month” in the second line after the words “Remittance Date”.

Section 7.04 to the Servicing Agreement is modified by deleting such Section in its entirety and replacing it with the following:
SECTION 7.04 Annual Statement as to Compliance.
(i)
The Servicer shall deliver (and shall cause any sub-servicer engaged by it to deliver) to the Master Servicer and to the Depositor on or before March 15 of each year, commencing in March 2008, an Officer’s Certificate stating, as to the signer thereof, that (A) a review of such party’s activities during the preceding calendar year or portion thereof and of the Servicer’s performance under this Agreement, or such other applicable agreement in the case of a Sub-Servicer, has been made under such officer’s supervision and (B) to the best of such officer’s knowledge, based on such review, such party has fulfilled all its obligations under this Agreement, or such other applicable agreement in the case of a Sub-Servicer, in all material respects throughout such year or portion thereof, or, if there has been a failure to fulfill any such obligation in any material respect, specifying each such failure known to such officer and the nature and status thereof. Promptly after receipt of each such Officer’s Certificate from the Servicer, any sub-servicer engaged by the Servicer, the Depositor shall review such Officer’s Certificate and, if applicable, consult with each such party, as applicable, as to the nature of any failures by such party, in the fulfillment of any of the Servicer’s obligations hereunder or, in the case of a Sub-Servicer, under such other applicable agreement.
(ii)
Failure of the Servicer to comply timely with this Section 7.04 shall be deemed an Event of Default, automatically, without notice and without any cure period, and the Master Servicer may, in addition to whatever rights the Master Servicer may have under this Agreement and at law or in equity or to damages, including injunctive relief and specific performance, terminate all the rights and obligations of the Servicer under this Agreement and in and to the Mortgage Loans and the proceeds thereof without compensating the Servicer for the same (other than the Servicer’s right to reimbursement of unreimbursed Monthly Advances and Servicing Advances and accrued and unpaid Servicing Fees in the manner provided in this Agreement). This paragraph shall supersede any other provision in this Agreement or any other agreement to the contrary.
(iii)
In the event the Servicer or any Sub-Servicer engaged by the Servicer is terminated, assigns its rights and obligations under or resigns pursuant to the terms of this Agreement, or any applicable agreement in the case of a sub-servicer, as the case may be, such party shall provide an Officer’s Certificate with respect to the related year pursuant to this Section 7.04 or to such other applicable agreement, as the case may be, notwithstanding any such termination, assignment or resignation for the related year.
(v)
Section 7.05 to the Servicing Agreement is modified by deleting such Section in its entirety and replacing it with the following:
SECTION 7.05 Assessments of Compliance and Attestation Reports.
(i)
By March 15 of each year, commencing in March 2008, the Servicer, at its own expense, shall furnish, and shall cause any Servicing Function Participant engaged by it to furnish, each at its own expense, to the Master Servicer, a report on an assessment of compliance with the Relevant Servicing Criteria, as specified in Exhibit N attached hereto, that contains (A) a statement by such party of its responsibility for assessing compliance with the Relevant Servicing Criteria, (B) a statement that such party used the Relevant Servicing Criteria to assess compliance with the Relevant Servicing Criteria, (C) such party’s assessment of compliance with the Relevant Servicing Criteria as of and for the fiscal year covered by the Form 10-K required to be by the Trust including, if there has been any material instance of noncompliance with the Relevant Servicing Criteria, a discussion of each such failure and the nature and status thereof, and (D) a statement that a registered public accounting firm has issued an attestation report on such party’s assessment of compliance with the Relevant Servicing Criteria as of and for such period. Notwithstanding the foregoing, neither the Servicer nor any Servicing Function Participant engaged by the Servicer shall be required to deliver any assessments until March 31st in any given year so long as it has not received written confirmation from the Depositor that a Form 10-K is required to be filed in respect of the Trust for the preceding calendar year; provided however that, notwithstanding the foregoing, no subcontractor will be required to deliver any assessments in any given year in which the Form 10-K is not required to be filed.
(ii)
By March 15 of each year, commencing in March 2008, the Servicer, at its own expense, shall cause, and shall cause any Servicing Function Participant engaged by it to cause, each at its own expense, a registered public accounting firm (which may also render other services to the Servicer or such other Servicing Function Participants, as the case may be) and that is a member of the American Institute of Certified Public Accountants to furnish a report to the Master Servicer, to the effect that (i) it has obtained a representation regarding certain matters from the management of such party, which includes an assertion that such party has complied with the Relevant Servicing Criteria, and (ii) on the basis of an examination conducted by such firm in accordance with standards for attestation engagements issued or adopted by the Public Company Accounting Oversight Board, it is expressing an opinion as to whether such party’s compliance with the Relevant Servicing Criteria was fairly stated in all material respects, or it cannot express an overall opinion regarding such party’s assessment of compliance with the Relevant Servicing Criteria. In the event that an overall opinion cannot be expressed, such registered public accounting firm shall state in such report why it was unable to express such an opinion. Such report must be available for general use and not contain restricted use language. Notwithstanding the foregoing, neither the Servicer nor any Servicing Function Participant engaged by the Servicer shall be required to deliver or cause the delivery of such reports until March 31st in any given year so long as the Servicer has received written confirmation from the Depositor that a Form 10-K is not required to be filed in respect of the Trust for the preceding fiscal year; provided, however, notwithstanding the foregoing, no Subcontractor will be required to deliver any reports in any given year in which the Form 10-K is not required to be filed.
(iii)
Failure of the Servicer to comply timely with this Section 7.05 shall be deemed an Event of Default as to the Servicer, automatically, without notice and without any cure period, and the Master Servicer may, in addition to whatever rights the Master Servicer may have under this Agreement and at law or in equity or to damages, including injunctive relief and specific performance, terminate all the rights and obligations of the Servicer under this Agreement and in and to the Mortgage Loans and the proceeds thereof without compensating the Servicer for the same (other than the Servicer’s right to reimbursement of unreimbursed Monthly Advances and Servicing Advances and accrued and unpaid Servicing Fees in the manner provided for in this Agreement). This paragraph shall supersede any other provision in this Agreement or any other agreement to the contrary.
(iv)
In the event the Servicer or any Servicing Function Participant engaged by the Servicer is terminated, assigns its rights and obligations under, or resigns pursuant to the terms of this Agreement, or any applicable agreement in the case of a Servicing Function Participant, as the case may be, such party shall provide a report on assessment of compliance with respect to the related year pursuant to this Section 7.05 or to such other applicable agreement, notwithstanding any such termination, assignment or resignation for the related year.
(w)
Section 7.06 to the Servicing Agreement is modified by deleting such Section in its entirety and replacing it with the following:
SECTION 7.06 Annual Certification; Additional Information.
(i)
The Servicer shall and shall cause any Servicing Function Participant engaged by it to, provide to the Person who signs the Xxxxxxxx-Xxxxx Certification (the “Certifying Person”), by March 15 of each year in which the Trust is subject to the reporting requirements of the Exchange Act a certification (each, a “Back-Up Certification”), in the form attached hereto as Exhibit K, upon which the Certifying Person, the entity for which the Certifying Person acts as an officer, and such entity’s officers, directors and Affiliates (collectively with the Certifying Person, “Certification Parties”) can reasonably rely. The officer of the Master Servicer in charge of the master servicing function shall serve as the Certifying Person on behalf of the Trust. In the event the Servicer or any Servicing Function Participant engaged by it is terminated or resigns pursuant to the terms of this Agreement, or any applicable sub-servicing agreement, as the case may be, such party shall provide a Back-Up Certification to the Certifying Person pursuant to this Section 7.06 with respect to the period of time it was subject to this Agreement or any applicable sub-servicing agreement, as the case may be.
(ii)
The Servicer shall provide to the Master Servicer prompt notice of the occurrence of any of the following:
(a)
any Event of Default with respect to the Servicer under the terms of this Agreement, any merger, consolidation or sale of substantially all of the assets of the Servicer, the Servicer’s engagement of any sub-servicer to perform or assist in the performance of any of the Servicer’s obligations under this Agreement, any material litigation involving the Servicer that is material to the Certificateholders, and to the extent disclosure is required under Regulation AB, any affiliation or other significant relationship between the Servicer and the Sponsor, the Depositor, the Master Servicer, the Securities Administrator, the Trustee, the Custodian, the Swap Provider and the Cap Provider.
(b)
If the Servicer has knowledge of the occurrence of any of the events described in this clause (b), then no later than ten days prior to the deadline for the filing of any Distribution Report on Form 10-D in respect of the Trust, the Servicer shall provide to the Master Servicer notice of the occurrence of any of the following events along with all information, data, and materials related thereto as may be required to be included in the related Distribution Report on Form 10-D (as specified in the provisions of Regulation AB referenced below):
(1)
any material modifications, extensions or waivers of pool asset terms, fees, penalties or payments during the distribution period or that have cumulatively become material over time (Item 1121(a)(11) of Regulation AB);
(2)
material breaches of pool asset representations or warranties or servicer transaction covenants (Item 1121(a)(12) of Regulation AB); and
(3)
any material pool asset changes (such as, additions, substitutions or repurchases) relating to the Mortgage Loans serviced by the Servicer (Item 1121(a)(14) of Regulation AB).
(iii)
The Servicer shall provide to the Securities Administrator and the Master Servicer such additional information as the Securities Administrator and the Master Servicer may reasonably request, including evidence of the authorization of the person signing any certification or statement, financial information and reports and of the fidelity bond and errors and omissions insurance policy required to be maintained by the Servicer pursuant to this Agreement, and such other information related to the Servicer or its performance hereunder.
(x)
The first paragraph of Section 8.01 to the Servicing Agreement is modified by adding the words “, any assignee of the Owner” after the word “Owner” in the second line.
(y)
The first paragraph of Section 8.01 to the Servicing Agreement is modified by deleting the word “its” after the word “and” in the second line and replacing it with the word “the”.
(z)
The first paragraph of Section 8.01 to the Servicing Agreement is modified by adding the words “thereof” after the word “agents” in the third line.
(aa)
Section 8.01 to the Servicing Agreement is modified by adding the following as subsection (d):
(d)
The Servicer shall indemnify and hold harmless the Master Servicer, the Securities Administrator, the Trustee, the Depositor and their respective officers, directors, agents and affiliates from and against any losses, damages, penalties, fines, forfeitures, reasonable legal fees and related costs, judgments and other costs and expenses arising out of or based upon a breach by the Servicer or any of its officers, directors, agents or affiliates of its obligations under Section 7.04, 7.05 and 7.06 or the Servicer’s negligence, bad faith or willful misconduct in connection therewith. Such indemnity shall survive the termination or resignation of the parties hereto or the termination of this Agreement. If the indemnification provided for herein is unavailable or insufficient to hold harmless the Master Servicer, the Securities Administrator, the Trustee and the Depositor, then the Servicer agrees that it shall contribute to the amount paid or payable by the Master Servicer, the Securities Administrator, the Trustee and the Depositor as a result of the losses, claims, damages or liabilities of the Master Servicer, the Securities Administrator, the Trustee and the Depositor in such proportion as is appropriate to reflect the relative fault of the Master Servicer, the Securities Administrator, the Trustee and the Depositor on the one hand and the Servicer on the other in connection with a breach of the Servicer’s obligations under Section 7.06.
(bb)
The first paragraph of Section 9.01 to the Servicing Agreement is modified by deleting subpart (xi) in its entirety and replacing it with the following:
(xi) the Servicer fails to duly perform, within the required time period, its obligations under Section 7.04, 7.05 and 7.06 of the Agreement.
(cc)
Section 10.01 to the Servicing Agreement is hereby amended by adding the following as subsection (d):
(d)
Notwithstanding any other provisions in this Agreement, the Master Servicer shall enforce the obligations of the Servicer under this Agreement and in the event that the Servicer fails to perform its obligations in accordance with this Agreement, shall terminate the rights and obligations of the Servicer. In the event that the Master Servicer, in its judgment, determines that the Servicer should be terminated in accordance with the terms of this Agreement, the Master Servicer shall notify the Servicer, the Depositor and the Trustee and take such other action as it deems appropriate. In the event that the Master Servicer, in its judgment, determines that a notice should be sent pursuant to this Agreement with respect to the occurrence of an event that, unless cured, would constitute an Event of Default, the Master Servicer shall notify the Servicer or take such other action as it deems appropriate.
(dd)
Section 10.01(a) to the Servicing Agreement is hereby deleted in its entirety and replaced with the following:
Termination. This Agreement shall termination with respect to the Mortgage Loans upon either: (i) the later of the final payment or other liquidation (or any advance with respect thereto) of the last Mortgage Loan or the disposition of any REO Property with respect to the last Mortgage Loan and the remittance of all funds due hereunder; or (ii) mutual consent of the Servicer and the Owner in writing; or (iii) termination pursuant to Section 9.01 or 11.02. In the event of a termination of the Servicer under Section 9.01, no liquidation damages shall be payable to the Servicer and the Servicer shall be required, at its own expenses, to deliver to the Custodian the entire contents of the Mortgage File in its possession, to the extent such contents were not previously delivered to the Custodian pursuant to this Agreement or the Custodial Agreement.
(ee)
Section 10.01(c) to the Servicing Agreement is hereby deleted in its entirety.
(ff)
Section 10.02(i) to the Servicing Agreement is hereby modified by adding “(including advances of principal and interest)” after each instance of the words “trailing expenses”.
(gg)
Section 11.13 to the Servicing Agreement is hereby deleted in its entirety and replaced with the words “[RESERVED]”.
(hh)
Section 11.18 to the Servicing Agreement is hereby modified by adding the following sentences at the end of such section:
Notwithstanding any provision herein to the contrary, the parties to this Agreement agree that it is appropriate, in furtherance of the intent of such parties as set forth herein, that the Master Servicer receives the benefit of the provisions of this Agreement as an intended third-party beneficiary of this Agreement to the extent of such provisions. The Servicer shall have the same obligations to the Master Servicer as if the Master Servicer was a party to this Agreement, and the Master Servicer shall have the same rights and remedies to enforce this Agreement as if it was a party to this Agreement. Notwithstanding the foregoing, all rights and obligations of the Master Servicer hereunder (other than the right to indemnification and the indemnification obligations, as applicable) shall terminate upon termination of the Trust pursuant to the Pooling Agreement.

Section 11.19 to the Servicing Agreement is hereby deleted in its entirety and replaced with the words “[RESERVED]”.

Each party will pay any commissions it has incurred and the Assignor shall pay the fees of its attorneys and the reasonable fees of the attorneys of the Assignee and the Company in connection with the negotiations for, documenting of and closing of the transactions contemplated by this AAR Agreement.
11.
The Company hereby acknowledges that, Xxxxx Fargo Bank, N.A. has been appointed as the Master Servicer of the Assigned Loans pursuant to the Pooling and Servicing Agreement and, therefore, has the right to enforce all obligations of the Company under the Servicing Agreement. Such rights will include, without limitation, the right to terminate the Company under the Servicing Agreement upon the occurrence of an Event of Default thereunder, the right to receive all remittances required to be made by the Company under the Servicing Agreement, the right to receive all monthly reports and other data required to be delivered by the Company under the Servicing Agreement, the right to examine the books and records of the Company, indemnification rights and the right to exercise certain rights of consent and approval relating to actions taken by the Company. This AAR Agreement shall be construed in accordance with the laws of the State of New York, without regard to conflicts of law principles (other than 5-1401 of the General Obligations Law), and the obligations, rights and remedies of the parties hereunder shall be determined in accordance with such laws.
13.
No term or provision of this AAR Agreement may be waived or modified unless such waiver or modification is in writing and signed by the party against whom such waiver or modification is sought to be enforced.
14.
This AAR Agreement shall inure to the benefit of the successors and assigns of the parties hereto. Any entity into which Assignor, Assignee or Company may be merged or consolidated or which succeeds to the business or assets thereof shall, without the requirement for any further writing, be deemed Assignor, Assignee or Company, respectively, hereunder.
15.
This AAR Agreement shall survive the conveyance of the Assigned Loans, the assignment of the Servicing Agreement to the extent of the Assigned Loans by Assignor to Assignee and the termination of the Servicing Agreement.
16.
This AAR Agreement may be executed simultaneously in any number of counterparts. Each counterpart shall be deemed to be an original and all such counterparts shall constitute one and the same instrument.
17.
In the event that any provision of this AAR Agreement conflicts with any provision of the Servicing Agreement with respect to the Assigned Loans, the terms of this AAR Agreement shall control.
