AMENDMENT NO. 6
Amendment No. 6, effective as of October 21, 2013 to the Expense Limitation Agreement between AXA Equitable Funds Management Group, LLC (“FMG LLC” or the “Manager”) and EQ Advisors Trust (the “Trust”) (“Amendment No. 6”).
The Manager and Trust hereby agree to modify and amend the Expense Limitation Agreement dated as of May 1, 2011, as amended, (“Agreement”), between them as follows:
| 1. | New Portfolios. FMG LLC and the Trust have determined to add the following new Portfolios to the Agreement: |
EQ/Energy ETF Portfolio
EQ/Low Volatility Global ETF Portfolio
EQ/Convertible Securities Portfolio
AXA SmartBeta™ Equity Portfolio
All Asset Aggressive-Alt 50 Portfolio
All Asset Aggressive-Alt 75 Portfolio
(each, a “New Portfolio” and collectively, the “New Portfolios”)
| 2. | Terms and Conditions of Agreement with respect to New Portfolios. The New Portfolios will be added to the Agreement on the terms and conditions contained in the Agreement, except that the Agreement shall continue in effect for the New Portfolios until October 21, 2014. |
| 3. | Removed Portfolio. All references to the EQ/International Small Cap PLUS Portfolio shall be deleted in its entirety from the Agreement. |
| 4. | Name Changes. The names of the EQ/PIMCO Real Return Portfolio and EQ/Xxx Xxxxxx Xxxxxxxx Portfolio are changed to EQ/PIMCO Global Real Return Portfolio and EQ/Invesco Xxxxxxxx Portfolio, respectively. |
| 5. | Schedule A. Schedule A to the Agreement, which sets forth the Portfolios of the Trust, is hereby replaced in its entirety by Amendment No. 6 to Schedule A attached hereto. |
Except as modified and amended hereby, the Agreement is hereby ratified and confirmed in full force and effect in accordance with its terms.
