AMENDMENT NO. 11
FOURTH AMENDED AND RESTATED EXPENSE LIMITATION AGREEMENT
Amendment No. 11 to the Fourth Amended and Restated Expense Limitation Agreement, dated as of [September XX, 2007], between AXA Equitable Life Insurance Company (“AXA Equitable” or the “Manager”) and EQ Advisors Trust (the “Trust”) (“Amendment No. 11”).
The Manager and Trust hereby agree to modify and amend the Fourth Amended and Restated Expense Limitation Agreement dated as of May 1, 2002, as amended (“Agreement”), between them as follows:
| 1. | New Portfolios. AXA Equitable and the Trust have determined to add the [Income Portfolio], [Income and Growth Portfolio], [Balanced Portfolio], [Moderate Growth Portfolio] and [Aggressive Growth Portfolio] (“New Portfolios”), to the Agreement on the terms and conditions set forth in the Agreement, and at the level of the expense limitation applicable to the New Portfolios as set forth in the attached schedule. |
| 2. | Removed Portfolios. The following portfolios of the Trust are hereby deleted in their entirety from the Agreement: EQ/Capital Guardian U.S. Equity Portfolio, EQ/Janus Large Cap Growth Portfolio, EQ/Small Cap Value Portfolio and EQ/Xxxxx Fargo Xxxxxxxxxx Small Cap Portfolio. |
| 3. | Schedule A. Schedule A to the Agreement, which sets forth the Portfolios of the Trust, is hereby replaced in its entirety by Amendment No. 11 to Schedule A attached hereto. |
| 4. | Schedule B. Schedule B to the Agreement, which sets forth the reimbursement periods for each of the Portfolios of the Trust is hereby replaced in its entirety by the Amendment No. 11 to Schedule B attached hereto. |
Except as modified and amended hereby, the Agreement is hereby ratified and confirmed in full force and effect in accordance with its terms.
