EFFECTIVE AS OF January 1, 2006 (“Effective Date”)

This Amendment No. 4 (“Amendment No. 4”) to the OEM Distribution and License Agreement, dated September 19, 2005 (“Agreement”), is made by and among Adobe Systems Incorporated, a Delaware corporation having a place of business at 000 Xxxx Xxxxxx, Xxx Xxxx, XX 00000-0000 (“Adobe Systems”), Adobe Systems Software Ireland Limited, a company incorporated in Ireland and having a place of business at Xxxx 0000, Xxxx Xxxxx, Xxxxxxxx Xxxxxxxx Xxxxxx, Xxxxxxx X00, Xxxxxx, Xxxxxxx (“Adobe Ireland”), (both individually in their countries and collectively referred to as “Adobe”), and Electronics for Imaging, Inc., a company incorporated in Delaware and having a place of business at 000 Xxxxxxxx Xxx, Xxxxxx Xxxx, XX 00000 (“Licensee”).

NOW THEREFORE in consideration of the premises and mutual covenants contained herein, the parties agree as follows:

1. Section 8.2 of the Agreement shall be deleted and replaced in its entirety with the following:

2. All other terms and conditions of the Agreement will remain in full force and effect. This Amendment No. 4 may be executed in any number of counterparts, each of which shall be deemed an original, but all of which together shall constitute one instrument.
