OLD MUTUAL FUNDS II AMENDMENT TO EXPENSE LIMITATION AGREEMENT
AMENDMENT TO EXPENSE LIMITATION AGREEMENT
THIS AMENDMENT dated March 1, 2010 to the Expense Limitation Agreement dated January 23, 2008 (the “Expense Limitation Agreement”), by and between Old Mutual Funds II (“OMF II”) on behalf of its series portfolios (the “Funds”) and Old Mutual Capital, Inc., shall be as follows:
WHEREAS, effective following the close of business March 12, 2010, the expense limitations for the Old Mutual Cash Reserves Fund’s Class A, Class Z and Institutional Class shares will be reduced; and
WHEREAS, the parties wish to extend the term of the Expense Limitation Agreement pursuant to Paragraph 3 of the Expense Limitation Agreement.
NOW THEREFORE, the parties agree as follows:

Schedules A, B and D to the Expense Limitation Agreement shall be replaced with the Schedules A, B and D attached hereto.
|

2.
|
The Expense Limitation Agreement with respect to the Old Mutual Focused Fund shall continue in effect through July 31, 2013.
|
|
3.
|
The Expense Limitation Agreement with respect to all other Funds shall continue in effect through December 31, 2011.
|
|
4.
|
Except as expressly amended and provided herein, all of the terms, conditions and provisions of the Expense Limitation Agreement shall continue in full force and effect.
|
