REVISED FORM OF AMENDMENT NO. 1 PARTICIPATION AGREEMENT

REVISED FORM OF AMENDMENT NO. 1
Amendment No. 1, dated as of April 4, 2014 (“Amendment No. 1”), to the Participation Agreement, dated as of October 1, 2013 (“Agreement”), by and among EQ Advisors Trust (“Trust”), MONY Life Insurance Company and AXA Distributors, LLC (collectively, the “Parties”).
The Parties hereby agree to modify and amend the Agreement as follows:
| 1. | New Portfolios. The Trust hereby includes the AXA/Horizon Small Cap Value Portfolio, AXA/Lord Xxxxxx Micro Cap Portfolio, AXA/Xxxxxx Xxxxxxx Small Cap Growth Portfolio and AXA/Pacific Global Small Cap Value Portfolio in the Agreement from and after the date hereof for all purposes on the terms and conditions contained in the Agreement. |
| 2. | Name Changes: Effective May 1, 2014, the following Portfolio’s names shall be changed as follows: |

The names of EQ/Palisade Convertible Bond Portfolio, AXA SmartBeta Portfolio, EQ/JPMorgan Value Opportunities Portfolio and EQ/Xxx Xxxxxx Xxxxxxxx Portfolio were changed to EQ/Convertible Securities Portfolio, AXA SmartBeta™ Equity Portfolio, EQ/JPMorgan Large Cap Value Portfolio and EQ/Invesco Xxxxxxxx Portfolio, respectively.
| 3. | Schedule A. Schedule A to the Agreement, setting forth the Portfolios of the Trust participating on behalf of which the Trust is entering into the Agreement is hereby replaced in its entirety by Schedule A attached hereto. |
Except as modified and amended hereby, the Agreement is hereby ratified and confirmed in full force and effect in accordance with its terms.
IN WITNESS WHEREOF, the parties have executed and delivered this Amendment No. 1 as of the date first above set forth.
