AMENDMENT NO. 2
DISTRIBUTION AGREEMENT
EQ ADVISORS TRUST – EQUITABLE DISTRIBUTORS, LLC – CLASS K SHARES
AMENDMENT NO. 2 dated as of February 26, 2021 (“Amendment No. 2”) to the Distribution Agreement dated as of July 16,
2020 (the “Agreement”), between EQ Advisors Trust, a Delaware statutory trust (the “Trust”), and Equitable Distributors, LLC (the “Distributor”), relating to Class K shares.
WHEREAS, the Trust has determined not to proceed with the registration of certain new portfolios of the Trust described in Amendment
No. 1 dated February 1, 2021 to the Agreement; and
WHEREAS, the names of EQ/Xxxx Xxxxx Growth Allocation Portfolio and EQ/Xxxx
Xxxxx Moderate Allocation Portfolio will change to EQ/Franklin Growth Allocation Portfolio and EQ/Franklin Moderate Allocation Portfolio, respectively, effective as of May 1, 2021;
NOW THEREFORE, the Trust and the Distributor agree to modify and amend the Agreement as follows:
Schedule A. Schedule A to the Agreement, setting forth the Portfolios of the Trust for which the Distributor is authorized to distribute
Class K shares is hereby replaced in its entirety by Schedule A attached hereto.
Except as modified and amended hereby, the
Agreement is hereby ratified and confirmed in full force and effect in accordance with its terms.
IN WITNESS WHEREOF, the parties have
executed and delivered this Amendment No. 2 as of the date first set forth above.
