           The  Subcontract  for  Fund  Administrative  Services  dated
October  1,  1996  between   FRANKLIN   ADVISERS,   INC.  and  FRANKLIN
XXXXXXXXX  SERVICES,  INC. is hereby amended, to replace Exhibit A with
