Each Member shall also have the right, upon reasonable notice and at all reasonable times during usual business hours, to inspect the properties of the Company and to audit, examine and make copies of the books of account and other records of the Company. Such right may be exercised through any agent or employee of such Member designated in writing by it or by an independent public accountant, engineer, attorney or other consultant so designated. ARTICLE IV
DISPOSITION OF MEMBERSHIP INTERESTS
Β Β Β Β Β SECTION 4.01 General Restriction.
Β Β Β Β Β A Member may not Dispose of all or any portion of its Membership Interests except in strict accordance with this ArticleΒ IV. References in this ArticleΒ IV to Dispositions of a Membership Interest shall also refer to Dispositions of a portion of a Membership Interest. Any attempted Disposition of a Membership Interest, other than in strict accordance with this ArticleΒ IV, shall be, and is hereby declared, null and void ab initio. The Members agree that a breach of the provisions of this ArticleΒ IV may cause irreparable injury to the Company and to the other Members for which monetary damages (or other remedies at law) are inadequate in view of (a)Β the complexities and uncertainties in measuring the actual damages that would be sustained by reason of the failure of a Member to comply with such provisions and (b)Β the uniqueness of the business and the relationship among the Members. Accordingly, the Members agree that the provisions of this ArticleΒ IV may be enforced by specific performance. A Member making a Disposition shall be referred to herein as a βDisposing Member.β
Β Β Β Β Β SECTION 4.02 Admission of Assignee as a Member.
Β Β Β Β Β An Assignee has the right to be admitted to the Company as a Member, with the Membership Interests (and attendant Sharing Ratio) so transferred to such Assignee, only if the related Disposition to such Assignee is effected in strict compliance with this ArticleΒ IV.
Β Β Β Β Β SECTION 4.03 Requirements Applicable to All Dispositions and Admissions.
Β Β Β Β Β Any Disposition of Membership Interests and any admission of an Assignee as a Member shall also be subject to the following requirements, and such Disposition (and admission, if applicable) shall not be effective unless such requirements are complied with; provided, however, that the Members other than the Disposing Member, if any (the βNon-Disposing Membersβ), in their sole and absolute discretion, may waive any of the following requirements:
Β Β Β Β Β (a)Β Disposition Documents. The following documents must be delivered to the Company and the Non-Disposing Members, in form and substance satisfactory to such Non-Disposing Members:
Β Β Β Β Β (i)Β Disposition Instrument. A copy of the instrument pursuant to which the Disposition is effected; and
Β Β Β Β Β (ii)Β Ratification of this Agreement. With respect to any Disposition, an instrument, executed by the Disposing Member and its Assignee, containing the following information and agreements, to the extent they are not contained in the instrument described in Section 4.03(a)(i): (A)Β the notice address of the Assignee; (B)Β the Sharing Ratios after the Disposition of the Disposing Member and its Assignee (which together must total the Sharing Ratio of the Disposing Member before the Disposition); (C)Β the Assigneeβs ratification of this Agreement and agreement to be bound by it; and (D)Β representations and warranties by the Disposing Member and its Assignee that (1)Β the
-9-
Β
Disposition and admission is being made in accordance with Applicable Laws, and (2)Β the matters set forth in SectionΒ 4.03(a)(i) and this SectionΒ 4.03(a)(ii) are true and correct.
Β Β Β Β Β (b)Β Payment of Expenses. The Disposing Member and its Assignee shall pay, or reimburse the Company for, all reasonable costs and expenses incurred by the Company in connection with the Disposition and admission of the Assignee as a Member.
Β Β Β Β Β (c)Β No Release. No Disposition of Membership Interests shall effect a release of the Disposing Member from any liabilities to the Company or the Non-Disposing Members arising from events occurring prior to the Disposition.
Β Β Β Β Β SECTION 4.04 Resignation of Directors.
Β Β Β Β Β In the event of a Disposition of Membership Interests that would cause a Change of Control of the Company, each of the Directors of the Company immediately prior to the consummation of such Disposition shall deliver in writing to the Company an unconditional letter of resignation, to be effective upon the consummation of such Disposition, which the Members of the Company immediately following such Change of Control may elect to accept in their sole discretion.

In addition, on the date hereof, XXX made such additional Capital Contributions to the Company as are described in the Contribution Agreement. Upon the admission of a subsequent Member, ExhibitΒ A shall be updated to reflect the Capital Contribution attributable to such Member. Β Β Β Β Β SECTION 5.02 Loans.
Β Β Β Β Β If the Company does not have sufficient cash to pay its obligations, any Member may advance all or part of the needed funds to or on behalf of the Company. An advance described in this SectionΒ 5.02 constitutes a loan from the Member to the Company, bears interest at a rate determined by the Members from the date of the advance until the date of payment and is not a Capital Contribution.
Β Β Β Β Β SECTION 5.03 Return of Contributions.
Β Β Β Β Β Except as expressly provided herein, no Member is entitled to the return of any part of its Capital Contributions or to be paid interest in respect of either its Capital Account or its Capital Contributions. An unrepaid Capital Contribution is not a liability of the Company or of any

Β Β Β Β Β SECTION 5.04 Capital Accounts.

Except as otherwise set forth in SectionΒ 6.01(b), for purposes of maintaining the Capital Accounts and in determining the rights of the Members among themselves, the Companyβs items of income, gain, loss and deduction shall be allocated and charged to the Members in accordance with their respective Sharing Ratios.
Β Β Β Β Β (b)Β The following special allocations shall be made prior to making any allocations provided for in 6.01(a) above:
Β Β Β Β Β (i)Β Qualified Income Offset. Except as provided in SectionΒ 6.01(b)(ii) hereof, in the event any Member receives any adjustments, allocations or distributions described in Treasury RegulationΒ SectionsΒ 1.704-1(b)(2)(ii)(d)(4), 1.704-1(b)(2)(ii)(d)(5), or 1.704-1(b)(2)(ii)(d)(6), items of Company income and gain shall be specifically allocated to such Member in an amount and manner sufficient to eliminate, to the extent required by the Allocation Regulations, the deficit balance, if any, in such Memberβs Adjusted Capital Account created by such adjustments, allocations or distributions as quickly as possible.
Β Β Β Β Β (ii)Β Nonrecourse Debt Allocations. Notwithstanding any other provision of this Section 6.01, each Member shall be allocated items of Company income and gain in each fiscal year as necessary, in the Managersβ discretion, to comply with the Allocation Regulations relating to nonrecourse debt.
Β Β Β Β Β (iii)Β Gross Income Allocations. In the event any Member has a deficit balance in such Memberβs Adjusted Capital Account at the end of any Company taxable period, such Member shall be specially allocated items of Company gross income and gain in the amount of such excess as quickly as possible; provided, that an allocation pursuant to this Section 6.01(b)(iii) shall be made only if and to the extent that such Member would have a deficit balance in such Memberβs Adjusted Capital Account after all other allocations provided in this SectionΒ 6.1 have been tentatively made as if SectionΒ 6.01(b)(iii) were not in the Agreement.
Β Β Β Β Β (iv)Β Code SectionΒ 754 Adjustment. To the extent an adjustment to the adjusted tax basis of any Company asset pursuant to Section 734(b) or 743(b) of the Code is required, pursuant to the Allocation Regulations, to be taken into account in determining Capital Accounts, the amount of such adjustment to the Capital Accounts shall be treated as an item of gain (if the adjustment increases the basis of the asset) or loss (if the
-11-
Β
adjustment decreases such basis), and such item of gain or loss shall be specially allocated to the Members in a manner consistent with the manner in which their Capital Accounts are required to be adjusted pursuant to the Allocation Regulations.
Β Β Β Β Β (v)Β Curative Allocation. The special allocations set forth in SectionΒ 6.01(b)(i), (ii) and (iii) (the βRegulatory Allocationsβ) are intended to comply with the Allocation Regulations. Notwithstanding any other provisions of this SectionΒ 6.01, the Regulatory Allocations shall be taken into account in allocating items of income, gain, loss and deduction among the Members such that, to the extent possible, the net amount of allocations of such items and the Regulatory Allocations to each Member shall be equal to the net amount that would have been allocated to each Member if the Regulatory Allocations had not occurred.
Β Β Β Β Β SECTION 6.02 Tax Allocations.
Β Β Β Β Β For federal income tax purposes, except as otherwise required by the Code, the Allocation Regulations or the following sentence, each item of Company income, gain, loss, deduction and credit shall be allocated among the Members in the same manner as corresponding items are allocated in SectionΒ 6.01. Notwithstanding any provisions contained herein to the contrary, solely for federal income tax purposes, items of income, depreciation, gain or loss with respect to property contributed or deemed contributed to the Company by a Member shall be allocated so as to take into account the variation between the Companyβs tax basis in such contributed property and its Carrying Value.

Β Β Β Β Β Except as otherwise provided in SectionΒ 13.02, cash may be distributed at such time and in such amounts as the Members shall determine to the Members in accordance with their respective Sharing Ratios. Notwithstanding the foregoing, if during any taxable year there is a change in any Memberβs Sharing Ratio, the Members agree that their allocable shares of such items for the taxable year shall be determined on any method determined by the Members in their sole discretion to be permissible under Code SectionΒ 706 and the related Treasury Regulations to take account of the Membersβ varying Sharing Ratios.
Β Β Β Β Β SECTION 6.05 Limitations on Distributions.
Β Β Β Β Β Notwithstanding any provision to the contrary contained in this Agreement, the Company shall not make a distribution to any Member on account of its interest in the Company if such distribution would violate any Applicable Law.

To the fullest extent permitted by law but subject to the limitations expressly provided in this Agreement, all Indemnitees shall be indemnified and held harmless by the Company from and against any and all losses, claims, damages, liabilities, joint or several, expenses (including legal fees and expenses), judgments, fines, penalties, interest, settlements or other amounts arising from any and all claims, demands, actions, suits or proceedings, whether civil, criminal, administrative or investigative, in which any Indemnitee may be involved, or is threatened to be involved, as a party or otherwise, by reason of its status as an Indemnitee; provided, that the Indemnitee shall not be indemnified and held harmless if there has been a final and non-appealable judgment entered by a court of competent jurisdiction determining that, in respect of the matter for which the Indemnitee is seeking indemnification pursuant to this SectionΒ 10.01, the Indemnitee acted in bad faith or engaged in fraud or willful misconduct or, in the case of a criminal matter, acted with knowledge that the Indemniteeβs conduct was unlawful. Any indemnification pursuant to this SectionΒ 10.01 shall be made only out of the assets of the Company, it being agreed that the Members shall not be liable for such indemnification and shall have no obligation to contribute or loan any monies or property to the Company to enable it to effectuate such indemnification.
Β Β Β Β Β (b)Β To the fullest extent permitted by law, expenses (including legal fees and expenses) incurred by an Indemnitee who is indemnified pursuant to SectionΒ 10.01(a) in defending any claim, demand, action, suit or proceeding shall, from time to time, be advanced by the Company prior to a determination that the Indemnitee is not entitled to be indemnified upon receipt by the Company of any undertaking by or on behalf of the Indemnitee to repay such amount if it shall be determined that the Indemnitee is not entitled to be indemnified as authorized in this SectionΒ 10.01.
Β Β Β Β Β (c)Β The indemnification provided by this SectionΒ 10.01 shall be in addition to any other rights to which an Indemnitee may be entitled under any agreement, as a matter of law or
-20-
Β
otherwise, both as to actions in the Indemniteeβs capacity as an Indemnitee and as to actions in any other capacity, and shall continue as to an Indemnitee who has ceased to serve in such capacity and shall inure to the benefit of the heirs, successors, assigns and administrators of the Indemnitee.
Β Β Β Β Β (d)Β The Company may purchase and maintain insurance on behalf of the Company, its Affiliates and such other Persons as the Company shall determine, against any liability that may be asserted against, or expense that may be incurred by, such Person in connection with the Companyβs activities or such Personβs activities on behalf of the Company, regardless of whether the Company would have the power to indemnify such Person against such liability under the provisions of this Agreement.
Β Β Β Β Β (e)Β For purposes of this SectionΒ 10.01, (i)Β the Company shall be deemed to have requested an Indemnitee to serve as fiduciary of an employee benefit plan whenever the performance by it of its duties to the Company also imposes duties on, or otherwise involves services by, it to the plan or participants or beneficiaries of the plan; (ii)Β excise taxes assessed on an Indemnitee with respect to an employee benefit plan pursuant to applicable law shall constitute βfinesβ within the meaning of SectionΒ 10.01(a); and (iii)Β action taken or omitted by the Indemnitee with respect to any employee benefit plan in the performance of its duties for a purpose reasonably believed by it to be in the best interest of the participants and beneficiaries of the plan shall be deemed to be for a purpose that is in the best interests of the Company.
Β Β Β Β Β (f)Β An Indemnitee shall not be denied indemnification in whole or in part under this Section 10.01 because the Indemnitee had an interest in the transaction with respect to which the indemnification applies if the transaction was otherwise permitted by the terms of this Agreement.
Β Β Β Β Β (g)Β The provisions of this SectionΒ 10.01 are for the benefit of the Indemnitees, their heirs, successors, assigns and administrators and shall not be deemed to create any rights for the benefit of any other Persons.
Β Β Β Β Β (h)Β No amendment, modification or repeal of this SectionΒ 10.01 or any provision hereof shall in any manner terminate, reduce or impair the right of any past, present or future Indemnitee to be indemnified by the Company, nor the obligations of the Company to indemnify any such Indemnitee under and in accordance with the provisions of this SectionΒ 10.01 as in effect immediately prior to such amendment, modification or repeal with respect to claims arising from or relating to matters occurring, in whole or in part, prior to such amendment, modification or repeal, regardless of when such claims may arise or be asserted.
Β Β Β Β Β SECTION 10.02 Liability of Indemnitees.
Β Β Β Β Β (a)Β Notwithstanding anything to the contrary set forth in this Agreement, no Indemnitee shall be liable for monetary damages to the Company or any other Persons who have acquired membership interests in the Company, for losses sustained or liabilities incurred as a result of any act or omission of an Indemnitee unless there has been a final and non-appealable judgment entered by a court of competent jurisdiction determining that, in respect of the matter
-21-
Β
in question, the Indemnitee acted in bad faith or engaged in fraud or willful misconduct or, in the case of a criminal matter, acted with knowledge that the Indemniteeβs conduct was criminal.
Β Β Β Β Β (b)Β To the extent that, at law or in equity, an Indemnitee has duties (including fiduciary duties) and liabilities relating thereto to the Company, such Indemnitee acting in connection with the Companyβs business or affairs shall not be liable to the Company or to any Member for its good faith reliance on the provisions of this Agreement. The provisions of this Agreement, to the extent that they restrict or otherwise modify the duties and liabilities of an Indemnitee otherwise existing at law or in equity, are agreed by the Members to replace such other duties and liabilities of such Indemnitee.
Β Β Β Β Β (c)Β Any amendment, modification or repeal of this SectionΒ 10.02 or any provision hereof shall be prospective only and shall not in any way affect the limitations on the liability of the Indemnitees under this SectionΒ 10.02 as in effect immediately prior to such amendment, modification or repeal with respect to claims arising from or relating to matters occurring, in whole or in part, prior to such amendment, modification or repeal, regardless of when such claims may arise or be asserted.
