VENTAS ENTERS AGREEMENT TO SELL COMMON STOCK
Company Expects To Receive Net Proceeds of Approximately $97 Million
LOUISVILLE, KY (June 29, 2005) – Ventas, Inc. (NYSE:VTR) (“Ventas” or the “Company”) said today that it has agreed to sell 3,247,000 million shares of its common stock to Xxxxxxx Xxxxx & Co., as sole underwriter, in an underwritten public offering. Ventas expects to receive net proceeds of approximately $97 million from the sale. The Company expects to use the net proceeds to repay indebtedness under its revolving credit facility and for general corporate purposes, including to fund acquisitions. Closing of the transaction is subject to customary closing conditions.
The common shares are being offered under the Company’s existing shelf registration statement, which has been declared effective by the Securities and Exchange Commission.
