ASSIGNMENT, ASSUMPTION AND RECOGNITION AGREEMENT
THIS ASSIGNMENT, ASSUMPTION AND RECOGNITION AGREEMENT (this “Assignment”), dated as of February 1, 2006, is entered into among X.X. Xxxxxx Acceptance Corporation I, a Delaware corporation (the “Depositor”), U.S. Bank National Association, as trustee (the “Trustee”) of X.X. Xxxxxx Alternative Loan Trust 2006-A1 (the “Trust”), X.X. Xxxxxx Mortgage Acquisition Corp. (“JPMorgan Acquisition”), Washington Mutual Bank, as the servicer (the “Servicer”), Washington Mutual Mortgage Securities Corp., as the seller (the “Seller”) and Xxxxx Fargo Bank, N.A. (the “Master Servicer”).
RECITALS
WHEREAS, pursuant to the Mortgage Loan Purchase and Sale Agreement, dated as of December 1, 2005, among the Seller and the JPMorgan Acquisition as purchaser (the “Purchase Agreement”), as amended by the Regulation AB Amendment thereto, dated as of December 1, 2005, JPMorgan Acquisition has agreed to purchase from the Seller, and the Seller has agreed to sell to JPMorgan Acquisition, without recourse and on a servicing-retained basis, certain residential, first lien mortgage loans;
WHEREAS JPMorgan Acquisition and the Servicer, have entered into a Servicing Agreement, dated as of December 1, 2005 (the “Servicing Agreement”), as amended by the Regulation AB Amendment thereto, dated as of December 1, 2005 (the “Reg AB Servicing Amendment” and together with the Servicing Agreement, the “Agreement”) pursuant to which the Servicer has agreed to service mortgage loans on behalf of the Seller;
WHEREAS the Depositor has agreed, on the terms and conditions contained herein, to purchase from JPMorgan Acquisition certain of the mortgage loans (the “Specified Mortgage Loans”) which are subject to the provisions of the Agreement and are listed on the mortgage loan schedule attached as Exhibit I hereto (the “Specified Mortgage Loan Schedule”); and
WHEREAS the Trustee, on behalf of the Trust, has agreed, on the terms and conditions contained herein, to purchase from the Depositor the Specified Mortgage Loans;
NOW, THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration (the receipt and sufficiency of which are hereby acknowledged), the parties agree as follows:
1.
Assignment and Assumption
(a)
On and as of the date hereof, JPMorgan Acquisition hereby sells, assigns and transfers to the Depositor all of its right, title and interest in the Specified Mortgage Loans and all rights related thereto as provided under the Purchase Agreement and the Agreement to the extent relating to the Specified Mortgage Loans, and the Depositor hereby accepts such assignment from JPMorgan Acquisition (the “First Assignment and Assumption”), and the Seller hereby acknowledges the First Assignment and Assumption.
JPMorgan Acquisition specifically reserves and does not assign to the Depositor hereunder any and all right, title and interest in, to and under and all obligations of JPMorgan Acquisition with respect to any Mortgage Loans subject to the Agreement which are not the Specified Mortgage Loans.
(b)
On and as of the date hereof, immediately after giving effect to the First Assignment and Assumption, the Depositor hereby sells, assigns and transfers to the Trustee, on behalf of the Trust, all of its right, title and interest in the Specified Mortgage Loans and all rights related thereto as provided under the Purchase Agreement and the Agreement to the extent relating to the Specified Mortgage Loans, and the Trustee, on behalf of the Trust, hereby accepts such assignment from the Depositor (the “Second Assignment and Assumption”), and the Seller hereby acknowledges the Second Assignment and Assumption.
(c)
On and as of the date hereof, JPMorgan Acquisition represents and warrants to the Depositor and the Trustee that JPMorgan Acquisition has not taken any action that would serve to impair or encumber the respective ownership interests of the Depositor and the Trustee in the Specified Mortgage Loans since the date of JPMorgan Acquisitions’ acquisition of the Specified Mortgage Loans.
2.
Recognition of Trustee
(a)
From and after the date hereof, both JPMorgan Acquisition and the Seller shall note the transfer of the Specified Mortgage Loans to the Trustee, in their respective books and records and shall recognize the Trustee, on behalf of the Trust, as of the date hereof, as the owner of the Specified Mortgage Loans, and Servicer shall service the Specified Mortgage Loans for the benefit of the Trust pursuant to the Agreement, the terms of which are incorporated herein by reference. It is the intention of the Seller, the Servicer, the Depositor, the Trustee and JPMorgan Acquisition that this Assignment shall be binding upon and inure to the benefit of the Depositor, the Trustee and JPMorgan Acquisition and their respective successors and assigns.
(b)
Without in any way limiting the foregoing, the parties confirm that this Assignment includes the rights to consent to amendments and waivers under the Agreement. Accordingly, the right of JPMorgan Acquisition to consent to any amendment or waiver of the Agreement to the extent any such amendment or waiver affects the Specified Mortgage Loans or any of the rights under the Agreement with respect thereto (including, without limitation, the servicing of the Specified Mortgage Loans), shall be executed solely by the Trustee as assignee of JPMorgan Acquisition.

Representations and Warranties
(a)
The Depositor represents and warrants that it is a sophisticated investor able to evaluate the risks and merits of the transactions contemplated hereby, and that it has not relied in connection therewith upon any statements or representations of the Seller, the Servicer and JPMorgan Acquisition other than those contained in the Purchase Agreement, the Agreement or this Assignment.
(b)
Each of the parties hereto represents and warrants that it is duly and legally authorized to enter into this Assignment.
(c)
Each of the parties hereto represents and warrants that this Assignment has been duly authorized, executed and delivered by it and (assuming due authorization, execution and delivery thereof by each of the other parties hereto) constitutes its legal, valid and binding obligation, enforceable against it in accordance with its terms, except as such enforcement may be limited by bankruptcy, insolvency, reorganization or other similar laws affecting the enforcement of creditors’ rights generally and by general equitable principles (regardless of whether such enforcement is considered in a proceeding in equity or at law).
(d)
The Seller hereby restates, as of the Closing Date (as defined in the Pooling and Servicing Agreement referred to below), only the representations and warranties set forth in Sections 3.2 of the Purchase Agreement and with respect to each of the Specified Mortgage Loans that were sold by it under the Agreement only the representations and warranties attached hereto as Exhibit II to this agreement, to and for the benefit of the Depositor, the Trustee and the Trust, and by this reference incorporates such representations and warranties herein, as of such Closing Date.
(e)
The Servicer hereby restates, as of the Closing Date, the representations and warranties set forth in Section 5.7 of the Servicing Agreement, to and for the benefit of the Depositor, the Trustee and the Trust, and by this reference incorporates such representations and warranties herein, as of such Closing Date.

The Servicer hereby acknowledges that Xxxxx Fargo Bank, N.A. has been appointed as the Master Servicer of the Specified Mortgage Loans pursuant to the pooling and servicing agreement dated as of the date hereof among the Depositor, the Master Servicer, the Securities Administrator and the Trustee (the “Pooling and Servicing Agreement”) for Mortgage Pass-Through Certificates, Series 2006-A1 and, therefore, has the right to enforce all obligations of the Servicer under the Agreement. Such rights will include, without limitation, the right to terminate the Servicer under the Agreement upon the occurrence of an event of default thereunder, the right to receive all remittances required to be made by the Servicer under the Agreement, the right to receive all monthly reports and other data required to be delivered by the Servicer under the Agreement, the right to examine the books and records of the Servicer, indemnification rights as set forth in the Reg AB Servicing Amendment and the right to exercise certain rights of consent and approval that the Owner was entitled to in the Agreement except to the extent such rights of consent and approval may only be exercised by the Trustee as set forth in Section 2(b) herein. The Servicer shall provide the monthly reports to the Master Servicer in the forms set forth in Exhibit III as required to be delivered under the Agreement., which reports shall contain the data specified in the forms attached as Exhibit III as is mutually agreed by the Master Servicer and the Servicer and may be in such format as is mutually agreed by the Master Servicer and the Servicer.

Establishment of Collection Account
The Servicer shall establish and maintain a separate Collection Account in the name of the Trustee, in trust for X.X. Xxxxxx Alternative Loan Trust 2006-A1, for all funds collected and received on the Specified Mortgage Loans.
6.
Indemnification by Master Servicer
The Master Servicer shall indemnify and hold harmless the Servicer and its affiliates, and each person who controls the Servicer with in the meaning of Section 15 of the Securities Act of 1933, as amended, and in each case, its officers, directors, employees and agents from and against any losses, damages, penalties, fines, forfeitures, reasonable legal fees and related costs, judgments and other costs and expenses arising out of or based upon a breach by the Master Servicer or any of its officers, directors, employees, agents or affiliates of its obligations in connection with the preparation, filing and certification of any Form 10-K pursuant to the Pooling and Servicing Agreement or the negligence, bad faith or willful misconduct of the Master Servicer in connection therewith. In addition, the Master Servicer shall indemnify and hold harmless the Servicer and its affiliates, and in each case, its officers, directors, employees and agents from and against any losses, damages, penalties, fines, forfeitures, reasonable legal fees and related costs, judgments and other costs and expenses arising out of or based upon a breach by any Servicer (as defined in the Pooling and Servicing Agreement) (such servicer, a “Breaching Servicer”), other than the Servicer (as defined herein), of its obligations in connection with any back-up certification (or any other back-up documents) to any certification of any Form 10-K required to be provided by the Master Servicer, but solely to the extent the Master Servicer receives amounts from such Breaching Servicer in connection with any indemnification provided by such Breaching Servicer to the Master Servicer.

Continuing Effect
Except as contemplated hereby, the Agreement shall remain in full force and effect in accordance with its terms.
8.
Governing Law
This Assignment and the rights and obligations hereunder shall be governed by and construed in accordance with the internal laws of the State of New York.

Any notices or other communications permitted or required under the Agreement to be made to JPMorgan Acquisition, the Depositor, the Trustee and the Servicer shall be made in accordance with the terms of the Agreement and shall be sent to the Depositor and Trustee as follows:

10.
Ratification
Except as modified and expressly amended by this Assignment, the Agreement is in all respects ratified and confirmed, and all terms, provisions and conditions thereof shall be and remain in full force and effect.
11.
Counterparts
This Assignment may be executed in counterparts, each of which when so executed shall be deemed to be an original and all of which when taken together shall constitute one and the same instrument.
12.
Definitions
Any capitalized term used but not defined in this Assignment has the same meaning as in the Agreement.

1.1
The information set forth in the Mortgage Loan Schedule and Data Tape attached hereto as Exhibit A is true and correct in all material respects.
1.2
Immediately upon the transfer pursuant to the Purchase Agreement, the Assignor had good title to, and was the sole legal owner of, such Mortgage Loan, free and clear of any encumbrance or lien.
1.3
No Monthly Payment due on such Mortgage Loan is a Delinquent Mortgage Payment.
1.4
There is no valid offset, defense, counterclaim or right of rescission to the related Mortgage Note, including the obligation of the Mortgagor to pay the unpaid principal or interest on such Mortgage Note.
1.5
Such Mortgage Loan at the time it was originated complied with all applicable state and federal laws, including, without limitation, usury, predatory and abusive lending, anti-money laundering laws, unfair or deceptive practices laws, or equal credit opportunity and disclosure laws.
1.6
Such Mortgage Loan is covered by an ALTA mortgagee title insurance policy or other form of policy of insurance which has been issued by a title insurer which, as of the origination date of such Mortgage Loan, was qualified to do business in the jurisdiction in which the related Mortgaged Property is located. The assignment of the Company’s interest in such policy does not require the consent of or notification to the insurer. The Company has taken no action that would impair the coverage of such policy.

To the knowledge of the Company, the Servicer has caused to be fully furnished, in accordance with the Fair Credit Reporting Act and its implementing regulations, accurate and complete information (i.e. favorable and unfavorable) on its borrower credit files to Equifax, Experian, and Trans Union Credit Information Company (three of its credit repositories) on a monthly basis.
1.8
All buildings and other improvements upon the Mortgaged Property are insured against loss by fire, hazards of extended coverage and such other hazards as are customary in the area where the Mortgaged Property is located, pursuant to insurance policies issued by an insurer acceptable under the Company's underwriting guidelines or the originator's or seller's underwriting guidelines, in an amount that is at least equal to the lesser of (i) 100% of the replacement value of the improvements securing the Mortgage Loan, or (ii) the Unpaid Principal Balance of the Mortgage Loan. If the Mortgaged Property is located in an area that is identified on a flood hazard boundary map or flood insurance rate map issued by the Federal Emergency Management Agency as having special flood hazards and such flood insurance is available, a flood insurance policy is in effect meeting the requirements of the current guidelines of the Federal Insurance Administration with an insurance carrier acceptable to the Company. The assignment of the Company's interest in such policy does not require the consent of or notification to the insurer. The Company has taken no action that would impair the coverage of such policy.
1.9 At origination, no Mortgage Loan is a "high cost" loan as defined under the Home Ownership and Equity Protection Act of 1994 or any state law applicable to the originating lender. At origination, no Mortgage Loan is a High Cost Loan or Covered Loan (as such terms are defined in the Standard & Poors LEVELS Glossary attached as Exhibit C to the related Term Sheet to the extent applicable to the originating lender under the governing state or local law or regulation.
