This Agreement and Plan of Merger (this βAgreementβ), dated as of February 12, 2020 is entered into by and between Xxxxxx 44, LLC, a Delaware limited liability company (βXxxxxxβ), Norwest Venture Partners XI, LP, a Delaware limited partnership (βNVP XIβ), and Norwest Venture Partners XII, LP, a Delaware limited partnership (βNVP XIIβ, each of NVP XI and NVP XII known herein as a βHolderβ and together the βHoldersβ), on the one hand, and Xxxxx.XX, Inc., a Delaware corporation (βDenimβ), and Xxxxx.XX Acquisition Corp., a Delaware corporation and a wholly-owned subsidiary of Denim (βMerger Subβ), on the other hand.

RECITALS
β
WHEREAS, Xxxxxx has (a) membership interests consisting of Preferred Units, Common Units and Performance Units (collectively, the βMembership Unitsβ) outstanding as set forth on Schedule A hereto owned by those members set forth in such Schedule and (b) entered into Phantom Performance Unit Agreements with those individuals set forth on Schedule A (the βPhantom Performance Unit Agreementsβ);

WHEREAS, subject to the terms and conditions of this Agreement, the parties hereto have agreed to effect the merger of Merger Sub with and into Xxxxxx (the βMergerβ) pursuant to the terms of this Agreement. Upon the consummation of the Merger, Merger Sub will cease to exist and Xxxxxx will be the entity surviving the Merger.

WHEREAS, as a result of the Merger, among other effects, (A) each Preferred Unit issued and outstanding immediately prior to the Effective Time of the Merger will be converted (and when so converted, will automatically be cancelled and retired and will cease to exist) the right to receive a portion of (i) an aggregate of twenty million seven hundred fifty four thousand seven hundred seventeen (20,754,717) newly issued shares of Series B Preferred Stock, par value $0.001 per share, of Denim (the βParent Stockβ) indicated on the Preferred Allocation Schedule and (ii) a promissory note in the principal amount of $4,500,000 attached hereto as Exhibit A(the βNoteβ, together with the Parent Stock, the βMerger Considerationβ), of which $1,350,000 plus accrued interest will be in exchange for the cancellation of the Bridge Notes as indicated on the Preferred Allocation Schedule, (B) all Membership Units other than the Preferred Units issued and outstanding immediately before the Effective Time of the Merger shall be cancelled and retired and shall cease to exist (without conversion) and no consideration shall be delivered or deliverable in exchange therefor, (C) no consideration shall be delivered or deliverable pursuant to any Phantom Performance Unit Agreement and (D) each share of Merger Subβs common stock issued and outstanding immediately before the Effective Time of the Merger shall be converted into and exchanged for one validly issued, fully paid and non-assessable membership interest in the Surviving Company representing 100% of the membership interests therein, and as a result of which, Xxxxxx shall become the wholly-owned subsidiary of Denim.

WHEREAS, of the shares of Parent Stock issuable in connection with the Merger, sixteen million six hundred three thousand seven hundred seventy three (16,603,773) shares shall be delivered as of the date hereof (the βInitial Sharesβ) and four million one hundred fifty thousand nine hundred forty four (4,150,944) shares shall be held back solely, and only to the extent necessary, to satisfy any indemnification obligations of Xxxxxx or the Holders pursuant to Article VIII herein (the βHoldback Sharesβ);

WHEREAS, as further set forth on Schedule 4.03 of the Disclosure Schedule and the Preferred Allocation Statement, the Holders own a sufficient number of Preferred Units necessary to approve the transactions set forth herein pursuant to Section 5.3 of the Xxxxxx LLC Agreement;

WHEREAS, the Merger is intended to constitute a reorganization within the meaning of the Internal Revenue Code of 1986, as amended (the βCodeβ), or such other tax free reorganization or restructuring provisions as may be available under the Code.
β
WHEREAS, the Boards of Directors of Denim and Merger Sub, on the one hand, and the Board of Managers and members of Xxxxxx, on the other hand, has each determined that it is desirable to effect this plan of Merger.
β
WHEREAS, concurrent with and as a condition to the Merger, Denim will issue the Parent Stock and the Note in conjunction with the Merger.
β
WHEREAS, Xxxxxx has represented to Denim that further to the capital structure of Xxxxxx, only those holders of Membership Interests set forth on Schedule A hereto are entitled to receive consideration from Denim in connection with the transactions set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants and agreements hereinafter set forth and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows:

ARTICLE I
β
DEFINITIONS
β
The following terms have the meanings specified or referred to in this ARTICLE I:
β
βActionβ means any claim, action, cause of action, demand, lawsuit, arbitration, inquiry, audit, notice of violation, proceeding, litigation, citation, summons, subpoena or investigation of any nature, civil, criminal, administrative, regulatory or otherwise, whether at law or in equity.
β
βAffiliateβ of a Person means any other Person that directly or indirectly, through one or more intermediaries, controls, is controlled by, or is under common control with, such Person. The term βcontrolβ (including the terms βcontrolled byβ and βunder common control withβ) means the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of a Person, whether through the ownership of voting securities, by contract or otherwise.

βXxxxxx LLC Agreementβ means the Restated Limited Liability Company Agreement, dated December 20, 2012, of Xxxxxx, as amended through the date of this Agreement.

βXxxxxx Material Adverse Effectβ means any event, occurrence, fact, condition or change that is, or would reasonably be expected to become, individually or in the aggregate, materially adverse to (a) the business, results of operations, condition (financial or otherwise) or assets of Xxxxxx, or (b) the ability of Xxxxxx or any Holder to consummate the transactions contemplated hereby on a timely basis; provided, however, that βXxxxxx Material Adverse Effectβ shall not include any event, occurrence, fact, condition or change, directly or indirectly, arising out of or attributable to: (i) general economic or political conditions; (ii) conditions generally affecting the industries in which Xxxxxx operates; (iii) any changes in financial or securities markets in general; or (iv) acts of war (whether or not declared), armed hostilities or terrorism, or the escalation or worsening thereof; provided further, however, that any event, occurrence, fact, condition or change referred to in clauses (i) through (iv) immediately above shall be taken into account in determining whether a Xxxxxx Material Adverse Effect has occurred or would reasonably be expected to occur to the extent that such event, occurrence, fact, condition or change has a disproportionate effect on Xxxxxx compared to other participants in the industries in which Xxxxxx conducts its businesses.

βBridge Notesβ means the promissory notes with an aggregate principal amount equal to $1,350,000 issued by Xxxxxx to Norwest Venture Partners XI, LP and Norwest Venture Partners XII, LP.

βBusiness Dayβ means any day except Saturday, Sunday or any other day on which commercial banks located in New York City are authorized or required by Law to be closed for business.
β
βCodeβ means the Internal Revenue Code of 1986, as amended.
β
βCommon Unitsβ means the Common Units of Xxxxxx issued pursuant to the Xxxxxx LLC Agreement.
β
βContractsβ means all contracts, leases, deeds, mortgages, licenses, instruments, notes, commitments, undertakings, indentures, joint ventures and all other agreements, commitments and legally binding arrangements, whether written or oral.

βDenim Material Adverse Effectβ means any event, occurrence, fact, condition or change that is, or would reasonably be expected to become, individually or in the aggregate, materially adverse to (a) the business, results of operations, condition (financial or otherwise) or assets of Denim, or (b) the ability of Denim or Merger Sub to consummate the transactions contemplated hereby on a timely basis; provided, however, that βDenim Material Adverse Effectβ shall not include any event, occurrence, fact, condition or change, directly or indirectly, arising out of or attributable to: (i) general economic or political conditions; (ii) conditions generally affecting the industries in which Denim operates; (iii) any changes in financial or securities markets in general; or (iv) acts of war (whether or not declared), armed hostilities or terrorism, or the escalation or worsening thereof; provided further, however, that any event, occurrence, fact, condition or change referred to in clauses (i) through (iv) immediately above shall be taken into account in determining whether a Denim Material Adverse Effect has occurred or would reasonably be expected to occur to the extent that such event, occurrence, fact, condition or change has a disproportionate effect on Denim compared to other participants in the industries in which Denim conducts its businesses.

βDenim Saleβ means (a) any merger, consolidation, recapitalization or sale of Denim or other transaction or series of transactions in which the stockholders of Denim immediately prior to such transaction do not own and control a majority of the voting power represented by the outstanding equity of the surviving entity after the closing of such transaction or (b) a sale, exclusive license or other transfer or disposition of all or substantially all of Denimβs and its subsidiariesβ assets (determined on a consolidated basis) to any Person.

βDisclosure Schedulesβ means the Disclosure Schedules delivered by Xxxxxx and Denim concurrently with the execution and delivery of this Agreement.
β
βDollars or $β means the lawful currency of the United States.
β
βEnvironmental Claimβ means any Action, Governmental Order, lien, fine, penalty, or, as to each, any settlement or judgment arising therefrom, by or from any Person alleging liability of whatever kind or nature (including liability or responsibility for the costs of enforcement proceedings, investigations, cleanup, governmental response, removal or remediation, natural resources damages, property damages, personal injuries, medical monitoring, penalties, contribution, indemnification and injunctive relief) arising out of, based on or resulting from: (a) the presence, Release of, or exposure to, any Hazardous Materials; or (b) any non-compliance with any Environmental Law or term or condition of any Environmental Permit.

βEnvironmental Lawβ means any applicable Law, and any Governmental Order or binding agreement with any Governmental Authority: (a) relating to pollution (or the cleanup thereof) or the protection of natural resources, endangered or threatened species, human health or safety, or the environment (including ambient air, soil, surface water or groundwater, or subsurface strata); or (b) concerning the presence of, exposure to, or the management, manufacture, use, containment, storage, recycling, reclamation, reuse, treatment, generation, discharge, transportation, processing, production, disposal or remediation of any Hazardous Materials. The term βEnvironmental Lawβ includes, without limitation, the following (including their implementing regulations and any state analogs): the Comprehensive Environmental Response, Compensation, and Liability Act of 1980, as amended by the Superfund Amendments and Reauthorization Act of 1986, 42 U.S.C. §§ 9601 et seq.; the Solid Waste Disposal Act, as amended by the Resource Conservation and Recovery Act of 1976, as amended by the Hazardous and Solid Waste Amendments of 1984, 42 U.S.C. §§ 6901 et seq.; the Federal Water Pollution Control Act of 1972, as amended by the Clean Water Act of 1977, 33 U.S.C. §§ 1251 et seq.; the Toxic Substances Control Act of 1976, as amended, 15 U.S.C. §§ 2601 et seq.; the Emergency Planning and Community Right-to-Know Act of 1986, 42 U.S.C. §§ 11001 et seq.; the Clean Air Act of 1966, as amended by the Clean Air Act Amendments of 1990, 42 U.S.C. §§ 7401 et seq.; and the Occupational Safety and Health Act of 1970, as amended, 29 U.S.C. §§ 651 et seq.

βEnvironmental Noticeβ means any written directive, notice of violation or infraction, or notice respecting any Environmental Claim relating to non-compliance with any Environmental Law or any term or condition of any Environmental Permit.

βEnvironmental Permitβ means any Permit, letter, clearance, consent, waiver, closure, exemption, decision or other action required under or issued, granted, given, authorized by or made pursuant to Environmental Law.
β
βERISAβ means the Employee Retirement Income Security Act of 1974, as amended, and the regulations promulgated thereunder.
β
βERISA Affiliateβ means all employers (whether or not incorporated) that would be treated together with Xxxxxx or any of its Affiliates as a βsingle employerβ within the meaning of Section 414 of the Code or Section 4001 of ERISA.
β
βGAAPβ means United States generally accepted accounting principles in effect from time to time.
β
βGovernmental Authorityβ means any federal, state, local or foreign government or political subdivision thereof, or any agency or instrumentality of such government or political subdivision, or any self-regulated organization or other non-governmental regulatory authority or quasi-governmental authority (to the extent that the rules, regulations or orders of such organization or authority have the force of Law), or any arbitrator, court or tribunal of competent jurisdiction.

βGovernmental Orderβ means any order, writ, judgment, injunction, decree, stipulation, determination or award entered by or with any Governmental Authority.
β
βHazardous Materialsβ means: (a) any material, substance, chemical, waste, product, derivative, compound, mixture, solid, liquid, mineral or gas, in each case, whether naturally occurring or manmade, that is hazardous, acutely hazardous, toxic, or words of similar import or regulatory effect under Environmental Laws; and (b) any petroleum or petroleum-derived products, radon, radioactive materials or wastes, asbestos in any form, lead or lead-containing materials, urea formaldehyde foam insulation, and polychlorinated biphenyls.

βIndebtednessβ means, without duplication and with respect to Xxxxxx, all (a) indebtedness for borrowed money; (b) obligations for the deferred purchase price of property or services, (c) long or short-term obligations evidenced by notes, bonds, debentures or other similar instruments, (d) obligations under any interest rate, currency swap or other hedging agreement or arrangement; (e) capital lease obligations; (f) reimbursement obligations under any letter of credit, banker's acceptance or similar credit transactions; (g) guarantees made by Xxxxxx on behalf of any third party in respect of obligations of the kind referred to in the foregoing clauses (a) through (f); and (h) any unpaid interest, prepayment penalties, premiums, costs and fees that would arise or become due as a result of the prepayment of any of the obligations referred to in the foregoing clauses (a) through (g).

βIntellectual Propertyβ means any and all rights in, arising out of, or associated with any of the following in any jurisdiction throughout the world: (a) issued patents and patent applications (whether provisional or non-provisional), including divisionals, continuations, continuations-in-part, substitutions, reissues, reexaminations, extensions, or restorations of any of the foregoing, and other Governmental Authority-issued indicia of invention ownership (including certificates of invention, xxxxx patents, and patent utility models) (βPatentsβ); (b) trademarks, service marks, brands, certification marks, logos, trade dress, trade names, and other similar indicia of source or origin, together with the goodwill connected with the use of and symbolized by, and all registrations, applications for registration, and renewals of, any of the foregoing (βTrademarks"); (c) copyrights and works of authorship, whether or not copyrightable, and all registrations, applications for registration, and renewals of any of the foregoing (βCopyrightsβ); (d) internet domain names and social media account or user names (including βhandlesβ), whether or not Trademarks, all associated web addresses, URLs, websites and web pages, social media sites and pages, and all content and data thereon or relating thereto, whether or not Copyrights; (e) mask works, and all registrations, applications for registration, and renewals thereof; (f) industrial designs, and all Patents, registrations, applications for registration, and renewals thereof; (g) trade secrets, know-how, inventions (whether or not patentable), discoveries, improvements, technology, business and technical information, databases, data compilations and collections, tools, methods, processes, techniques, and other confidential and proprietary information and all rights therein (βTrade Secretsβ); (h) computer programs, operating systems, applications, firmware, and other code, including all source code, object code, application programming interfaces, data files, databases, protocols, specifications, and other documentation thereof; (i) rights of publicity; and (j) all other intellectual property and proprietary rights.

βIndemnified Partyβ means a Denim Indemnified Party or a Holder Indemnified Party, as applicable.

βIndemnifying Partyβ means (a) the applicable Holder(s) with respect to a Claim pursuant to Section 8.02 and (b) Denim with respect to a Claim pursuant to Section 8.03.
β
βIPOβ means the initial firm commitment underwritten public offering of the Denimβs common stock on Nasdaq, the New York Stock Exchange or any other stock exchange or interdealer quotation system.
β
βIPO Priceβ means the per share price of the Denimβs common stock sold in the IPO.

βKnowledge of Xxxxxx or Xxxxxxβx Knowledgeβ or any other similar knowledge qualification, means the actual or constructive knowledge of Xxxxx Xxxxx and Xxx Xxxxxxxxx, after reasonable inquiry.

βLawβ means any statute, law, ordinance, regulation, rule, code, order, constitution, treaty, common law, judgment, decree, other requirement or rule of law of any Governmental Authority.
β
βLossesβ means losses, damages, liabilities, deficiencies, Actions, judgments, interest, awards, penalties, fines, costs or expenses of whatever kind, including reasonable attorneys' fees and the cost of enforcing any right to indemnification hereunder and the cost of pursuing any insurance providers; provided, however, that βLossesβ shall not include punitive damages, except to the extent actually awarded to a Governmental Authority or other third party.

βOrganizational Documentsβ means (a) in the case of a Person that is a corporation, its articles or certificate of incorporation and its by-laws, regulations or similar governing instruments required by the laws of its jurisdiction of formation or organization; (b) in the case of a Person that is a partnership, its articles or certificate of partnership, formation or association, and its partnership agreement (in each case, limited, limited liability, general or otherwise); (c) in the case of a Person that is a limited liability company, its articles or certificate of formation or organization, and its limited liability company agreement or operating agreement; and (d) in the case of a Person that is none of a corporation, partnership (limited, limited liability, general or otherwise), limited liability company or natural person, its governing instruments as required or contemplated by the laws of its jurisdiction of organization.

βPermitsβ means all permits, licenses, franchises, approvals, authorizations, registrations, certificates, variances and similar rights obtained, or required to be obtained, from Governmental Authorities.

βPerformance Unitsβ means the Performance Units of Xxxxxx issued pursuant to the Xxxxxx LLC Agreement.
β
βPersonβ means an individual, corporation, partnership, joint venture, limited liability company, Governmental Authority, unincorporated organization, trust, association, or other entity.
β
βPreferred Unitsβ means the Preferred Units of Xxxxxx issued pursuant to the Xxxxxx LLC Agreement.
β
βReal Propertyβ means the real property owned, leased or subleased by Xxxxxx, together with all buildings, structures and facilities located thereon.
β
βReleaseβ means any release, spilling, leaking, pumping, pouring, emitting, emptying, discharging, injecting, escaping, leaching, dumping, abandonment, disposing or allowing to escape or migrate into or through the environment (including, without limitation, ambient air (indoor or outdoor), surface water, groundwater, land surface or subsurface strata or within any building, structure, facility or fixture).

βRepresentativeβ means, with respect to any Person, any and all directors/managing members, managers, officers, employees, consultants, financial advisors, counsel, accountants and other agents of such Person.

βSold Parent Stockβ means Parent Stock sold by all Preferred Members set forth on the Preferred Allocation Schedule within the one-year period commencing on the closing date of the IPO.
β
βSold Parent Stock Gross Proceedsβ means the aggregate gross proceeds received by all Preferred Members set forth on the Preferred Allocation Schedule from sales of Sold Parent Stock within the one-year period commencing on the closing date of the IPO.
β
βTaxesβ means all federal, state, local, foreign and other income, gross receipts, sales, use, production, ad valorem, transfer, franchise, registration, profits, license, lease, service, service use, withholding, payroll, employment, unemployment, estimated, excise, severance, environmental, stamp, occupation, premium, property (real or personal), real property gains, windfall profits, customs, duties or other taxes, fees, assessments or charges of any kind whatsoever, together with any interest, additions or penalties with respect thereto and any interest in respect of such additions or penalties.

βTax Returnβ means any return, declaration, report, claim for refund, information return, or statement or other document relating to Taxes, including any schedule or attachment thereto, and including any amendment thereof.

ARTICLE II
β
THE MERGER
β
Section 2.01Β Β Β Β Β Β The Merger. At the Closing (as defined in Section 2.05), subject to the terms and conditions of this Agreement, Merger Sub shall merge with and into Xxxxxx in accordance with applicable provisions of Delaware law, the separate existence of Merger Sub shall cease and Xxxxxx shall survive and continue to exist as a limited liability company under the Delaware Limited Liability Company Act (the βDLLCAβ) (the βSurviving Companyβ) under the name βXxxxxx 44, LLCβ. The Certificate of Formation of Xxxxxx as on file with the Delaware Secretary of State and the LLC Agreement of Xxxxxx, as in force and effect immediately prior to the Effective Time of the Merger, shall continue to be the Certificate of Formation and the LLC Agreement of Surviving Entity until duly amended in accordance with the provisions thereof and applicable law. The directors and officers of Denim shall be the managers and officers of the Surviving Company. Upon consummation of the Merger, the Holders, managers and officers of the Surviving Entity shall take all necessary action to amend the LLC Agreement to reflect Denim as the sole member of the Surviving Entity.

Section 2.02Β Β Β Β Β Β Β Β Effect of the Merger. At the Effective Time of the Merger (as defined herein), the effect of the Merger shall be as provided in the DLLCA. Without limiting the generality of the foregoing, at the Effective Time of the Merger all the property, rights, privileges, powers and franchise of Xxxxxx and the Merger Sub shall vest in the Surviving Company, and all debts, liabilities and duties of Xxxxxx and the Merger Sub shall become the debts, liabilities and duties of the Surviving Company.

Section 2.03Β Β Β Β Β Β Β Β Effective Time of the Merger. The parties shall cause a Certificate of Merger required by the DLLCA relating to the Merger in the form attached hereto as Exhibit B to be filed with the Secretary of State of the State of Delaware pursuant to the DLLCA on the Closing Date. The Merger provided for herein shall become effective upon such filing or on such date as may be specified therein (the βEffective Time of the Mergerβ).

Section 2.04Β Β Β Β Β Β Β Β Effects on Membership Units; Issuance of Merger Consideration.

(a)Β Β Β Β Β Β Β Β Β Effect on Membership Units and Capital Stock. At the Effective Time of the Merger, automatically by virtue of the Merger and without any action on the part of any Person:

(i)Β Β Β Β Β Β Β Β Β Β Preferred Units. Each Preferred Unit of Xxxxxx that is issued and outstanding immediately prior to the Effective Time of the Merger shall, by virtue of the Merger, be converted (and when so converted, will automatically be cancelled and retired and will cease to exist) into the right to receive the portion of the Merger Consideration indicated on the Preferred Allocation Schedule in accordance with Section 3.2(a) of the Xxxxxx LLC Agreement;

(ii)Β Β Β Β Β Β Β Β Β Other Membership Units. All Membership Units of Xxxxxx, other than Preferred Units, that are issued and outstanding immediately prior to the Effective Time of the Merger shall be cancelled and retired and shall cease to exist (without conversion) and no consideration shall be delivered or deliverable in exchange therefor;

(iii)Β Β Β Β Β Β Β Phantom Performance Unit Agreements. No consideration shall be delivered or deliverable pursuant to any Phantom Performance Unit Agreement.

(iv)Β Β Β Β Β Β Β Β Stock of Merger Sub. Each share of Merger Subβs common stock issued and outstanding immediately prior to the Effective Time of the Merger will be converted into and exchanged for one validly issued, fully paid and non-assessable membership interest in the Surviving Company representing 100% of the membership interests therein, and as a result of which, Xxxxxx shall become the wholly-owned subsidiary of Denim.

(b)Β Β Β Β Β Β Β Β Β Β Preferred Allocation Schedule. Schedule A (the βPreferred Allocation Scheduleβ) sets forth (i) the number of Preferred Units held by each member of Xxxxxx holding Preferred Units (each, a βPreferred Unitholderβ and collectively, the βPreferred Unitholdersβ); (ii) the portion of the Merger Consideration to which such Preferred Unitholder is entitled pursuant to the Xxxxxx LLC Agreement (represented as such Preferred Unit Holderβs pro rata share and a dollar amount); (iii) the number of Initial Shares such Preferred Unit Holder is entitled to receive in respect of the Parent Stock; (iv) the number of Holdback Shares such Preferred Unit Holder is entitled to receive in respect of the Parent Stock; and (v) the portion of the Note such Preferred Unit Holder is entitled to receive.

(c)Β Β Β Β Β Β Β Β Β Β Β Payment Procedures.

(i)Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β The number of shares of Parent Stock issuable to Preferred Holders in connection with the Merger shall be twenty million seven hundred fifty four thousand seven hundred seventeen (20,754,717); of the shares of Parent Stock issuable in connection with the Merger, sixteen million six hundred three thousand seven hundred seventy three (16,603,773) shares shall be delivered as of the date hereof as the Initial Shares and four million one hundred fifty thousand nine hundred forty four (4,150,944) shares shall be held back solely, and only to the extent necessary, to satisfy any indemnification obligations of Xxxxxx or the Holders pursuant to Article VIII herein as the Holdback Shares.

Section 2.06Β Β Β Β Β Β Β Β Post-Closing Adjustment.

(a)Β Β Β Β Β Β Β Β Β Β Β IPO Calculation/Effect. If at that date which is one year from the closing date of the IPO, the product of the number of shares of Parent Stock issued hereunder multiplied by the sum of the closing price per share of the common stock of the Denim on such date as quoted on Nasdaq, the New York Stock Exchange or other stock exchange or interdealer quotation system, as the case may be, plus Sold Parent Stock Gross Proceeds does not exceed the sum of Eleven Million Dollars ($11,000,000) less the value of any Holdback Shares cancelled further to Article VIII, then Denim shall issue to the Preferred Members set forth on the Preferred Allocation Schedule pro rata an additional aggregate number of shares of common stock of Denim equal to the valuation shortfall at a per share price equal to the then closing price per share of the common stock of Denim as quoted on the Nasdaq, the New York Stock Exchange or other stock exchange or interdealer quotation system, as the case may be. Concurrently, Denim will cause an equivalent number of shares of common stock or common stock equivalents of Denim held by affiliated stockholders of Denim prior to the date of this Agreement to be cancelled pro rata in proportion to the number of shares of common stock of Denim held by each of them. By way of example only, the closing per share price of the common stock of Denim on said one year anniversary is $0.48, the product of said stock price multiplied by the number of shares of Parent Stock would be approximately $9,967,264 and if there are no Sold Parent Stock Gross Proceeds, in said scenario, the Preferred Members set forth on the Preferred Allocation Schedule would be issued 2,161,950 additional shares of common stock of Denim and an equivalent number of shares of the common stock or common stock equivalents of Denim would be cancelled pro rata by affiliated stockholders of Denim prior to the date of this Agreement.

(b)Β Β Β Β Β Β Β Β Β Β Β Sale Calculation/Effect. If, in connection with a Denim Sale, the sum of the cash proceeds payable with respect to the shares of Parent Stock issued hereunder plus Sold Parent Stock Gross Proceeds does not exceed the sum of Eleven Million Dollars ($11,000,000) less the value of any Holdback Shares cancelled further to Article VIII, then Denim shall, in connection with the closing of such Denim Sale, pay to the Preferred Members set forth on the Preferred Allocation Schedule pro rata the amount of any shortfall. By way of example only, if the cash proceeds payable with respect to the shares of Parent Stock issued hereunder in connection with a Denim Sale is $9,000,000 and if there are no Sold Parent Stock Gross Proceeds, in said scenario, the members set forth on the Preferred Allocation Schedule would receive an additional cash payment in the amount of $2,000,000.

(c)Β Β Β Β Β Β Β Β Β Β Β Adjustments for Tax Purposes. Any payments made pursuant to Section 2.06 shall be treated as an adjustment to the Purchase Price by the parties for Tax purposes, unless otherwise required by Law.

Section 2.07Β Β Β Β Β Β Β Anti-Dilution Protection. The parties hereto understand and agree that, at all times from the date of this Agreement until the date immediately preceding the effective date of the IPO, in no event will the number of shares of Parent Stock issued pursuant to this Agreement represent less than 9.1% of the outstanding capital stock of Denim on a fully-diluted basis. In the event that, at any time prior to the date immediately preceding the effective date of the IPO, the shares of Parent Stock issued pursuant to this Agreement represent less than 9.1% of the outstanding capital stock of Denim on a fully-diluted basis, Denim shall promptly issue new certificates evidencing additional shares of Parent Stock to the Preferred Members set forth on the Preferred Allocation Schedule such that the total number of shares of Parent Stock issued pursuant to this Agreement is not less than 9.1% of the outstanding capital stock of Denim on a fully-diluted basis as of such date.

REPRESENTATIONS AND WARRANTIES OF THE HOLDERS

Except as set forth in the correspondingly numbered Section of the Disclosure Schedules, each Holder, severally but not jointly, represents and warrants to Denim that the statements contained in this Article III are true and correct solely with respect to such Holder as of the date hereof.

Section 3.01Β Β Β Β Β Β Β Good Title. Such Holder is the record and beneficial owner of, and has good and marketable title to the Membership Units set forth across from such Holderβs name on the Preferred Allocation Schedule. Such Holder owns such Membership Units free and clear of any and all Liens, other than (i) the Xxxxxx LLC Agreement and (ii) transfer restrictions under applicable securities laws. Further to the Merger, such Holder will convey to Denim good title to all outstanding Membership Units of Xxxxxx held by such Holder, free and clear of all liens, security interests, pledges, equities and claims of any kind, voting trusts, agreements and other encumbrances (collectively, βLiensβ), other than transfer restrictions under applicable securities laws.

Section 3.02Β Β Β Β Β Β Β Power and Authority. Such Holder has the requisite organizational power and authority to enter into this Agreement. Such Holder has obtained all requisite approvals to enter into this Agreement and consummate the transactions contemplated by this Agreement. This Agreement constitutes a legal, valid and binding obligation of such Holder, enforceable against such Holder in accordance with its terms, except as such enforceability may be limited by bankruptcy, insolvency, reorganization, moratorium or similar Laws relating to or affecting the enforcement of creditorsβ rights in general and by general principles of equity (regardless of whether enforcement is sought in equity or at law) (the βEnforceability Exceptionsβ). No consent, approval or agreement of any individual or entity is required to be obtained by such Holder in connection with the execution and performance by such Holder of this Agreement or the execution and performance by such Holder of any agreements, instruments or other obligations entered into in connection with this Agreement.

Section 3.03Β Β Β Β Β Β Β Β No Conflicts. The execution, delivery and performance by such Holder of this Agreement and the consummation of the transactions contemplated hereby, do not and will not: (a) conflict with or result in a violation or breach of, or default under, any provision of the Organizational Documents of such Holder; (b) conflict with or result in a violation or breach of any provision of any Law or Governmental Order applicable to such Holder; (c) except as set forth in Section 3.03 of the Disclosure Schedules, require the consent, notice or other action by any Person under, conflict with, result in a violation or breach of, constitute a default or an event that, with or without notice or lapse of time or both, would constitute a default under, result in the acceleration of or create in any party the right to accelerate, terminate, modify or cancel any material Contract to which such Holder is a party or by which such Holder is bound or to which any of its properties and assets are subject; or (d) result in the creation or imposition of any Lien on any properties or assets of such Holder, other than Permitted Encumbrances. No consent, approval, Permit, Governmental Order, declaration or filing with, or notice to, any Governmental Authority is required by or with respect to such Holder in connection with the execution and delivery of this Agreement and the consummation of the transactions contemplated hereby and thereby.

Section 3.04Β Β Β Β Β Β Β Β Purchase Entirely for Own Account. The Parent Stock proposed to be acquired by such Holder hereunder will be acquired for investment for its own account, and not with a view to the resale or distribution of any part thereof, and such Holder has no present intention of selling or otherwise distributing the Parent Stock except in compliance with applicable securities laws.

Section 3.05Β Β Β Β Β Β Β Β Available Information. Such Holder has such knowledge and experience in financial and business matters that it is capable of evaluating the merits and risks of an investment in Denim.

Section 3.06Β Β Β Β Β Β Β Β Non-Registration. Such Holder understands that the shares of Parent Stock have not been registered under the Securities Act of 1933, as amended (the βSecurities Actβ) and, if issued in accordance with the provisions of this Agreement, will be issued by reason of a specific exemption from the registration provisions of the Securities Act which depends upon, among other things, the bona fide nature of the investment intent and the accuracy of such Holderβs representations as expressed herein.

Section 3.07Β Β Β Β Β Β Β Β Β Investment Representations

(a)Β Β Β Β Β Β Β Risks of Investment. Such Holder recognizes that the acquisition of the Parent Stock involves a high degree of risk in that an investor could sustain the loss of its entire investment, and Denim is and will be subject to numerous other risks and uncertainties, including without limitation, significant and material risks relating to Denimβs business and the industries, markets and geographic regions in which Denim competes.

(b)Β Β Β Β Β Β Β Accredited Investor Status. Such Holder represents that it is an βaccredited investorβ as such term is defined in Rule 501 of Regulation D promulgated under the Securities Act, and that it is able to bear the economic risk of an investment in the Parent Stock. Such Holder: (i) was not formed for the purpose of investing in Denim; and (ii) is authorized and otherwise duly qualified to purchase and hold the Parent Stock.

(c)Β Β Β Β Β Β Β Β Investment Experience. Such Holder acknowledges that it has prior investment experience, including without limitation, investment in non-listed and non-registered securities, and that it recognizes the highly speculative nature of this investment.

(d)Β Β Β Β Β Β Β Β Access to Information. Such Holder has been furnished or given access by Denim with or to all information regarding Denim and its financial condition and results of operations which it had requested or desired to know; all documents which could be reasonably provided have been made available for its inspection and review; it has been afforded the opportunity to ask questions of and receive answers from duly authorized representatives of Denim concerning the terms and conditions of the sale and purchase of the Parent Stock, and any additional information which it had requested in that connection. Such Holder has not seen or received any advertisement or general solicitation with respect to the sale of any of the securities of Denim, including, without limitation, the Parent Stock. Such Holder acknowledges that, except as set forth herein, no representations or warranties have been made to the Holder by either Denim or any of its agents, employees or affiliates and in entering into this transaction, such Holder is not relying on any information, other than that contained herein and the results of independent investigation by such Holder.

(e)Β Β Β Β Β Β Β Investment Intent; Resales. Such Holder acknowledges that the offer and sale of the Parent Stock has not been reviewed or approved by the SEC because the offering of the Parent Stock is intended to be a nonpublic offering pursuant to Section 4(a)(2) of the Securities Act. Such Holder understands that it will not sell or otherwise transfer any of the Parent Stock unless they are registered under the Securities Act or unless an exemption from such registration is available and, upon Denimβs request, Denim receives an opinion of counsel reasonably satisfactory to Denim confirming that an exemption from such registration is available for such sale or transfer, provided that no opinion of counsel shall be required in connection with sales pursuant to Rule 144 promulgated under the Securities Act.

Xxxxxx has full power and authority to enter into this Agreement, to carry out its obligations hereunder and to consummate the transactions contemplated hereby. The execution and delivery by Xxxxxx of this Agreement, the performance by Xxxxxx of its obligations hereunder, and the consummation by Xxxxxx of the transactions contemplated hereby have been duly authorized by all requisite action on the part of the Board of Managers and members of Xxxxxx. This Agreement has been duly executed and delivered by Xxxxxx, and (assuming due authorization, execution, and delivery by Denim) this Agreement constitutes a legal, valid and binding obligation of Xxxxxx enforceable against Xxxxxx in accordance with its terms, subject to the Enforceability Exceptions.

Section 4.02Β Β Β Β Β Β Β Β Organization, Authority and Qualification of Xxxxxx. Xxxxxx is a limited liability company duly organized, validly existing and in good standing under the Laws of the state of Delaware and has full limited liability company power and authority to own, operate or lease the properties and assets now owned, operated or leased by it and to carry on its business as it has been and is currently conducted. Section 4.02 of the Disclosure Schedules sets forth each jurisdiction in which Xxxxxx is licensed or qualified to do business, and Xxxxxx is duly licensed or qualified to do business and is in good standing in each jurisdiction in which the properties owned or leased by it or the operation of its business as currently conducted makes such licensing or qualification necessary, except as would not have a Xxxxxx Material Adverse Effect. All limited liability company actions taken by Xxxxxx in connection with this Agreement have been duly authorized on or prior to the Closing.

Section 4.03Β Β Β Β Β Β Β Β Capitalization.

(a)Β Β Β Β Β Β Β Section 4.03 of the Disclosure Schedule sets forth the capitalization of Xxxxxx, including all Membership Interests outstanding and the beneficial owner of such Membership Interests. The Persons listed in Section 4.03 of the Disclosure Schedule are the record owners of and have good and valid title to the Membership Interests, free and clear of all Liens, other than (i) the Xxxxxx LLC Agreement and (ii) transfer restrictions under applicable securities laws. The Membership Interests constitute 100% of the total issued and outstanding membership interests in Xxxxxx. The Membership Interests have been duly authorized and are validly issued, fully-paid and non-assessable. Upon consummation of the transactions contemplated by this Agreement, Denim shall own all of the membership interests of the Surviving Company, free and clear of all Liens, other than other than (i) the Xxxxxx LLC Agreement, (ii) transfer restrictions under applicable securities laws and (iii) Liens incurred by Denim or its Affiliates. Only those Preferred Members set forth on the Preferred Allocation Schedule are entitled to shares of Parent Stock and a portion of the Note in connection with the Merger and no other member of Xxxxxxβx is entitled to any consideration or compensation in connection with the Merger.

The buildings, plants, structures, furniture, fixtures, machinery, equipment, vehicles and other items of tangible personal property currently owned or leased by Xxxxxx, together with all other properties and assets of Xxxxxx, are sufficient for the continued conduct of Xxxxxx'x business after the Closing in substantially the same manner as conducted prior to the Closing and constitute all of the rights, property and assets necessary to conduct the business of Xxxxxx as currently conducted.

Section 4.12Β Β Β Β Β Β Β Β Β Intellectual Property.Β Except as set forth in Section 4.12 of the Disclosure Schedules: (A) To the Knowledge of Xxxxxx, Xxxxxx owns or possesses sufficient legal rights to all Intellectual Property purported to be owed by Xxxxxx without any conflicts with, or infringement of, the rights of others, and no product or service marketed or sold (or proposed to be marketed or sold) by Xxxxxx violates any license or infringes any intellectual property rights of any other party. (B) Other than with respect to commercially available software products under standard end-user object code license agreements or standard license agreements for free or open source software, there are no outstanding options, licenses, agreements, claims, encumbrances or shared ownership interests of any kind relating to the Intellectual Property, nor is Xxxxxx bound by or a party to any options, licenses or agreements of any kind with respect to the patents, trademarks, service marks, trade names, copyrights, trade secrets, licenses, information, proprietary rights and processes of any other Person. (C) During the past three years, no claim has been asserted or, to the Knowledge of Xxxxxx, threatened against Xxxxxx involving any Intellectual Property (D) To the Knowledge of Xxxxxx, it will not be necessary to use any inventions of any of its employees or consultants made prior to or outside the scope of their employment by Xxxxxx. (E) Each employee and consultant has (i) assigned to Xxxxxx all intellectual property rights he or she owns that are related to the business of Xxxxxx and (ii) executed an agreement with Xxxxxx acknowledging Xxxxxxβx exclusive ownership of all Intellectual Property invented, created or developed by such employee or independent contractor within the scope of his or her employment or engagement with Xxxxxx. (F) Xxxxxx does not utilize any free or open source software in a manner that requires Xxxxxx to disclose, make available, or offer or deliver any portion of the source code of such any proprietary Xxxxxx software or component thereof to any third party.

All inventory of Xxxxxx, whether or not reflected in the Xxxxxx Balance Sheet, consists of a quality and quantity usable and salable in the ordinary course of business consistent with past practice, except for obsolete, damaged, defective or slow-moving items that have been written off or written down to fair market value or for which adequate reserves have been established. All such inventory is owned by Xxxxxx free and clear of all Liens, and no inventory is held on a consignment basis. REPRESENTATIONS AND WARRANTIES OF DENIM

Denim represents and warrants to Holders that the statements contained in this Article V are true and correct as of the date hereof.

Section 5.01Β Β Β Β Β Β Β Organization and Authority of Denim and Merger Sub. Each of Denim and Merger Sub is a corporation duly organized, validly existing and in good standing under the Laws of the state of Delaware. Each of Denim and Merger Sub has full corporate power and authority to enter into this Agreement, to carry out its obligations hereunder and to consummate the transactions contemplated hereby. The execution and delivery by Denim and Merger Sub of this Agreement and the Note, the performance by Denim and Merger Sub of their obligations hereunder and thereunder and the consummation by Denim and Merger Sub of the transactions contemplated hereby and thereby have been duly authorized by all requisite corporate action on the part of Denim and Merger Sub. This Agreement has been duly executed and delivered by Denim and Merger Sub, and (assuming due authorization, execution, and delivery by Xxxxxx) this Agreement constitutes a legal, valid, and binding obligation of Denim and Merger Sub enforceable against Denim and Merger Sub in accordance with its terms, subject to the Enforceability Exceptions.

(a)Β Β Β Β Β Β Β Β Β Β Section 5.02 of the Disclosure Schedule sets forth the capitalization of Denim, including all capital stock outstanding and the beneficial owner thereof. The outstanding capital stock of Denim has been duly authorized and is validly issued, fully-paid and non-assessable.

(b)Β Β Β Β Β Β Β Β Β The outstanding capital stock of Denim was issued in compliance with applicable Laws. No consent, approval, Permit, Governmental Order, declaration or filing with, or notice to, any Governmental Authority is required by or with respect to Denim in connection with the execution and delivery of this Agreement and the Note and the consummation of the transactions contemplated hereby and thereby, except for such consents, approvals, Permits, Governmental Orders, declarations, filings or notices which, in the aggregate, would not have a Denim Material Adverse Effect.

Denim is acquiring the Membership Interests solely for its own account for investment purposes and not with a view to, or for offer or sale in connection with, any distribution thereof. Denim acknowledges that the Membership Interests are not registered under the Securities or any state securities laws, and that the Membership Interests may not be transferred or sold except pursuant to the registration provisions of the Securities Act or pursuant to an applicable exemption therefrom and subject to state securities laws and regulations, as applicable.

Section 5.09Β Β Β Β Β Β Valid Issuance. Upon issuance in accordance with and pursuant to the terms of this Agreement, the Parent Stock will be validly issued, fully paid and non-assessable.

Section 5.12Β Β Β Β Β Β Compliance With Laws. Denim has complied for the past three years, and is now complying, in all material respects with all Laws applicable to it or its business, properties or assets.

COVENANTS

Section 7.01 Β Β Β Β Β Β Β Public Announcements. Unless otherwise required by applicable Law (based upon the reasonable advice of counsel), no party to this Agreement shall make any public announcements in respect of this Agreement or the transactions contemplated hereby or otherwise communicate with any news media without the prior written consent of the other parties (which consent shall not be unreasonably withheld or delayed), and the parties shall cooperate as to the timing and contents of any such announcement.

Section 7.02 Β Β Β Β Β Β Β Market Stand-Off. Each of the Holders hereby agrees in connection with the IPO not to sell, make any short sale of, loan, grant any option for the purchase of, or otherwise dispose of any capital stock of Denim without the prior written consent of Denim or the underwriters (the βUnderwritersβ) managing such offering of Denim's securities, as the case may be, for such period of time (not to exceed 180 days) from the effective date of the registration relating to such offering as Denim or the Underwriters may specify. In order to enforce the foregoing covenants, Denim may impose stop-transfer instructions with respect to the securities of Denim beneficially held by the Holders. Such market-stand-off shall be applicable to and enforceable against any transferee of securities of Denim with respect to transfers by any of the Holders.

Section 7.03Β Β Β Β Β Β Β Β Further Assurances. Following the Closing, each of the parties hereto shall, and shall cause their respective Affiliates to, execute and deliver such additional documents, instruments, conveyances and assurances and take such further actions as may be reasonably required to carry out the provisions hereof and give effect to the transactions contemplated by this Agreement.

Section 7.04 Β Β Β Β Β Β Β Issuance of Holdback Shares. Promptly after the first anniversary of the date of this Agreement, subject to the provisions of Article VIII, Denim will issue new certificates evidencing the Holdback Shares not otherwise cancelled further to Article VIII to each Preferred Unitholder pursuant to the Preferred Allocation Schedule.

INDEMNIFICATION

Section 8.01 Β Β Β Β Β Β Β Survival Period. For purposes of this Agreement, (a)Β the representations and warranties of Holders contained in Sections 3.01, 3.02, 3.03(a), 3.04 and 3.07 (each, a βHolder Fundamental Representationβ), the representations and warranties of Xxxxxx contained in Sections 4.01, 4.02, 4.03, 4.05(a) and 4.24 (each, a βXxxxxx Fundamental Representationβ) and the representations and warranties of Denim contained in Sections 5.01, 5.02, 5.03(a), 5.08, 5.09 and 5.10 (each, a βHolder Fundamental Representationβ) shall survive for the applicable statute of limitations, and (b)Β all other representations and warranties not referenced in SectionΒ 8.01(a) shall survive for a period of twelve (12) months after the Closing Date. The parties hereby agree that the foregoing is specifically intended to limit the time period within which a party may make a Claim, notwithstanding any applicable statute of limitations. No party shall be entitled to recover for any Losses pursuant to SectionsΒ 8.02 or 8.03 unless a Claim Notice is delivered to the Indemnifying Party before the applicable date set forth in this SectionΒ 8.01, in which case the claim set forth in the Claim Notice shall survive the applicable date set forth in this Section 8.01 until such time as such claim is fully and finally resolved. The covenants and agreements set forth in this Agreement and to be performed to any extent at or after the Closing Date shall survive until fully discharged and performed, and any claims for indemnification in respect of a breach of such covenants to be performed in any respect after the Effective Date may be made at any time within the applicable statute of limitations.

Section 8.02 Β Β Β Β Β Β Indemnification by Holders. Subject to the limitations set forth in this Article VIII, from and after the Closing, each Holder shall indemnify and hold harmless Denim and Xxxxxx, as the Surviving Company and each of their respective officers, managers, stockholders, members, agents and representatives (collectively, the βDenim Indemnified Partiesβ) from and against all Losses that Denim Indemnified Parties may suffer or sustain by reason of or arising out of (a) any inaccuracy in any representation or warranty of such Holder contained in ARTICLE III or (b) any breach of any covenant or agreement of such Holder contained in this Agreement. Subject to the limitations set forth in this Article VIII, from and after the Closing, each Holder, severally and not jointly based on its Pro Rata Share (as identified in the Preferred Allocation Schedule, shall indemnify and hold harmless the Denim Indemnified Parties from and against all Losses that Denim Indemnified Parties may suffer or sustain by reason of or arising out of (a) any inaccuracy in any representation or warranty of Xxxxxx contained in ARTICLE IV or (b) the determination of the allocation of the Merger Consideration among the holders of Membership Units or the preparation of Preferred Allocation Schedule. The amount of Losses incurred by the Holders pursuant to this Section 8.02 are referred to herein as the βHolder Indemnifiable Amountβ. Except for Claims (as such term is defined below) made in respect of (i) any breach of a Holder Fundamental Representation or a Xxxxxx Fundamental Representation, (ii) breaches of any covenant or agreement, or (iii) the Preferred Allocation Schedule (collectively, βHolder Fundamental Claimsβ), all Claims made by Denim Indemnified Parties shall be satisfied exclusively from the Holdback Shares.

Section 8.03Β Β Β Β Β Β Β Β Indemnification by Denim. Subject to the limitations set forth in this Article VIII, from and after the Closing, Denim shall indemnify and hold harmless Holders and each of their respective officers, managers, members, agents and representatives (collectively, the βHolder Indemnified Partiesβ) from and against all Losses that the Holder Indemnified Parties may suffer or sustain by reason of or arising out of (a) any inaccuracy in any representation or warranty contained in ARTICLE V, and (b) any breach of any covenant or agreement of the Denim or Xxxxxx (to the extent contemplating performance after the Closing) contained in this Agreement (the amount of such Losses, the βDenim Indemnifiable Amountβ).

Section 8.04Β Β Β Β Β Β Β Β Limitations on Indemnification

(a)Β Β Β Β Β Β Β Β Β Except in the case of intentional fraud or a Claim involving a breach of any Denim Fundamental Representation or the breach of any covenant or agreement, the total aggregate Losses under the Denim Indemnifiable Amount shall not exceed an amount equal to $2,200,000.
β
(b)Β Β Β Β Β Β Β Β Except in the case of intentional fraud or a Holder Fundamental Claim, the total aggregate Losses under the Holder Indemnifiable Amount shall not exceed an amount equal to the value of the Holdback Shares and, except for a Holder Fundamental Claim which shall be satisfied in cash by the Holders, all Claims by Denim for indemnification further to this ARTICLE VII shall be made solely against and result in the cancellation of Holdback Shares at a per share price equal to $0.53, subject to adjustment for splits, reverse splits and similar events. It is understood that any such cash amounts shall be initially offset against amounts owing under the Note and that any amounts in excess shall be paid in cash by the Holders.

(c)Β Β Β Β Β Β Β Β Β In no event shall any Indemnifying Party be liable to any Indemnified Party for any punitive, incidental, consequential, special or indirect damages, including loss of future revenue or income, loss of business reputation or opportunity relating to the breach or alleged breach of this Agreement, or diminution of value or any damages based on any type of multiple, except to the extent such damages are included as damages payable by an Indemnified Party in respect of a third party claim.

(d)Β Β Β Β Β Β Β Β The representations, warranties and covenants of the Indemnifying Party, and the Indemnified Party's right to indemnification with respect thereto, shall not be affected or deemed waived by reason of any investigation made by or on behalf of the Indemnified Party (including by any of its Representatives) or by reason of the fact that the Indemnified Party or any of its Representatives knew or should have known that any such representation or warranty is, was or might be inaccurate.

(e)Β Β Β Β Β Β Β Β Β No Holder nor any of their respective Affiliates will have any right of contribution from the Surviving Company for liabilities for such Personβs obligations pursuant to this Article VIII.

(f)Β Β Β Β Β Β Β Β Β An Indemnified Party shall have no recourse against an Indemnifying Party for a claim relating to a breach of a representation or warranty until such time as the total amount of all Losses in respect of all claims relating to a breach of representations and warranties exceeds $150,000 in the aggregate, and then only in respect of such excess.

(g)Β Β Β Β Β Β Β Β Each Indemnified Party acknowledges and agrees that, for purposes hereof, Losses shall be calculated based on the amount of Losses that remains after deducting any insurance proceeds, indemnity, contribution or other similar payment actually received by an Indemnified Party or its Affiliates with respect thereto. If any Indemnified Party of its Affiliates recovers amounts from any third party with respect to such Losses after indemnification is made to it by the Indemnifying party, the Indemnified Party shall promptly pay to the Indemnifying Party that made such indemnification payment the amount of such third party recovery, net of any out-of-pocket costs associated with obtaining such third party recovery, at such time or times as and to the extent that such amount is actually received by the Indemnifying Party or its Affiliates. Each Indemnified Party shall use its commercially reasonable efforts to mitigate any Losses for which it is entitled to indemnification pursuant to this ArticleΒ VIII.

Section 8.05 Β Β Β Β Β Β Β Indemnification Claims.
β
(a)Β Β Β Β Β Β Β Β Β If an Indemnified Party (the βClaimantβ) wishes to assert an indemnification claim hereunder (a βClaimβ), the Claimant shall deliver to the responsible Indemnifying Party a written notice (a βClaim Noticeβ) setting forth:
β
(i)Β Β Β Β Β Β Β Β Β Β a description of the matter giving rise to the Claim, including a reasonably detailed description of the facts and circumstances known to Claimant giving rise to the Claim, and
β
(ii)Β Β Β Β Β Β Β Β Β Β to the extent determinable based on facts known to the Claimant at such date, an estimate of the monetary amounts actually incurred or expected to be incurred for which indemnification is sought.
β
(b)Β Β Β Β Β Β Β Β Β Β Within thirty (30) days after receipt of any Claim Notice, the Indemnifying Party shall either (i)Β acknowledge in writing its responsibility for all or part of such matter for which indemnification is sought under this ARTICLEΒ VII, and will either (A)Β satisfy (subject to the terms and conditions of this Article VIII) the portion of such matter as to which responsibility is acknowledged, or (B)Β take such other action as is reasonably satisfactory to the Indemnified Party to provide reasonable security or other assurances for the performance of its obligations hereunder, and/or (ii)Β give written notice to the Indemnified Party of its intention to dispute or contest all or part of such responsibility. Upon delivery of such notice of intention to contest, the parties will negotiate in good faith to resolve as promptly as possible any dispute as to responsibility for, or the amount of, any such matter. If the parties fail to resolve such dispute within ninety (90) days of delivery of the notice of intention to contest, either party may submit such dispute for resolution pursuant to Section 9.14.

Section 8.06 Β Β Β Β Β Β Β Defense of Third-Party Claims
β
(a) Β Β Β Β Β Β Β Β Β If an Indemnified Party receives written notice or otherwise obtains knowledge of any third-party claim or any threatened third-party claim that gives rise or is reasonably likely to give rise to a Claim against an Indemnifying Party, then the Indemnified Party shall promptly deliver to the Indemnifying Party a written notice describing such third-party claim in reasonable detail. The untimely delivery of such written notice by the Indemnified Party to the Indemnifying Party shall relieve the Indemnifying Party of liability with respect to such third-party claim only to the extent that it has actually been prejudiced by lack of timely notice under this Section 8.06(a) with respect to such third-party claim. The Indemnifying Party shall have the right, at its option, to assume the defense of any such third-party claim with counsel of its own choosing, which counsel shall be reasonably acceptable to the Indemnified Party. If the Indemnifying Party elects to assume the defense of an indemnification for any such third-party claim, then:

(i)Β Β Β Β Β Β Β Β Β Β Except as set forth in SectionΒ 8.06(b), the Indemnifying Party shall not be required to pay or otherwise indemnify the Indemnified Party against any attorneysβ fees or other expenses incurred on behalf of the Indemnified Party in connection with such matter following the Indemnifying Partyβs election to assume the defense of such matter so long as the Indemnifying Party continues to diligently conduct such defense;
β
(ii)Β Β Β Β Β Β Β Β Β The Indemnified Party shall, subject to the Indemnifying Partyβs agreement to appropriate confidentiality restrictions, use reasonable efforts to make available to the Indemnifying Party all books, records and other documents and materials that are under the direct or indirect control of the Indemnified Party or any of the Indemnified Partyβs representatives that the Indemnifying Party reasonably considers necessary or desirable for the defense of such matter and shall, upon prior request and to the extent reasonably necessary in connection with the defense of such claim, make available to the Indemnifying Party reasonable access to the Indemnified Partyβs personnel; provided that nothing herein shall require the Indemnified Party to disclose privileged documents that are unrelated to such claim except to the extent Indemnified Party is compelled to do so by a court of competent jurisdiction; and
β
(iii)Β Β Β Β Β Β Β Β The Indemnified Party shall not be required to admit any liability with respect to such third-party claim.
β
(b) Β Β Β Β Β Β Β Β Β If (i)Β the Indemnifying Party fails or refuses to assume the defense of and indemnification for such third-party claim within thirty (30) days of receipt of notice of such claim in accordance with SectionΒ 8.06(a), (ii)Β the Indemnifying Party fails to actively and diligently defend such third-party claim following any such acceptance, (iii)Β the third-party claim includes an injunction or seeks other equitable relief, (iv)Β the Indemnified Party shall have been advised by counsel reasonably acceptable to the Indemnifying Party that there are one or more legal or equitable defenses available to it which are different from or in addition to those available to the Indemnifying Party, and, in the reasonable opinion of the Indemnified Party, counsel for the Indemnifying Party could not adequately represent the interests of the Indemnified Party because such interests would be in conflict with those of the Indemnifying Party, or (v) the third-party claim includes damages that could exceed the limitations in SectionΒ 8.04, then at the Indemnified Partyβs option, the Indemnified Party may assume the defense and if it assumes the defense, the Indemnified Party shall proceed to actively and diligently defend such third-party claim with the assistance of counsel of its selection, and the Indemnifying Party shall be entitled to participate in (but not control) the defense of such third-party claim, with its own counsel and at its own expense; provided, that if the Indemnifying Party agrees in writing that the Indemnified Party is entitled to indemnification hereunder for such third-party claim, and the Indemnifying Party is otherwise determined to be obligated for the Losses under this ARTICLE VIII in respect of such third-party claim, then the Losses recoverable by Indemnified Party shall include all costs and expenses, including of the defense set forth herein.

(c) Β Β Β Β Β Β Β Β Β No third-party claim may be settled by the Indemnified Party without notice to, and the written consent of, the Indemnifying Party, which consent shall not be unreasonably withheld or delayed. No third-party claim may be settled by the Indemnifying Party without notice to, and the written consent of, the Indemnified Party, which consent shall not be unreasonably withheld or delayed. For purposes of this SectionΒ 8.06, the decision not to pursue an appeal (whether as of right or discretionary) shall be deemed to be a decision to settle or compromise, requiring the prior written consent of the Party that has not assumed the defense of such matter, which consent shall not be unreasonably withheld.

In the event of any inconsistency between the statements in the body of this Agreement, the Exhibits and Schedules (other than an exception expressly set forth as such in the Disclosure Schedules), the statements in the body of this Agreement will control.

No party may assign or otherwise transfer this Agreement or any of its rights hereunder to any Person without the prior written consent of the other parties. Section 9.07 Β Β Β Β Β Entire Agreement. This Agreement (along with all schedules and exhibits attached hereto) embody the entire agreement and understanding among the parties with respect to the subject matter hereof.

Section 9.13 Β Β Β Β Β Β Governing Law. The Laws of the State of Delaware, without regard to conflicts of Laws principles, shall govern the validity of this Agreement, the construction of its terms, and the interpretation of the rights and duties of the parties hereto.

Any claim, demand, disagreement, controversy or dispute that arises regarding, from or in connection with this Agreement or the breach or alleged breach thereof (collectively, a βDisputeβ), between or among the parties shall be resolved in accordance with the following dispute resolution procedures:

(a)Β Β Β Β Β Cooperation.Β Β If a Dispute arises, any party may notify the other parties by sending a written notice (a βDispute Noticeβ), which Dispute Notice shall identify the Dispute in reasonable detail and set forth briefly the notifying partyβs position with respect to the Dispute. Upon receipt of any Dispute Notice, the parties shall use reasonable efforts to cooperate and arrive at a mutually acceptable resolution of the Dispute within the next thirty (30) days.

Β Β Β In the event that the Dispute is not resolved pursuant to the procedures described in Section 9.14(a), any party may request that the Dispute be submitted to binding arbitration by providing a notice of arbitration (the βArbitration Noticeβ) to the other parties to the Dispute. The Arbitration Notice shall be issued within thirty (30) days following the conclusion of the thirty (30)-day cooperation period described below and shall identify the unresolved Dispute in reasonable detail.

(c)Β Β Β Β Β Selection of the Arbitrator. The parties agree that the Dispute shall be submitted to a single arbitrator, acceptable to both parties, who has at least twenty (20) yearsβ experience in the clothing industry. The parties shall use their commercially reasonable efforts to mutually select a qualified arbitrator within ten (10) days after the Arbitration Notice has been delivered. If the parties cannot agree on the arbitrator within such ten (10)-day period, then any party may request that ADR Services, Inc. appoint the arbitrator (who must have the qualifications described above) in accordance with its Arbitration Rules. The party seeking action by ADR Services, Inc. shall request that the appointment be made within ten (10) days.

(d)Β Β Β Β Β The Arbitration Hearing. The arbitration hearing shall be held on a date and at a place and time mutually acceptable to the arbitrator and the parties within thirty (30) days following the appointment of the arbitrator. At least 72 hours in advance of the arbitration hearing, each party involved in the Dispute shall prepare its best and final offer to settle the Dispute in full (the βFinal Offersβ), and shall deliver its Final Offer to the other parties involved in the Dispute and the arbitrator. The arbitrator shall determine the format of the arbitration hearing to ensure that the parties have an opportunity to make an oral presentation of their views of the Dispute and to explain their Final Offers.

(e)Β Β Β Β Β The Decision. Upon the conclusion of the arbitration hearing, the arbitrator shall and must select the Final Offer proposed by one of the parties with respect to the Dispute, without variation, and enter that as the arbitratorβs award. The arbitratorβs award will be final and binding on the parties, and the parties shall be required to act in accordance with such decision.

(f)Β Β Β Β Β Fees and Expenses. Except to the extent specifically set forth in this Agreement, the parties shall pay their own fees and expenses incurred in connection with the Dispute resolution proceedings set forth in this Section 9.14, provided that in the case of an arbitration, the arbitrator may include in its decision the award of fees and expenses to the prevailing party.

Section 9.15 Β Β Β Β Β Β WAIVER OF JURY TRIAL. EACH PARTY HEREBY WAIVES ITS RIGHTS TO A JURY TRIAL OF ANY CLAIM OR CAUSE OF ACTION BASED UPON OR ARISING OUT OF THIS AGREEMENT, THE OTHER TRANSACTION DOCUMENTS, THE SECURITIES OR THE SUBJECT MATTER HEREOF OR THEREOF. THE SCOPE OF THIS WAIVER IS INTENDED TO BE ALL-ENCOMPASSING OF ANY AND ALL DISPUTES THAT MAY BE FILED IN ANY COURT AND THAT RELATE TO THE SUBJECT MATTER OF THIS TRANSACTION, INCLUDING, WITHOUT LIMITATION, CONTRACT CLAIMS, TORT CLAIMS (INCLUDING NEGLIGENCE), BREACH OF DUTY CLAIMS, AND ALL OTHER COMMON LAW AND STATUTORY CLAIMS. THIS SECTION HAS BEEN FULLY DISCUSSED BY EACH OF THE PARTIES HERETO AND THESE PROVISIONS WILL NOT BE SUBJECT TO ANY EXCEPTIONS. EACH PARTY HERETO HEREBY FURTHER WARRANTS AND REPRESENTS THAT SUCH PARTY HAS REVIEWED THIS WAIVER WITH ITS LEGAL COUNSEL, AND THAT SUCH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ITS JURY TRIAL RIGHTS FOLLOWING CONSULTATION WITH LEGAL COUNSEL.
