By mutual agreement, both XXXX Pharmaceuticals Corp. (“XXXX”) and Xxxxxxx Packaging Ltd. (“Xxxxxxx”) agree to waive the 90 day notice period required in Paragraph 18.a of the agreement dated September 29, 2005 between XXXX and Xxxxxxx and to terminate the agreement, effective on the date this letter is signed by Xxxxxxx.

For future orders, XXXX will provide Xxxxxxx with purchase orders and pay Xxxxxxx according to the standard payment terms that Xxxxxxx provides to its other customers.

XXXX will arrange to have XXXX’x inventory removed from Xxxxxxx’x premises 7 business days after the letter is signed by Xxxxxxx.
