Β Β Β Β Β Β Β Β The undersigned, Gentium, S.p.A., a Republic of Italy joint stock corporation (the "Company"), hereby confirms its agreement with Maxim Group LLC ("Maxim") and I-Bankers Securities Incorporated ("IBS" and, together with Maxim, the "Representatives") as Representatives of the several underwriters named on ScheduleΒ I to this Agreement (the "Underwriters") as follows:
Β Β Β Β Β Β Β Β 1.Β Β Β Β Purchase and Sale of Shares.Β Β Β Β
Β Β Β Β Β Β Β Β 1.1.Β Β Β Β Firm ADSs.Β Β Β Β
Β Β Β Β Β Β Β Β 1.1.1.Β Β Β Β Purchase of Firm ADSs.Β Β Β Β On the basis of the representations and warranties herein contained, but subject to the terms and conditions herein set forth, the Company agrees to issue and sell to the Underwriters 2,700,000 American Depository Shares (the "Firm ADSs"), each American Depository Share ("ADS") representing one of the Company's ordinary shares ("Ordinary Shares") at a purchase price (net of discounts and commissions). The sale of the Firm ADSs together with any of the Optional ADSs (as hereinafter defined) is sometimes hereinafter referred to as the "Offering" and the Firm ADSs and the Optional ADSs are collectively referred to as the Offered Securities. The Underwriters, severally and not jointly, agree to purchase from the Company the number of Firm ADSs set forth opposite their respective names on ScheduleΒ I attached hereto and made a part hereof at such purchase price.
Β Β Β Β Β Β Β Β The Firm ADSs and the Optional ADSs will be evidenced by American Depositary Receipts ("ADRs") to be issued pursuant to the Deposit Agreement dated as of JuneΒ Β Β Β , 2005 (the "Deposit Agreement"), among the Company, The Bank of New York, as depositary (the "Depositary"), and the holders and beneficial holders from time to time of the ADRs.
Β Β Β Β Β Β Β Β 1.1.2.Β Β Β Β Delivery and Payment.Β Β Β Β Delivery and payment for the Firm ADSs shall be made at 10:00Β a.m., New York time, on or before the fourth business day following the date that the Firm ADSs commence trading or at such earlier time as the Representatives shall determine, or at such other time as shall be agreed upon by the Representatives and the Company, at the offices of counsel to the Representatives or at such other place as shall be agreed upon by the Representatives and the Company. The hour and date of delivery and payment for the Firm ADSs are called the "Closing Date." The Firm ADSs to be purchased by the Underwriters hereunder and the ADRs evidencing such Firm ADSs, in definitive form, and in such authorized denominations and registered in such names as the Underwriters request shall be delivered by or on behalf of the Company to the Representatives on the Closing Date through

the facilities of DTC, for the accounts of the several Underwriters or as such Underwriters may direct against payment of the purchase price therefor in Federal (same day) funds by wire transfers to the account designated by the Company at a bank acceptable to the Representatives on the Closing Date. The ADRs representing the Firm ADSs will be made available for checking at the office of DTC or its designated custodian at least 24Β hours prior to the Closing Date.
Β Β Β Β Β Β Β Β 1.2.Β Β Β Β Over-Allotment Option.Β Β Β Β
Β Β Β Β Β Β Β Β 1.2.1.Β Β Β Β Optional ADSs.Β Β Β Β For the purposes of covering any over-allotments in connection with the distribution and sale of the Firm ADSs, the Representatives are hereby granted an option to purchase up to an additional 405,000 ADSs from the Company ("Over-allotment Option"). Such additional 405,000 ADSs are hereinafter referred to as the "Optional ADSs." The purchase price to be paid for the Optional ADSs will be the same price per Option Share as the price per Firm Share set forth in SectionΒ 1.1.1 hereof.
Β Β Β Β Β Β Β Β 1.2.2.Β Β Β Β Exercise of Option.Β Β Β Β The Over-allotment Option granted pursuant to SectionΒ 1.2.1 hereof may be exercised by the Representatives as to all or any part of the Optional ADSs at any time, from time to time, within forty-five (45)Β days after the effective date ("Effective Date") of the Registration Statement (as hereinafter defined). The Underwriters will not be under any obligation to purchase any Optional ADSs prior to the exercise of the Over-allotment Option. The Over-allotment Option granted hereby may be exercised by the giving of oral notice to the Company from the Representatives, which must be confirmed within one (1)Β business day by a letter or telecopy setting forth the number of Optional ADSs to be purchased, the date and time for delivery of and payment for the Optional ADSs and stating that the Optional ADSs referred to therein are to be used for the purpose of covering over-allotments in connection with the distribution and sale of the Firm ADSs. If such notice is given at least two full business days prior to the Closing Date, the date set forth therein for such delivery and payment will be the Closing Date. If such notice is given thereafter, the date set forth therein for such delivery and payment will not be earlier than three full business days after the date of the notice, unless the Representatives and the Company agree upon an earlier date. If such delivery and payment for the Optional ADSs does not occur on the Closing Date, the date and time of the closing for such Optional ADSs will be as set forth in the notice (hereinafter the "Option Closing Date"). Upon exercise of the Over-allotment Option, the Company will become obligated to convey to the Underwriters, and, subject to the terms and conditions set forth herein, the Underwriters will become obligated to purchase, the number of Optional ADSs specified in such notice.
Β Β Β Β Β Β Β Β 1.2.3.Β Β Β Β Payment and Delivery.Β Β Β Β The Optional ADSs to be purchased by the Underwriters hereunder and the ADRs evidencing such Optional ADSs, in definitive form, and in such authorized denominations and registered in such names as the Underwriters request shall be delivered by or on behalf of the Company to the Representatives on each Optional Closing Date through the facilities of DTC, for the accounts of the several Underwriters or as such Underwriters may direct against payment of the purchase price therefor in Federal (same day) funds by wire transfers to the account designated by the Company at a bank acceptable to the Representatives on each Optional Closing Date. The ADRs representing the Optional ADSs will be made available for checking at the office of DTC or its designated custodian at least 24Β hours prior to each Optional Closing Date.
Β Β Β Β Β Β Β Β 1.3.Β Β Β Β Underwriters' Purchase Option.Β Β Β Β
Β Β Β Β Β Β Β Β 1.3.1.Β Β Β Β Purchase Option.Β Β Β Β The Company hereby agrees to issue and sell to the Underwriters (and/or their designees) on the Closing Date for an aggregate purchase price of $100, an option ("Underwriters' Purchase Option") for the purchase of an aggregate of

151,200 Ordinary Shares ("Underwriters' ADSs") at an initial exercise price of 125% of the initial offering price of an ADS (i.e, $Β Β Β Β Β Β Β Β Β Β Β Β per ADS). The Underwriters' ADSs are identical to the Firm ADSs. The Underwriters' Purchase Option shall be exercisable for a period of four years commencing one year from the Effective Date. The Offered Securities and the Underwriters' ADSs are hereinafter referred to collectively as the "Shares."
Β Β Β Β Β Β Β Β 1.3.2.Β Β Β Β Payment and Delivery.Β Β Β Β Delivery and payment for the Underwriters' Purchase Option shall be made on the Closing Date. The Company shall deliver to the Representatives, upon payment therefor, certificates for the Underwriters' Purchase Option in the name or names and in such authorized denominations as the Representatives may request.
Β Β Β Β Β Β Β Β 2.Β Β Β Β Representations and Warranties of the Company.Β Β Β Β The Company represents and warrants to each Underwriter as of the date hereof, as of the Firm ADSs Closing Date and as of each Optional ADSs Closing Date (if any), as follows:
Β Β Β Β Β Β Β Β 2.1.Β Β Β Β Filing of Registration Statement.Β Β Β Β
Β Β Β Β Β Β Β Β 2.1.1.Β Β Β Β Pursuant to the Securities Act.Β Β Β Β The Company has filed with the Securities and Exchange Commission (the "Commission") a registration statement on FormΒ F-1 (No.Β 333-122233), and amendments thereto, and related preliminary prospectuses for the registration under the Securities Act of 1933, as amended, and together with the rules and regulations promulgated thereunder (the "Securities Act"), of the Ordinary Shares and Underwriters ADSs, which registration statement, as so amended (including post-effective amendments, if any), has been declared effective by the Commission and copies of which have heretofore been delivered to the Underwriters. The registration statement, as amended at the time it became effective, including the prospectus, financial statements, schedules, exhibits and other information (if any) deemed to be part of the registration statement at the time of effectiveness pursuant to RuleΒ 430A under the Securities Act, is hereinafter referred to as the "Registration Statement." If the Company has filed or is required pursuant to the terms hereof to fileΒ a registration statement pursuant to RuleΒ 462(b) under the Securities Act registering additional Ordinary Shares and Underwriters ADSs (a "RuleΒ 462(b) Registration Statement"), then, unless otherwise specified, any reference herein to the term "Registration Statement" shall be deemed to include such RuleΒ 462(b) Registration Statement and the term "Ordinary Shares" shall include the additional Ordinary Shares underlying the additional Firm ADSs and underlying the Underwriter's ADSs included therein. Other than a RuleΒ 462(b) Registration Statement, which, if filed, becomes effective upon filing, no other document with respect to the Registration Statement has heretofore been filed with the Commission. All of the Ordinary Shares and Underwriters ADSs have been registered under the Securities Act pursuant to the Registration Statement or, if any RuleΒ 462(b) Registration Statement is filed, will be duly registered under the Securities Act with the filing of such RuleΒ 462(b) Registration Statement. Based on communications from the Commission, no stop order suspending effectiveness of either the Registration Statement or the RuleΒ 462(b) Registration Statement, if any, has been issued and no proceeding for that purpose has been initiated or threatened by the Commission. The Company, if required by the Securities Act, proposes to file the Prospectus with the Commission pursuant to RuleΒ 424(b) under the Securities Act ("RuleΒ 424(b)"). The prospectus, in the form in which it is to be filed with the Commission pursuant to RuleΒ 424(b), or, if the prospectus is not to be filed with the Commission pursuant to RuleΒ 424(b), the prospectus in the form included as part of the Registration Statement at the time the Registration Statement became effective, is hereinafter referred to as the "Prospectus," except that if any revised prospectus or prospectus supplement shall be provided to the Underwriters by the Company for use in connection with the Offering which differs from the Prospectus (whether or not such revised prospectus or prospectus supplement is required to be filed by the Company pursuant to RuleΒ 424(b)), the term "Prospectus" shall

Any reference herein to the Registration Statement shall be deemed to refer to and include the exhibits incorporated by reference therein pursuant to the Securities Act on or before the effective date of the Registration Statement. All references in this Agreement to the Registration Statement, the RuleΒ 462(b) Registration Statement, a Preliminary Prospectus and the Prospectus, or any amendments or supplements to any of the foregoing shall be deemed to include any copy thereof filed with the Commission pursuant to its Electronic Data Gathering, Analysis and Retrieval System ("XXXXX").
Β Β Β Β Β Β Β Β 2.1.2.Β Β Β Β Pursuant to the Exchange Act.Β Β Β Β The Company has filed with the Commission a registration statement on FormΒ 8-A providing for the registration of the Ordinary Shares and the Offered Securities under the Exchange Act, which registration statement complies in all material respects with the Exchange Act. Such registration statement has been declared effective by the Commission on the date hereof.
Β Β Β Β Β Β Β Β 2.1.3.Β Β Β Β A registration statement on FormΒ F-6 (No.Β 333-Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β Β ) relating to the ADSs has been filed with the Commission (such registration statement, including all exhibits thereto, as amended at the time such registration statement becomes effective, being hereinafter called the "ADS Registration Statement"); the ADS Registration Statement, as of its effective date, complied or will comply, and each amendment or supplement thereto, when it is filed with the Commission or becomes effective, as the case may be, will comply, in all respects, with the applicable requirements of the Act and the Rules and Regulations, and did not or will not, as of its effective date, include any untrue statement of a material fact or omit to state any material fact required to be stated therein or necessary to make the statements therein not misleading.

Β Β Β Β Β Β Β Β 2.3.1.Β Β Β Β Securities Act Representation.Β Β Β Β At the time the Registration Statement became effective and at all times subsequent thereto up to and including the Closing Date and the Option Closing Date, if any, the Registration Statement, and at the time the Prospectus was filed, the Prospectus, contained, and any amendment or supplement thereto contained and will contain as of the applicable effective or filing date, as the case may be, all material statements that are required to be stated therein in accordance with the Securities Act, and conformed and will conform in all material respects to the requirements of the Securities Act; neither the Registration Statement nor any amendment or supplement thereto, on such effective dates, contained or will contain any untrue statement of a material fact or omitted or will omit to state any material fact required to be stated therein or necessary to make the statements therein not misleading. Β Β Β Β Β Β Β Β 2.3.2.Β Β Β Β Disclosure of Contracts.Β Β Β Β The description in the Registration Statement and the Prospectus of contracts and other documents is accurate in all material respects and presents fairly the information required to be disclosed and there are no contracts or other documents required to be described in the Registration Statement or the Prospectus or to be filed with the Commission as exhibits to the Registration Statement that have not been so described or filed. Each contract or other instrument (however characterized or described) to which the Company is a party or by which its property or business is or may be bound or affected and that is (i)Β referred to in the Prospectus, or (ii)Β material to the Company's business, has been duly and validly executed, is in full force and effect in all material respects in accordance with its terms and is enforceable against the Company and, to the Company's knowledge, the other parties thereto in accordance with its terms, and none of such contracts or instruments has been assigned by the Company, and neither the Company nor, to the Company's knowledge, any other party is in default thereunder and, to the Company's knowledge, no event has occurred that, with the lapse of time or the giving of notice, or both, would constitute a default thereunder except those events which individually or in the aggregate would have an Material Adverse Effect. None of the material provisions of such contracts or instruments violates or will result in a violation of any existing applicable law, rule, regulation, judgment, order or decree of any governmental agency or court having jurisdiction over the Company or any of its assets or businesses, including, without limitation, those relating to environmental laws and regulations.

Β Β Β Β Β Β Β Β 2.4.Β Β Β Β No Material Adverse Change.Β Β Β Β Since the respective dates as of which information is given in the Registration Statement and the Prospectus, except as otherwise specifically stated therein, (i)Β there has been no material adverse change in the condition, financial or otherwise, or in the results of operations, business or business prospects of the Company, including, but not limited to, a material loss or interference with its business from fire, storm, explosion, flood or other casualty, whether or not covered by insurance, or from any labor dispute or court or governmental action, order or decree, whether or not arising in the ordinary course of business; (ii)Β the Company has not (A)Β issued any securities or incurred any liability or obligation, direct or contingent, for borrowed money, except such liabilities or obligations incurred in the ordinary course of business, (B)Β entered into any transaction not in the ordinary course of business or (C)Β declared or paid any dividend or made any distribution on any shares of its stock or redeemed, purchased or otherwise acquired or agreed to redeem, purchase or otherwise acquire any shares of its capital stock other than as described in the Registration Statement and Prospectus.
Β Β Β Β Β Β Β Β 2.5.Β Β Β Β Financial Statements.Β Β Β Β The financial statements of the Company (including all notes and schedules thereto) included or incorporated by reference in the Registration Statement and Prospectus present fairly the financial position of the Company at the dates indicated and the

statements of operations, stockholders' equity (deficit) and cash flows of the Company for the periods specified; and such financial statements and related schedules and notes thereto, have been prepared in conformity with generally accepted accounting principles in the United States, consistently applied throughout the periods involved.
Β Β Β Β Β Β Β Β 2.6.Β Β Β Β Off-Balance Sheet Transactions.Β Β Β Β There are no material off-balance sheet transactions, arrangements, obligations (including contingent obligations), or any other relationships with unconsolidated entities or other persons, that may have a material current or, to the Company's knowledge, a material future effect on the Company's financial condition, changes in financial condition, results of operations, liquidity, capital expenditures, capital resources, or significant components of revenues or expenses.
        2.7.    Due Incorporation.    The Company has been duly established and is validly existing as a joint stock company (società per azionì) in good standing under the laws of the Republic of Italy with registered office at Comune di Xxxxx Xxxxxx, xxxxxxxx Xxxxxxx, Xxxxx, Fiscal Code and number of registration in the Companies Register of Como No. 02098100130, with a fully paid corporate capital of Euro 5,000,000. The Company is duly qualified to do business and is in good standing as a foreign corporation in each jurisdiction in which the nature of the business conducted by it or location of the assets or properties owned, leased or licensed by it requires such qualification, except for such jurisdictions where the failure to so qualify individually or in the aggregate would not have a material adverse effect on the assets, properties, condition, financial or otherwise, or in the results of operations, business affairs or business prospects of the Company (a "Material Adverse Effect"); and to the Company's knowledge, no proceeding has been instituted in any such jurisdiction revoking, limiting or curtailing, or seeking to revoke, limit or curtail, such power and authority or qualification. The Company does not own an interest in any corporation, partnership, joint venture, limited liability company, trust or other business entity.
Β Β Β Β Β Β Β Β 2.8.Β Β Β Β Authorized Capital; Options; Etc.Β Β Β Β The Company had, at the date or dates indicated in the Prospectus, duly authorized, issued and outstanding capitalization as set forth in the Registration Statement and the Prospectus. Based on the assumptions and adjustments stated in the Registration Statement and the Prospectus, the Company will have on the Closing Date the adjusted stock capitalization set forth therein. Except as set forth in the Registration Statement and the Prospectus, on the Effective Date and on the Closing Date there will be no outstanding or authorized subscriptions, options, warrants or other rights to purchase or otherwise acquire, or preemptive rights with respect to the issuance or sale of any Ordinary Shares of the Company, including any obligations to issue any shares pursuant to anti-dilution provisions, or any security convertible into Ordinary Shares of the Company, or any contracts or commitments to issue or sell Ordinary Shares or any such options, warrants, rights or convertible securities.
Β Β Β Β Β Β Β Β 2.9Β Β Β Β Valid Issuance of Securities; Etc.Β Β Β Β
Β Β Β Β Β Β Β Β 2.9.1.Β Β Β Β Outstanding Securities.Β Β Β Β All issued and outstanding securities of the Company have been duly authorized and validly issued and are fully paid and non-assessable; the holders thereof have no rights of rescission with respect thereto, and are not subject to personal liability by reason of being such holders; and none of such securities were issued in violation of the preemptive rights of any holders of any security of the Company or similar contractual rights granted by the Company. The outstanding options and warrants to purchase Ordinary Shares constitute valid and binding obligations of the Company, enforceable in accordance with their terms. The authorized Ordinary Shares and outstanding options and warrants to purchase Ordinary Shares conform to all statements relating thereto contained in the Registration Statement and the Prospectus. The offers and sales by the Company of the outstanding Ordinary Shares, options and warrants to purchase Ordinary Shares, and securities convertible into Ordinary Shares, were at all relevant times registered under the Securities Act

and registered or qualified under the applicable state securities or Blue Sky laws or exempt from such registration or qualification requirements in each jurisdiction in which offers and sales were made.
Β Β Β Β Β Β Β Β 2.9.2.Β Β Β Β Securities Sold Pursuant to this Agreement.Β Β Β Β The Shares have been duly authorized and, when issued and paid for pursuant to this Agreement, will be validly issued, fully paid and non-assessable; the holders thereof have no rights of rescission with respect thereto, and are not subject to personal liability by reason of being such holders; the Shares are not and will not be subject to the preemptive rights of any holders of any security of the Company or similar contractual rights granted by the Company; and all corporate action required to be taken for the authorization, issuance and sale of the Shares has been duly and validly taken. The Shares conform in all material respects to all statements in relation thereto contained in the Registration Statement and the Prospectus. When issued, the Underwriters' Purchase Option will constitute a valid and binding obligation of the Company to issue and sell, upon exercise thereof and payment therefor, the number and type of securities of the Company called for thereby and will be enforceable against the Company in accordance with its terms, except (i)Β as such enforceability may be limited by bankruptcy, insolvency, reorganization or similar laws affecting creditors' rights generally, (ii)Β as enforceability of any indemnification or contribution provision may be limited under the United States federal and state securities laws ("U.S. Laws") or Italian laws, and (iii)Β that the remedy of specific performance and injunctive and other forms of equitable relief may be subject to the equitable defenses and to the discretion of the court before which any proceeding therefor may be brought.
Β Β Β Β Β Β Β Β 2.10.Β Β Β Β Performance of Agreements; Consents.Β Β Β Β
Β Β Β Β Β Β Β Β 2.10.1.Β Β Β Β Underwriting Agreement.Β Β Β Β This Agreement has been duly authorized, executed and delivered by the Company. The execution, delivery and performance by the Company of this Agreement does not violate its Articles of Association (i.e., atto costitutivo), its By-laws (i.e., statuto) or any law, rule, regulation, judgment, decree or order of any court applicable to it. No consents or approvals and no licenses or orders from, or any registration or filings with, any Republic of Italy court, government department or other regulatory body (with the exception of all filing requirements with the Companies Register of Como which, to our knowledge, have been fully complied with other than filings which are required to and will be made post-closing in connection with the transactions contemplated herein) are required for the due authorization, execution, delivery or performance by the Company of this Agreement or the consummation of the transactions contemplated by this Agreement, the Underwriters' Purchase Option and Prospectus, except such as have been obtained under the Securities Act and such as may be required by the NASD and under state securities, Blue Sky or foreign laws in connection with the purchase and distribution of the Shares by the several Underwriters.

The provisions for taxes payable, if any, shown on the financial statements filed with or as part of the Registration Statement are sufficient for all accrued and unpaid taxes, whether or not disputed, for all periods to and including the dates of such consolidated financial statements. Β Β Β Β Β Β Β Β 2.28Β Β Β Β Environmental Matters.Β Β Β Β Except as disclosed in the Prospectus, the Company is in substantial compliance in all material respects with all rules, laws and regulations relating to the use, treatment, storage and disposal of toxic and/or hazardous substances and protection of health (but not including rules, laws and regulations addressed by SectionΒ 2.34 of this Agreement) or the environment ("Environmental Laws") which are applicable to its business; (ii)Β the Company has not received any notice from any governmental authority or third party of an asserted claim under Environmental Laws; (iii)Β the Company has received all material permits, licenses or other approvals required of it under applicable Environmental Laws to conduct its business and is in compliance with all terms and conditions of any such permit, license or approval except that applications for a change of name are pending with respect to certain permits; (iv)Β to the Company's knowledge, no facts currently exist that will require the Company to make future material capital expenditures to comply with existing Environmental Laws (laws which could be subject to future change); and (v)Β no property which is or has been owned, leased or occupied by the Company has been designated or identified by any government, regulatory agency, organization or investigation as a site reasonably suggested to contain the presence of contaminants, chemicals, pollutants or other substances that would give rise to a material obligation or liability by the Company for the clean-up or remediation of any property, on site or off site or any facility otherwise designated as a contaminated site under applicable law.
Β Β Β Β Β Β Β Β 2.28.1.Β Β Β Β Effect on Business.Β Β Β Β In connection with its upgrade to its manufacturing facility in 2004, the Company reviewed the effect of Environmental Laws on the business, operations and properties of the Company, in the course of which the Company identified and evaluated associated costs and liabilities (including, without limitation, any capital or operating expenditures required for clean-up, closure of properties or compliance with Environmental Laws, or any permit, license or approval, any related constraints on operating activities and any potential liabilities to third parties). No filing or submission by the Company to the FDA or any other Governmental Authority, intended to be the basis for any Authorization, contains any material omission or material false information or presents data and results from the studies in any manner other than fair, accurate, and complete presentation. Β Β Β Β Β Β Β Β 3.9.Β Β Β Β RuleΒ 462(b) Compliance.Β Β Β Β If the Company elects to rely on RuleΒ 462(b) under the Securities Act, the Company shall both fileΒ a RuleΒ 462(b) Registration Statement with the Commission in compliance with RuleΒ 462(b) and pay the applicable fees under the Securities Act by the earlier of: (i)Β 10:00Β p.m., New York City time, on the date of this Agreement, and (ii)Β the time that confirmations are given or sent, as specified by RuleΒ 462(b)(2) as well as any additional fees due the NASD upon such filing.
Β Β Β Β Β Β Β Β 3.10.Β Β Β Β Public Relations Firm.Β Β Β Β The Company shall, unless the Representatives agree otherwise, retain a public relations firm reasonably acceptable to the Representatives for a period of three years from the Effective Date. The Company shall promptly release and distribute disclosure of all material information, financial or otherwise, concerning its affairs in accordance with applicable law and the disclosure policies of the AMEX.

Β Β Β Β Β Β Β Β 3.14.1.Β Β Β Β General Expenses.Β Β Β Β The Company hereby agrees to pay on the Closing Date and, to the extent not paid on the Closing Date, on the Option Closing Date, all expenses incident to the performance of the obligations of the Company under this Agreement, including but not limited to (i)Β registration and other fees and expenses related to compliance with the Securities Act; (ii)Β the preparation, printing, filing, delivery and mailing (including the payment of postage with respect to such mailing) of the Registration Statement, the Prospectus and the Preliminary Prospectuses, including the cost of all copies thereof and any amendments thereof or supplements thereto supplied to the Underwriters in quantities as may be required by the Underwriters, (iii)Β the issuance and delivery of the Ordinary Shares and the printing, issuance and delivery of the Underwriters' Purchase Option, including any transfer or other taxes payable thereon, (iv)Β the qualification of the Offered Securities under state or foreign securities or Blue Sky laws, including the filing fees under such Blue Sky laws, the costs of preparing, printing and mailing the Final Blue Sky Memorandum, and all amendments and supplements thereto, which shall not exceed $2,500 in the aggregate, (v)Β the fees and disbursements of the Company's U.S. counsel and fees and disbursements of local counsel, if any, retained for such purpose and reasonable fees and disbursements of the Company's independent accountants; (vi)Β filing fees, costs and expenses, payable to the Commission, the NASD, or other regulators in connection with the Offering, (vii)Β costs of placing "tombstone" advertisements in The Wall Street Journal, The New York Times and a third publication to be selected by the Representatives, the total costs of such advertisements not to exceed $25,000, (viii)Β fees and disbursements of the transfer agent and costs to DTC, (ix)Β the Company's expenses associated with "due diligence" meetings arranged by the Representatives, (x)Β the preparation, binding and delivery of velobound transaction "bibles" in quantity, form and style satisfactory to the Representatives; (xi)Β any listing of the Offered Securities on any securities exchange and any listing in StandardΒ & Poor's; and (xii)Β all other costs and expenses incident to the performance of its obligations hereunder that are not otherwise specifically provided for in this Section 3.14.1.Β Β Β Β The Representatives may deduct from the net proceeds of the Offering payable to the Company on the Closing Date, or the Option Closing Date, if any, the expenses set forth in this Agreement to be paid by the Company to reimburse the Representatives. For the avoidance of doubt, except as set forth in SectionΒ 3.14.2 and 3.14.3, the Underwriters will pay all of their own costs and expenses, including the fees of their counsel, stock transfer taxes on any resale of the Shares by them and all advertising (other than the tombstone advertisements referenced in SectionΒ 3.14.1(vii)), mailing, telephone, travel, clerical or other office costs incurred.
Β Β Β Β Β Β Β Β 3.14.2.Β Β Β Β Non-Accountable Expenses.Β Β Β Β The Company further agrees that, in addition to the expenses payable pursuant to SectionΒ 3.14.1, if the purchase and sale of the Offered Securities occurs, it will pay to the Underwriters a non-accountable expense allowance equal to two percent (2%) of the gross proceeds received by the Company from the sale of the Firm ADSs, $4,950 of which has been paid to date, and the Company will pay the balance on the Closing Date by certified or bank cashier's check or, at the election of the Representatives, by deduction from the proceeds of the Offering contemplated herein. For the avoidance of doubt, the Underwriters shall not be entitled to receive such non-accountable allowance from the sale of any Optional ADSs.

Β Β Β Β Β Β Β Β 3.14.3.Β Β Β Β Expenses if Closing Does Not Occur.Β Β Β Β In the event that the Underwriters are willing to proceed with the purchase and sale of the Offered Securities as set forth in SectionΒ 1 and the Company elects not to proceed with the purchase and sale of the Offered Securities other than for cause relating to the negligence or misconduct of the Underwriters, then the Underwriters will be entitled, upon presentation of a written accounting in reasonable detail, to prompt reimbursement of the excess, over unused non-accountable retainers advanced, of all actual out-of-pocket expenses, including reasonable fees and expenses of the Underwriters' counsel, related to the purchase and sale of the Offered Securities. If the purchase and sale of the Offered Securities is not consummated for any reason other than the reason set forth in the preceding sentence, then the Underwriters will be entitled, upon presentation of a written accounting in reasonable detail, to prompt reimbursement of the excess, over unused non-accountable retainers advanced, of all actual out-of-pocket expenses, related to the purchase and sale of the Offered Securities, not to exceed $75,000.

The Company applied the net proceeds from the sale of its SeriesΒ A senior convertible promissory notes received by it in a manner consistent with the application described under the caption "Operating and Financial Review and ProspectsβLiquidity and Capital Resources." The Company applied the proceeds of the AprilΒ 2005 capital contribution by FinSirton to working capital.

Β Β Β Β Β Β Β Β 3.20.Β Β Β Β Transfer Agent.Β Β Β Β For a period of three years from the Effective Date, the Company shall retain a transfer agent ("Transfer Agent") for the Ordinary Shares reasonably acceptable to the Representatives. The Bank of New York is acceptable to the Representatives.
Β Β Β Β Β Β Β Β 3.21.Β Β Β Β Sale of Shares.Β Β Β Β The Company agrees not to effect a private or public sale or private or public offering of any of its equity securities for a period of six months from the Effective Date provided, however nothing herein shall prohibit or restrict the Company from granting options or selling shares pursuant to the Company's existing employee benefit plans and may, without the consent of the Representatives, issue up to a number of shares equal to five percent of its existing outstanding share capital in connection with the acquisition of, or merger with, another company or its assets, provided the recipient of such shares enters into a look-up agreement substantially similar to those signed by our other shareholders providing for a minimum lock up period of six months from the Effective Date.

Β Β Β Β Β Β Β Β 4.5.Β Β Β Β Officers' Certificates.Β Β Β Β
Β Β Β Β Β Β Β Β 4.5.1.Β Β Β Β Officers' Certificate.Β Β Β Β The Representatives shall have received on each Closing Date a certificate, addressed to the Representatives and dated such Closing Date, of the chief executive officer and the chief financial officer of the Company to the effect that: (i)Β the representations, warranties and agreements of the Company in this Agreement were true and correct when made and are true and correct as of such Closing Date; (ii)Β the Company has performed all covenants and agreements and satisfied all conditions contained herein; (iii)Β they have carefully examined the Registration Statement and Prospectus and, in their opinion (A)Β as of the Effective Date, the Registration Statement and Prospectus did not

include any untrue statement of a material fact and did not omit to state a material fact required to be stated therein or necessary to make the statements therein, in light of the circumstances under which they were made, not misleading, and (B)Β since the Effective Date no event has occurred which should have been set forth in a supplement or otherwise required an amendment to the Registration statement or the Prospectus; and (iv)Β no stop order suspending the effectiveness of the Registration Statement has been issued, and to their knowledge, no proceedings for that purpose have been instituted or are pending under the Securities Act.

The documents referred to in such certificate shall be attached to such certificate.
Β Β Β Β Β Β Β Β 4.5.3.Β Β Β Β Further Certificates.Β Β Β Β The Company shall have furnished or caused to be furnished to the Representatives such further certificates or documents as the Representatives shall have reasonably requested.
Β Β Β Β Β Β Β Β 4.6.Β Β Β Β No Material Changes.Β Β Β Β Prior to and on each of the Closing Date and the Option Closing Date, if any, (i)Β there shall have been no material adverse change or development involving a prospective material change in the condition or prospects or the business activities, financial or otherwise, of the Company from the latest dates as of which such condition is set forth in the Registration Statement and Prospectus, (ii)Β there shall have been no transaction, not in the ordinary course of business, entered into by the Company from the latest date as of which the financial condition of the Company is set forth in the Registration Statement and Prospectus which is materially adverse to the Company, taken as a whole, (iii)Β the Company shall not be in default under any provision of any instrument relating to any outstanding indebtedness which default would have a material adverse effect on the Company, (iv)Β no material amount of the assets of the Company shall have been pledged or mortgaged, except as set forth in the Registration Statement and Prospectus, (v)Β no action suit or proceeding, at law or in equity, shall have been pending or threatened against the Company or affecting any of its property or business before or by any court or federal or state commission, board or other administrative agency wherein an unfavorable decision, ruling or finding may materially adversely affect the business, operations, prospects or financial condition or income of the Company, except as set forth in the Registration Statement and Prospectus, (vi)Β no stop order shall have been issued under the Securities Act and no proceedings therefor shall have been initiated or threatened by the Commission, and (vii)Β the Registration Statement and the Prospectus and any amendments or supplements thereto contain all material statements that are required to be stated therein in accordance with the Securities Act and conform in all material respects to the requirements of the Securities Act, and neither the Registration Statement nor the Prospectus nor any amendment or supplement thereto contains any untrue statement of a material fact or omits to state any material fact required to be stated therein or necessary to make the statements therein, in light of the circumstances under which they were made, not misleading.

Β Β Β Β Β Β Β Β 4.8.Β Β Β Β Opinion of Counsel for the Underwriters.Β Β Β Β All proceedings taken in connection with the authorization, issuance or sale of the Shares as herein contemplated shall be reasonably satisfactory in form and substance to the Underwriters and to Xxxxxxxx Xxxxxx LLP, counsel to the Underwriters, and the Underwriters shall have received from such counsel a favorable opinion, dated the Closing Date and the Option Closing Date, if any, with respect to such of these proceedings as the Underwriters may reasonably require. On or prior to the Effective Date, the Closing Date and the Option Closing Date, as the case may be, counsel for the Underwriters shall have been furnished such documents, certificates and opinions as they may reasonably require for the purpose of enabling them to review or pass upon the matters referred to in this SectionΒ 4.8, or in order to evidence the accuracy, completeness or satisfaction of any of the representations, warranties or conditions herein contained.

Β Β Β Β Β Β Β Β 4.11.Β Β Β Β Exchange Listing.Β Β Β Β The Shares shall have been approved for listing on the American Stock Exchange, subject only to official notice of issuance.
Β Β Β Β Β Β Β Β 4.12.Β Β Β Β Deposit of Agreement.Β Β Β Β The Company and the Depository shall have executed and delivered the Deposit Agreement and the Deposit Agreement shall be in full force and effect.
Β Β Β Β Β Β Β Β 4.13.Β Β Β Β Evidence of Deposit.Β Β Β Β The Depositary shall have delivered to the Company at each Closing Date, certificates satisfactory to the Underwriters evidencing the deposit with the Depositary of the Common Shares being so deposited against issuance of ADRs evidencing the Offered Securities to be delivered by the Company at such Closing Date, and the execution, countersignature (if applicable), issuance and delivery of ADRs evidencing such Offered Securities pursuant to the Deposit Agreement.
Β Β Β Β Β Β Β Β 5.Β Β Β Β Indemnification.Β Β Β Β
Β Β Β Β Β Β Β Β 5.1.Β Β Β Β Indemnification of the Underwriters.Β Β Β Β Subject to the conditions set forth below, the Company agrees to indemnify and hold harmless each of the Underwriters, their respective directors, officers, agents and employees and each person, if any, who controls either Underwriter ("controlling person") within the meaning of SectionΒ 15 of the Securities Act or SectionΒ 20(a) of the Exchange Act, against any and all loss, liability, claim, damage and expense whatsoever (including but not limited to any and all legal or other expenses reasonably incurred in investigating, preparing or defending against any litigation, commenced or threatened, whether arising out of any action between either of the Underwriters and the Company or between an Underwriter and any third-party or otherwise) to which they or any of them may become subject under the Securities Act, the Exchange Act or any other statute or at common law or otherwise or under the laws of foreign countries, arising out of or based upon any untrue statement or alleged untrue statement of a material fact contained in (i)Β any Preliminary Prospectus, the Registration Statement or the Prospectus (as from time to time each may be amended and supplemented); (ii)Β in any post-effective amendment or amendments or any new registration statement and prospectus in which is included securities of the Company issued or issuable upon exercise of the Underwriters' Purchase Option; or (iii)Β any application or other document or written communication (in this SectionΒ 5 collectively called "application") executed by the Company or based upon written information furnished by the Company in any jurisdiction in order to qualify the Shares under the securities laws thereof or filed with the Commission, any state securities commission or agency, any securities exchange; or the omission or alleged omission therefrom of a material fact required to be stated therein or necessary to make the statements therein, in the light of the circumstances under which they were made, not misleading, unless such statement or omission was made in reliance upon, and in conformity with, written information furnished to the Company by any Underwriter through either Representative expressly for use in any Preliminary

Prospectus, the Registration Statement or Prospectus, or any amendment or supplement thereof, or in any application, as the case may be; provided that the foregoing indemnity with respect to the Preliminary Prospectus, the Registration Statement and the Prospectus shall not inure to the benefit of any Underwriter from whom the person asserting any such losses, claims, damages or liabilities purchased Shares, or any person controlling such Underwriter, if a copy of the Preliminary Prospectus or the Prospectus (as then amended or supplemented if the Company shall have furnished any amendments or supplements thereto) was not sent or given by or on behalf of such Underwriter to such person, at or prior to the written confirmation of the sale of the Shares to such person, and if the Preliminary Prospectus or the Prospectus (as so amended or supplemented) would have cured the defect giving rise to such losses, claims, damages or liabilities. The Company agrees promptly to notify the Underwriters of the commencement of any litigation or proceedings against the Company or any of its officers, directors or controlling persons in connection with the issue and sale of the Shares or in connection with the Registration Statement or Prospectus.
Β Β Β Β Β Β Β Β 5.2.Β Β Β Β Indemnification of the Company.Β Β Β Β Each Underwriter, severally and not jointly, agrees to indemnify and hold harmless the Company, its directors, each of its officers who signed the Registration Statement, and each person, if any, who controls the Company within the meaning of SectionΒ 15 of the Securities Act, against any and all loss, liability, claim, damage and expense whatsoever (including but not limited to any and all legal or other expenses reasonably incurred in investigating, preparing or defending against any litigation, commenced or threatened, whether arising out of any action between the Underwriters and the Company or between the Company and any third-party or otherwise) described in the foregoing indemnity from the Company to the several Underwriters, as incurred, but only with respect to untrue statements or omissions, or alleged untrue statements or omissions directly relating to the transactions effected by the Underwriters in connection with this offering made in any Preliminary Prospectus, the Registration Statement or Prospectus or any amendment or supplement thereto or in any application in reliance upon, and in conformity with, written information furnished to the Company by any Underwriter through either Representative expressly for use in such Preliminary Prospectus, the Registration Statement or Prospectus or any amendment or supplement thereto or in any such application. In case any action shall be brought against the Company based on any Preliminary Prospectus, the Registration Statement or Prospectus or any amendment or supplement thereto or any application, and in respect of which indemnity may be sought against any Underwriter, such Underwriter shall have the rights and duties given to the Company, and the Company shall have the rights and duties given to several Underwriters by the provisions of SectionΒ 5.1.2.
Β Β Β Β Β Β Β Β 5.3.Β Β Β Β Procedure.Β Β Β Β Any party that proposes to assert the right to be indemnified under this Section will, promptly after receipt of notice of commencement of any action, suit or proceeding against such party in respect of which a claim is to be made against an indemnifying party or parties under this Section, notify each such indemnifying party of the commencement of such action, suit or proceeding, enclosing a copy of all papers served. No indemnification provided for in SectionΒ 5.1 or 5.2 shall be available to any party who shall fail to give notice as provided in this SectionΒ 5.3 if the party to whom notice was not given was unaware of the proceeding to which such notice would have related and was prejudiced by the failure to give such notice but the omission so to notify such indemnifying party of any such action, suit or proceeding shall not relieve it from any liability that it may have to any indemnified party for contribution or otherwise than under this Section. In case any such action, suit or proceeding shall be brought against any indemnified party and it shall notify the indemnifying party of the commencement thereof, the indemnifying party shall be entitled to participate in, and, to the extent that it shall wish, jointly with any other indemnifying party similarly notified, to assume the defense thereof, with counsel reasonably satisfactory to such indemnified party, and after notice from the indemnifying party to such indemnified party of its election so to assume the defense thereof and the approval by the

indemnified party of such counsel, the indemnifying party shall not be liable to such indemnified party for any legal or other expenses, except as provided below and except for the reasonable costs of investigation subsequently incurred by such indemnified party in connection with the defense thereof. The indemnified party shall have the right to employ its counsel in any such action, but the fees and expenses of such counsel shall be at the expense of such indemnified party unless (i)Β the employment of counsel by such indemnified party has been authorized in writing by the indemnifying parties, (ii)Β the indemnified party shall have been advised by counsel that there may be one or more legal defenses available to it which are different from or in addition to those available to the indemnifying party (in which case the indemnifying parties shall not have the right to direct the defense of such action on behalf of the indemnified party) or (iii)Β the indemnifying parties shall not have employed counsel to assume the defense of such action within a reasonable time after notice of the commencement thereof, in each of which cases the fees and expenses of counsel shall be at the expense of the indemnifying parties. An indemnifying party shall not be liable for any settlement of any action, suit, and proceeding or claim effected without its written consent, which consent shall not be unreasonably withheld or delayed.
Β Β Β Β Β Β Β Β 5.4.Β Β Β Β Contribution.Β Β Β Β
Β Β Β Β Β Β Β Β 5.4.1.Β Β Β Β Contribution Rights.Β Β Β Β In order to provide for just and equitable contribution under the Securities Act in any case in which (i)Β any person entitled to indemnification under this SectionΒ 5 makes claim for indemnification pursuant hereto but it is judicially determined (by the entry of a final judgment or decree by a court of competent jurisdiction and the expiration of time to appeal or the denial of the last right of appeal) that such indemnification may not be enforced in such case notwithstanding the fact that this SectionΒ 5 provides for indemnification in such case, or (ii)Β contribution under the Securities Act, the Exchange Act or otherwise may be required on the part of any such person in circumstances for which indemnification is provided under this SectionΒ 5, then, and in each such case, the Company and the Underwriters shall contribute to the aggregate losses, liabilities, claims, damages and expenses of the nature contemplated by said indemnity agreement incurred by the Company and the Underwriters, as incurred, in such proportions that the Underwriters are responsible for that portion represented by the percentage that the underwriting discount appearing on the cover page of the Prospectus bears to the initial offering price appearing thereon and the Company is responsible for the balance; provided, that, no person guilty of a fraudulent misrepresentation (within the meaning of SectionΒ 11(f) of the Securities Act) shall be entitled to contribution from any person who was not guilty of such fraudulent misrepresentation. Notwithstanding the provisions of this SectionΒ 5.4, no Underwriter shall be required to contribute any amount in excess of the amount by which the total price at which the Offered Securities underwritten by it and distributed to the public were offered to the public exceeds the amount of any damages that such Underwriter has otherwise been required to pay in respect of such losses, liabilities, claims, damages and expenses. For purposes of this Section, each director, officer and employee of an Underwriter, and each person, if any, who controls an Underwriter within the meaning of SectionΒ 15 of the Securities Act, shall have the same rights to contribution as such Underwriter.
Β Β Β Β Β Β Β Β 5.4.2.Β Β Β Β Contribution Procedure.Β Β Β Β Within fifteen days after receipt by any party to this Agreement (or its representative) of notice of the commencement of any action, suit or proceeding, such party will, if a claim for contribution in respect thereof is to be made against another party ("contributing party"), notify the contributing party of the commencement thereof, but the omission to so notify the contributing party will not relieve it from any liability that it may have to any other party other than for contribution hereunder. In case any such action, suit or proceeding is brought against any party, and such party notifies a contributing party or its representative of the commencement thereof within the aforesaid

fifteen days, the contributing party will be entitled to participate therein with the notifying party and any other contributing party similarly notified. Any such contributing party shall not be liable to any party seeking contribution on account of any settlement of any claim, action or proceeding that was effected by the party seeking contribution without the written consent of such contributing party. The contribution provisions contained in this Section are intended to supersede, to the extent permitted by law, any right to contribution under the Securities Act, the Exchange Act or otherwise available.
Β Β Β Β Β Β Β Β 6.Β Β Β Β Default by an Underwriter.Β Β Β Β If an Underwriter shall default in its obligations to purchase Shares hereunder, each non-defaulting Underwriter may, in its discretion, arrange for itself or another party or parties to purchase such Shares on the terms contained herein. In the event that within one business day after such default the non-defaulting Underwriters do not arrange for the purchase of the Shares as to which such default relates, this Agreement will thereupon terminate automatically (but only with respect to the obligations relating to the Optional ADSs if such default occurs after the Closing Date) without liability on the part of the Company (except as provided in Sections 3.14 and 5.1 hereof) or the non-defaulting Underwriter, but nothing herein shall relieve the defaulting Underwriter of its liability, if any, to the non-defaulting Underwriter and to the Company for damages occasioned by its default.
Β Β Β Β Β Β Β Β 7.Β Β Β Β Additional Covenants.Β Β Β Β
Β Β Β Β Β Β Β Β 7.1.Β Β Β Β Board Designee.Β Β Β Β The Company shall use its reasonable best efforts to cause FinSirton S.p.A. to enter an agreement with the Representatives whereby FinSirton S.p.A. agrees to vote its shares in favor of a designee of the Representatives who is reasonably acceptable to the Company as a member of the Board of Directors of the Company until the annual shareholders' meeting in AprilΒ 2006. The Company further agrees, if requested by the Representatives, to convene a special meeting of shareholders for the purpose of electing such designee. Such designee (if elected as a director) shall be entitled to be reimbursed for all reasonable out-of-pocket expenses incurred in attending such meetings, including but not limited to food, lodging and transportation and such designee (if elected as a director) shall be entitled to receive compensation substantially equivalent to that of other non-management directors of the Company for serving on the Board and for serving on such committees of the board to which he or she is appointed. The Company will obtain and maintain a liability insurance policy affording coverage for the acts of its officers and directors in an amount not less than $5,000,000 and will include the Representatives' designee (if elected as a director) as an insured under such policy. Until such designee is elected, the Company agrees to permit an observer appointed by the Representatives to attend all board meetings and to give the Representatives (or their designated observer once designated) written notice of each such meeting and an agenda and minutes of the meeting no later than it gives such notice and provides such items to the other directors.
Β Β Β Β Β Β Β Β 7.2.Β Β Β Β Press Releases.Β Β Β Β The Company will not issue a press release or engage in any other publicity until 45Β days after the Effective Date without the prior written consent of the Representatives.
Β Β Β Β Β Β Β Β 8.Β Β Β Β Representations and Agreements to Survive Delivery.Β Β Β Β Except as the context otherwise requires, all representations, warranties and agreements contained in this Agreement shall be deemed to be representations, warranties and agreements at the Closing Dates and such representations, warranties and agreements of the Underwriters and Company, including the indemnity agreements contained in SectionΒ 5 hereof, shall remain operative and in full force and effect regardless of any investigation made by or on behalf of the Underwriters, the Company or any controlling person, and shall survive termination of this Agreement or the issuance and delivery of the Shares to the several Underwriters until the earlier of the expiration of any applicable statute of limitations and the seventh anniversary of the later of the Closing Date or the Option Closing Date, if any, at which time the representations, warranties and agreements shall terminate and be of no further force and effect.

Β Β Β Β Β Β Β Β 9.Β Β Β Β Effective Date of this Agreement and Termination Thereof.Β Β Β Β
Β Β Β Β Β Β Β Β 9.1.Β Β Β Β Effective Date.Β Β Β Β This Agreement shall become effective on the Effective Date at the time that the Registration Statement is declared effective.
Β Β Β Β Β Β Β Β 9.2.Β Β Β Β Termination.Β Β Β Β The Underwriters shall have the right to terminate this Agreement at any time prior to any Closing Date, (i)Β if any domestic or international event or act or occurrence has materially disrupted commercial banking or securities settlement or clearance services in the United States, or (ii)Β if trading in securities generally on the New York Stock Exchange or the AMEX shall have been suspended or minimum or maximum prices for trading shall have been fixed, or maximum ranges for prices for securities shall have been fixed, or maximum ranges for prices for securities shall have been required on the over-the-counter market by the NASD or by order of the Commission or any other government authority having jurisdiction, or (iii)Β in the event of a material outbreak or escalation of hostilities involving the United States or the declaration by the United States of a national emergency or war (including without limitation as a result of an act of terrorism) if the effect of any such event specified in this clauseΒ (iii) in the reasonable judgment of the Representatives makes it impracticable or inadvisable to proceed with the offering or the delivery of the Shares being delivered on the Closing Date on the terms and in the manner contemplated in the final prospectus, or (iv)Β if a banking moratorium has been declared by a New York State or federal authority, or (v)Β if a moratorium on foreign exchange trading has been declared which materially adversely impacts the U.S. securities markets; (vi)Β if the Company shall have sustained a material loss by fire, flood, accident, hurricane, earthquake, theft, sabotage or other calamity or malicious act which, whether or not such loss shall have been insured, will, in the reasonable opinion of the Representatives, make it inadvisable to proceed with the delivery of the Shares, or (vii)Β if Xx.Β Xxxxx Xxxxx shall no longer serve the Company in her present capacity, or (ix)Β if the Company has breached any of its representations, warranties or obligations hereunder in a material respect, or (x)Β if the Underwriters shall have become aware after the date hereof of such a material adverse change in the financial condition or results of operations or prospects of the Company or such adverse material change in general market conditions, including without limitation as a result of terrorism activities after the date hereof, as in the Representatives' reasonable judgment would make it impracticable to proceed with the offering, sale and/or delivery of the Shares or to enforce contracts made by the Underwriters for the sale of the Shares.
Β Β Β Β Β Β Β Β 9.3.Β Β Β Β Notice.Β Β Β Β If the Underwriters elect to prevent this Agreement from becoming effective or to terminate this Agreement as provided in this SectionΒ 9, the Company shall be notified on the same day as such election is made by the Underwriters by telephone or telecopy, confirmed by letter.
Β Β Β Β Β Β Β Β 9.4.Β Β Β Β Indemnification.Β Β Β Β Notwithstanding any contrary provision contained in this Agreement, any election hereunder or any termination of this Agreement, and whether or not this Agreement is otherwise carried out, the provisions of SectionΒ 5 shall not be in any way affected by, such election or termination or failure to carry out the terms of this Agreement or any part hereof.

Β Β Β Β Β Β Β Β 10.6.Β Β Β Β Governing Law, Jurisdiction.Β Β Β Β This Agreement shall be governed by and construed and enforced in accordance with the law of the State of New York, without giving effect to conflicts of

law. The Company hereby agrees that any action, proceeding or claim against it arising out of or relating in any way to this Agreement shall be brought and enforced in the courts of the State of New York or the United States District Court for the Southern District of New York, and irrevocably submits to such jurisdiction, which jurisdiction shall be exclusive. The Company hereby waives any objection to such exclusive jurisdiction and that such courts represent an inconvenient forum. Any such process or summons to be served upon the Company may be served by transmitting a copy thereof by registered or certified mail, return receipt requested, postage prepaid, addressed to CT Corporation System, 000 Xxxxxx Xxxxxx, 00xx Xxxxx, Xxx Xxxx, Xxx Xxxx 00000. Such mailing shall be deemed personal service and shall be legal and binding upon the Company in any action, proceeding or claim. The parties agree that the prevailing party(ies) in any such action shall be entitled to recover from the other party(ies) all of its reasonable attorneys' fees and expenses relating to such action or proceeding and/or incurred in connection with the preparation therefor.
Β Β Β Β Β Β Β Β 10.7.Β Β Β Β Execution in Counterparts.Β Β Β Β This Agreement may be executed in one or more counterparts, and by the different parties hereto in separate counterparts, each of which shall be deemed to be an original, but all of which taken together shall constitute one and the same agreement, and shall become effective when one or more counterparts has been signed by each of the parties hereto and delivered to each of the other parties hereto.
Β Β Β Β Β Β Β Β 10.8.Β Β Β Β Waiver, Etc.Β Β Β Β The failure of any of the parties hereto at any time to enforce any of the provisions of this Agreement shall not be deemed or construed to be a waiver of any such provision, nor in any way to affect the validity of this Agreement or any provision hereof or the right of any of the parties hereto thereafter to enforce each and every provision of this Agreement. No waiver of any breach, non-compliance or non-fulfillment of any of the provisions of this Agreement shall be effective unless set forth in a written instrument executed by the party or parties against whom or which enforcement of such waiver is sought; and no waiver of any such breach, non-compliance or non-fulfillment shall be construed or deemed to be a waiver of any other or subsequent breach, non-compliance or non-fulfillment.
