THIRD AMENDMENT TO PARTICIPATION AGREEMENT AMONG
XXXXXXX XXXXX VARIABLE INSURANCE TRUST, XXXXXXX, SACHS & CO.,
PRINCIPAL LIFE INSURANCE COMPANY &
PRINCOR FINANCIAL SERVICES CORPORATION
THIS THIRD AMENDMENT TO PARTICIPATION AGREEMENT (the "Amendment") is made and entered into as of the 26th day of October, 2012, by and among Xxxxxxx Xxxxx Variable Insurance Trust (the "Trust"), Xxxxxxx , Sachs & Co. (the "Distributor"), Principal Life Insurance Company ("Principal"), Princor Financial Services Corporation ("Princor") and Principal National Life Insurance Company ("PNLIC").
WITNESSETH:
WHEREAS, the Trust, the Distributor, Principal and Princor entered into a Participation Agreement dated July 30, 2004, as amended (the "Agreement"); and
WHEREAS, Article XI of the Agreement provides that the Agreement may be amended by written agreement signed by all of the parties; and
WHEREAS, the Trust, the Distributor, Principal and Princor desire to amend the Agreement to add PNLIC, an Iowa life insurance company, as a party to the Agreement and to replace Schedule 1 and Schedule 3 of the Agreement.
NOW, THEREFORE, in consideration of the mutual covenants hereinafter set forth, and intending to be legally bound, the parties agree that the Agreement shall be further amended as follows:
1. | PNLIC is hereby added as a party to, and hereby agrees to be bound by the terms and conditions of, the Agreement. |
2. | The term "Company" is hereby amended to mean Principal, Princor and/or PNLIC, as applicable. |
3. | Schedule 1 is hereby deleted in its entirety and replaced with the following: |
