FIRST AMENDMENT TO THE

PROSPECT SERVICING AGREEMENT

THIS FIRST AMENDMENT dated as of  August 12, 2008, to the Prospect Servicing Agreement, dated as of August 15, 2005 (the "Agreement"), is entered into by and among Xxxxxx X. Xxxxx & Co. Incorporated, a Wisconsin corporation (the "Advisor"), Baird Funds, Inc., a Wisconsin corporation (the “Company”) and U.S. Bancorp Fund Services, LLC, a Wisconsin limited liability company ("USBFS").

RECITALS

WHEREAS, the parties have entered into an Agreement; and

WHEREAS, the Company intends to create an additional fund; and

WHEREAS, the parties desire to extend said Agreement to apply to the added fund; and

WHEREAS, Section 11 of the Agreement allows for its amendment by a written instrument executed by the parties.

NOW, THEREFORE, the parties agree as follows:

Exhibit A of the Agreement is hereby superseded and replaced with Exhibit A attached hereto.

Except to the extent amended hereby, the Agreement shall remain in full force and effect.
