AMENDMENT TO PARTICIPATION AGREEMENT

Pursuant to the Amended and Restated Participation Agreement, made and entered into as of the 1^st day of May 2000, and as amended on August 1, 2000, November 15, 2000, and July 24, 2006 by and among MFS^® Variable Insurance Trust^SM, The Guardian Insurance & Annuity Company, Inc., and Massachusetts Financial Services Company (the “Participation Agreement”), the parties hereby agree to an amended Schedule A as attached hereto.

IN WITNESS WHEREOF, each of the parties hereto has caused this Amendment to the Participation Agreement to be executed in its name and on its behalf by its duly authorized representative. The Amendment shall take effect as of             , 2008.
