STATEMENT OF WORK NO. 1

Hosted Software Services

This Amendment No. 1 to Statement of Work No. 1 is dated August 1, 2015 and is between Modern Woodmen of America (“Customer”) and se2, LLC (“Vendor”).

The Parties entered into Statement of Work No. 1 effective as of April 15, 2011 (“SOW 1”) pursuant to the Parties’ Master Agreement effective as of April 15, 2011, as amended (the “Agreement”).  The Parties desire to amend SOW 1 as more specifically described in this amendment.

Therefore, the Parties agree as follows.

1. Definitions; Effect.  Capitalized terms used but not defined in this amendment will have the meanings ascribed to those terms in SOW 1. This amendment will form a part of SOW 1 for all purposes, and SOW 1 and this amendment will be read together.  Unless expressly modified by this amendment, SOW 1 remains unchanged and in full force and effect.

2. Section 1.9. Section 1.9 of SOW 1 is hereby deleted in its entirety and the following inserted in its place:

“1.9. Service Centers.  The Vendor Service Locations for the Services to be provided hereunder are set forth in attached Schedule 6.”

3. Schedule 6. Attached and incorporated into this amendment as Exhibit 1, is new Schedule 6 to SOW 1.

4. Counterparts.  This amendment may be executed in two or more counterparts and by the parties in separate counterparts, each of which will be an original, but all of which together will constitute one and the same instrument.  Counterparts may be delivered by facsimile or other electronic means.

The duly authorized representatives of the Parties executed this Amendment No. 1 to Statement of Work No. 1 on the date set forth in the preamble.
