XXXXXXXX INTERNATIONAL RISK MANAGED DIVIDEND GROWTH FUND
Xxxxxxxx Trust, a Delaware Statutory Trust (the "Trust"), and Xxxx X. Xxxxx hereby agree with each other as follows:
1.
The Trust hereby offers Xxxx X. Xxxxx and Xxxx X. Xxxxx hereby purchases one Class A share of the Trust's Xxxxxxxx International Risk Managed Dividend Growth Fund (the “Fund”) for $10.00 per share, one Class C share of the Fund for $10.00 per share and one Class I share of the Fund for $10.00 per share (such shares hereinafter collectively known as “Shares”). The Trust hereby acknowledges receipt from Xxxx X. Xxxxx of funds in the total amount of $30.00 in full payment for such Shares.
2.
Xxxx X. Xxxxx represents and warrants to the Trust that the Shares are being acquired for investment purposes and not with a view to the distribution thereof.
IN AGREEMENT WHEREOF, and intending to be legally bound hereby, the parties hereto have executed this Agreement as of the _____ day of _________, 2012.
