AGREEMENT TO AMEND/EXTEND CONTRACT

1.      This agreement reinstates and amends the contract dated June 29, 2007 (Contract), between Xxxxxxx Xxxxx Xxxxxxxxx (Seller), and Xxxxx Xxxxxx, or assigns (Buyer), relating to the sale and purchase of the following legally described real estate in the County of Xxxxxx, Colorado:

A 626.41 acre parcel located in Section 28, Township 7 S, Range 58 W of the 6th PM,

3.      Other dates or deadlines set forth in the Contract shall be changed as follows:

4.      Additional amendments:

a. Buyer understands and agrees that the deposits previously paid to Seller have been forfeited.

b. Buyer understands there are no hunting leases on the Property.  Seller agrees to terminate the grazing lease with Triple R Partnerships on or before December 31, 2010.

c. Buyer agrees to provide a copy of the survey of the Property to Seller by the Survey Deadline.

All other terms and conditions of the Contract shall remain the same.

This proposal shall expire unless accepted in writing by Seller and Buyer as evidenced by their signatures below and the offering party to this document receives notice of such acceptance on or before March 26, 2010 at 5:00 PM.
