AMENDMENT NO. 21 TO AMENDED AND RESTATED AGREEMENT AND DECLARATION OF TRUST OF AMERICAN CENTURY INVESTMENT TRUST
AMENDMENT NO. 21 TO
THIS AMENDMENT NO. 21 TO AMENDED AND RESTATED AGREEMENT AND DECLARATION OF TRUST is hereby adopted as of the 14th day of June, 2017, by the undersigned Trustees.
WHEREAS, the Board of Trustees have determined that it is in the best interests of American Century Investment Trust (the “Trust”) to change the name of the Institutional Class of shares to the G Class of shares for the NT Diversified Bond Fund and NT High Income Fund (“Newly Designated G Class”);
WHEREAS, the Board of Trustees desire that the unified management fee rate of the Newly Designated G Class for the NT Diversified Bond Fund and NT High Income Fund will be equal to the rate of the R6 Class (“Management Fee Reduction”);
WHEREAS, the Board of Trustees have determined that it is in the best interests of the Trust to eliminate the R6 Class of shares for the NT Diversified Bond Fund and NT High Income Fund (“R6 Class Elimination”); and
WHEREAS, pursuant to Article VIII, Section 8 of the Declaration of Trust, the Trustees wish to amend the Declaration of Trust to reflect these changes.
NOW, THEREFORE, BE IT RESOLVED, that the Newly Designated G Class, Management Fee Reduction, and R6 Class Elimination for the NT Diversified Bond Fund and NT High Income Fund are hereby approved, effective as of July 31, 2017; and
FURTHER RESOLVED, that Schedule A of the Amended and Restated Agreement and Declaration of Trust for the Trust is hereby amended to reflect the Newly Designated G Class, Management Fee Reduction, and R6 Class Elimination for the NT Diversified Bond Fund and NT High Income Fund by deleting the text thereof in its entirety and inserting in lieu therefore the Schedule A attached hereto.
This Amendment may be executed in counterparts, each of which shall be deemed an original, but all of which shall constitute one and the same instrument.
