TERMINATION OF MANAGEMENT SERVICES AGREEMENT

Pursuant to that certain Management Services Agreement dated
1 December 1999 by and between Xxxxxxx Xxx and Encore Ventures,
Inc., the parties mutually agree to hereby terminate said
agreement effective immediately.
