                      JOINDER TO THE JOINT FILING AGREEMENT

         In accordance  with Rule 13d-1(k) under the Securities  Exchange Act of
1934, as amended,  the  undersigned  hereby agrees to be added as a party to the
Joint Filing Agreement, dated as of July 20, 1999, by and among Xxx Enterprises,
Inc., Xxx Interactive Media, Inc., Xxxxxxx Xxx Xxxxxxx and Xxxx Xxx Xxxxxxxx for
the  joint  filing  on behalf of each of them of a  statement  on  Schedule  13G
