JOINT FILING AGREEMENT
Agreement, dated as of June 3, 1999, will confirm the agreement by and
between the undersigned that the Schedule 13D filed on or about this date with
respect to the beneficial ownership of the undersigned of the Common Shares,
$0.01 par value, of Republic First Bancorp, Inc. is being filed on behalf of
each of the persons named below. This agreement may be executed in one or more
counterparts, each of which shall be deemed an original, but all of which when
taken together shall constitute one and the same instrument.
