FORM OF
AMENDMENT TO PARTICIPATION AGREEMENT
This Amendment (the “Amendment”) to the Participation Agreement dated June 1, 1998, as amended (the “Agreement”) among X. Xxxx Price
Equity Series, Inc. (the “Fund(s)”), X. Xxxx Price Investment Services, Inc. (the “Underwriter”), and C.M. Life Insurance Company (the “Company”), is effective as of December __, 2021.
WHEREAS, Fund, Underwriter and Company wish to amend the Agreement in the manner set forth herein;
NOW, THEREFORE, the parties hereby amend the agreement as follows:

X. Xxxx Price Fixed Income Series, Inc. is hereby added as a party to the Agreement and all reference to “Funds” shall refer to both X. Xxxx Price Equity Series, Inc.
and X. Xxxx Price Fixed Income Series, Inc., as appropriate.

Schedule A of the Agreement is hereby amended and restated in the form attached hereto.
|
| 3. |
All other terms of the Agreement shall remain in full force and effect.
|
| 4. |
This Amendment may be signed in any number of counterparts, including facsimile copies thereof or electronic scan copies thereof delivered by electronic mail, each of
which shall be deemed an original, with the same effect as if the signatures thereto and hereto were upon the same instrument.
