THIS AMENDED AND RESTATED COMMON STOCK AND WARRANT PURCHASE AGREEMENT (this "Agreement"), first dated 16th day of June, 2006, as amended and restated on October 25, 2006, is by and among ADS Media Group, Inc., a Utah corporation (the "Company"), Xxxxx X. "Dub" Xxxxx and Xxxxx X. "Xxx" Xxxxxx (each, a "Principal Shareholder" and collectively, the "ADS Principal Shareholders"), Roaring Fork Capital SBIC, L.P., a Delaware limited partnership ("Roaring Fork"), and Charter ADS Media, L.P. ("Charter"), a Texas limited partnership (each individually a "Purchaser" and collectively, the "Purchasers"). A. Roaring Fork entered into this Agreement on June 16, 2006, and closing for its investment pursuant to the Agreement occurred on June 20, 2006. Roaring Fork purchased 15,702,652 shares of Common Stock and Warrants to purchase an additional 3,140,531 shares of Common Stock, for consideration of $2,000,000. |

B. Charter has agreed to purchase all of the 15,702,652 shares of Common Stock and Warrants to purchase an additional 3,140,531 shares of Common Stock that remain unsold pursuant to this Agreement after closing of the Roaring Fork investment, for consideration of $2,000,000. |

C. The parties have agreed to amend and restate the Agreement as provided herein in order to authorize and facilitate the remaining $2,000,000 investment, provide additional terms related to the Charter investment, update deadlines for the occurrence of certain events, and make minor corrections. |

Β Β Β Β Β "Affiliate" shall mean with respect to any Person, any other Person that is directly or indirectly controlling, controlled by or under common control with such Person or entity or any of its Subsidiaries, and the term "control" (including the terms "controlled by" and "under common control with") shall mean having, directly or indirectly, the power to direct or cause the direction of the management and policies of a Person, whether through ownership of voting securities or by contract or otherwise. The Principal Shareholders and their Affiliates shall be deemed Affiliates of the Company for purposes of this Agreement. Without limiting the foregoing, (i) the ownership of ten percent (10%) or more of the voting securities of a Person shall be deemed to constitute control and notwithstanding anything to the contrary herein, and (ii) neither the Purchasers nor any of their respective Affiliates shall be deemed to be Affiliates of the Company by virtue of the transactions contemplated in this Agreement. |

ISSUE AND SALE OF COMMON STOCK AND WARRANTS |

Β Β Β Β Β 2.1Β Β Authorization and Issuance of the Common Stock and Warrants. The Company has duly authorized an offering of its securities (the "Offering") of up to 31,405,304 shares of Common Stock and Warrants to purchase up to 6,281,062 shares of Common Stock exercisable at $.16 per share (the "Warrants"), to be substantially in the form of the Warrant attached hereto as Exhibit A for a purchase price of $4,000,000 if the maximum amount is sold. This Agreement was originally entered into on June 16, 2006, for the purpose of Roaring Fork subscribing in the Offering through the Roaring Fork Closing Date in an aggregate amount of $2,000,000 for 15,702,652 shares of common stock and Warrants to purchase an additional 3,140,531 shares at $.16 per share. Subject to the terms and conditions of this Agreement, Charter ADS Media, L.P. ("Charter"), will purchase for $2,000,000 the remaining unsubscribed portion of the offering (comprising 15,702,652 shares of common stock and Warrants to purchase an additional 3,140,531 shares at $.16 per share). It is expressly understood and agreed that Charter's investment made pursuant to this Section 2.1 shall not give rise to any "Right of First Offer" granted to Roaring Fork or any other Purchaser in Section 6.3 of the Agreement. In no event will the aggregate gross proceeds from this Offering exceed $4,000,000 or continue beyond the Final Investment Date, unless the consent of the Purchasers is obtained. |

Subject to the terms and conditions and in reliance upon the representations, warranties and agreements set forth herein, the Company shall (1) sell to Roaring Fork for $2,000,000 invested in the Company, and Roaring Fork shall purchase from the Company, 15,702,652 shares of Common Stock for $1,998,000, and Warrants to purchase up to 1,570,265 shares of Common Stock exercisable at $.16 per share for $2,000, and (2) sell to Charter for $2,000,000 invested in the Company, and Charter shall purchase from the Company, 15,702,652 shares of Common Stock for $1,998,000, and Warrants to purchase up to 1,570,265 shares of Common Stock exercisable at $.16 per share for $2,000. |
Β Β Β Β Β 2.3Β Β The Closing. Delivery of and payment for the Shares of Common Stock and Warrants sold to Roaring Fork was initially made on June 20, 2006. Delivery of and payment for the Shares of Common Stock and Warrants to be sold to additional investors will be made on one or more Subsequent Closing Dates at such place and date as may be mutually agreeable to the Company and each Purchaser, but no later than the Final Investment Date. Delivery of the Common Stock and Warrants shall be made to each Purchaser against payment of the Investment Amount therefor, by check or by wire transfer of immediately available funds in the manner agreed to by the Company and each Purchaser. Schedule 4.1(r) attached hereto contains a complete and accurate list of all outstanding options, licenses, or agreements of any kind relating to the Intellectual Property owned by the Company ("Out-Licenses"), and any options, licenses or agreements of any kind with respect to the Intellectual Property of any other Person that the Company is bound by or a party to, excluding standard, off-the-shelf commercial software licensing agreements ("In-Licenses"). None of the Intellectual Property used in or necessary for the Company's business as now conducted conflicts with or infringes, nor has the Company received any written or oral communications alleging that the Company has violated or, by conducting its business, would violate, any Intellectual Property of any other Person. The transactions contemplated under this Agreement will not alter, impair or otherwise affect any rights of the Company in the Intellectual Property. The Company has taken commercially reasonable measures to protect the proprietary nature of the Intellectual Property and to maintain in confidence all trade secrets and confidential information owned or used by the Company. |

This Agreement is made with each Purchaser in reliance upon each Purchaser's representation to the Company that the Common Stock and the Warrants will be acquired for investment for the Purchaser's own account, not as a nominee or agent, and not with any agreement for the resale or distribution of any part thereof. Subject to the immediate preceding sentence, nothing contained herein shall be deemed a representation or warranty by the Purchaser to hold any of the securities for any period of time. |

The Purchaser has had the opportunity to ask questions of, and receive answers from officers and directors of the Company, to review the SEC Reports, and to obtain additional information regarding the Company and this Offering. The designee will receive notice of each meeting of the Board and each committee of the Board in accordance with the Bylaws of the Company and Utah law. Any such designee will receive reimbursement for all reasonable costs and expenses incurred in attending meetings of the Board and any committee of the Board held outside the Denver, Colorado metropolitan area. Moreover, to the extent permitted by law, each designee shall be indemnified for the actions of such designee as an observer to the Board and in the event the Company maintains a liability insurance policy affording coverage for the acts of its officers and directors, to the extent permitted under such policy, the Purchaser and its designee shall be an insured under such policy. The Company may exclude any observer from attending portions of meetings where, in the opinion of counsel, the observer's presence would destroy the attorney-client privilege. |

Within the time period stated in subsection 6.2(d), the Board will be reconstituted and expanded to five members, which will include three individuals reasonably acceptable to Roaring Fork and Charter, including two directors who are not currently members of the Board. At least one of the current outside directors will continue to serve on the Board until replaced. The three "outside" directors must qualify as "independent" pursuant to standards of The NASDAQ Stock Market, Inc. ("NASDAQ"). |
Β Β Β Β Β Β Β Β Β Β (d)Β Β Charter's Right to Designate Board Member. Charter may, within four (4) months after the Charter Closing, designate one person to serve on the Company's Board of Directors. If Charter designates a person to serve as a Director under this subsection (c), then for so long as Charter owns Registrable Securities equal to at least ten percent (10%) of the Fully Diluted Common Stock, Charter shall continue to have the right to designate one member to serve on the Board of Directors. The designee must be reasonably acceptable to the Directors of the Company . The designee shall be appointed to a sixth seat on the board, in addition to the five members of the board described in subsection 6.2(b) above. The Directors of the Company agree to vote in favor of expanding the board to six members and electing Charter's designee to the Board (provided such designee is acceptable to the directors). The Directors have signed an Addendum to this Agreement agreeing to vote to effect the provisions of this subsection 6.2(c). |
Β Β Β Β Β Β Β Β Β Β (d)Β Β Authorization and Holding Meeting of Shareholders. Cause its Board to authorize, and the Company hold, a shareholder meeting, as promptly as possible (but in no event later than December 29, 2006) to: (i) elect three new independent directors as provided in Section 6.2(b); (i) effect a reverse stock split of the common stock at a ratio of between 1-for-5 and 1-for-10 shares of outstanding common stock (the exact ratio of which reverse split shall be determined by the Board) as provided in Section 3.1; and (iii) adopt a new employee stock option plan. The Company shall file its preliminary proxy statement with the SEC and schedule a shareholders' meeting with respect to the matters listed in the preceding sentence as soon as possible, but in no event later than October 30, 2006. Notwithstanding the foregoing, if a proxy statement for the shareholders' meeting contemplated by this Section has been filed, the SEC has determined to review the proxy statement and the Company is making bona fide, good faith efforts to respond to SEC comments, on the proxy statement, the deadline for holding the shareholders' meeting shall be extended to January 31, 2007. |

Subject to the terms and conditions specified in this Section 6.3, the Company hereby grants to each Purchaser with an Investment Amount of $1,000,000 or more a right of first offer to purchase its Pro Rata Share (as hereinafter defined) (in whole or in part) with respect to future sales by the Company of its Shares (as hereinafter defined) made on or before November 30, 2008. REGISTRATION RIGHTS |
Β Β Β Β Β 7.1Β Β Mandatory Registration. The Company shall prepare and file a registration statement with the SEC on or before January 31, 2007 (the "Filing Date"), covering the resale of all of the Registrable Securities. The Company shall use its best efforts to obtain effectiveness of the registration statement as soon as practicable. If the registration statement is not filed by the Filing Date or the registration statement is not declared effective by the SEC on or before July 31, 2007, or after the registration statement has been declared effective, sales of all of the Registrable Securities cannot be made pursuant to the registration statement ( any such failure or breach being referred to as an "Event," and the date on which such Event occurs being referred to as the "Event Date"), then in addition to any other rights the Purchaser may have hereunder or under applicable law, the Company will make a payment to the Purchaser as liquidated damages and not as a penalty, (a) an amount equal to 2% of the Investment Amount paid by the Purchaser for the shares of Common Stock that are still owned by the Purchaser on the Event Date; and (b) on each monthly anniversary of each such Event Date (if the applicable Event shall not have been cured by such date) until the applicable Event is cured, the Company shall pay to the Purchaser an amount equal to 2% of the Investment Amount paid by the Purchaser for the shares of Common Stock that are still owned by the Purchaser on each such monthly anniversary of the Event Date. If the Company fails to pay any liquidated damages pursuant to this Section 7.1 in full within five business days after the end of the month of the date payable, the Company will pay interest at the rate of 10% per annum to the Holder. At the option of the Company, any amounts payable to the Purchaser pursuant to this Section 7.1 may be paid in cash or in shares of the Common Stock. If paid in Common Stock , the shares shall be valued at the average of the closing prices of the Common Stock for the ten Trading Days prior to (but not including) the date such liquidated damages are due. The liquidated damages shall apply on a pro-rata basis for any portion of a month prior to the cure of an Event, except in the case of the first Event Date. Notwithstanding the foregoing, in no event shall the payments to which a Purchaser is entitled pursuant to this Section 7.1 exceed 20% of the Investment Amount paid by such Purchaser |

Β Β Β Β Β Β Β Β Β Β (c)Β Β Any Person entitled to indemnification hereunder will (i) give prompt written notice to the indemnifying party of any claim with respect to which it seeks indemnification and (ii) unless in such indemnified party's reasonable judgment a conflict of interest between such indemnified and indemnifying parties may exist with respect to such claim, permit such indemnifying party to assume the defense of such claim with counsel reasonably satisfactory to the indemnified party. If such defense is assumed, the indemnifying party will not be subject to any liability for any settlement made by the indemnified party without its consent (but such consent will not be unreasonably withheld). An indemnifying party who is not entitled to, or elects not to, assume the defense of a claim will not be obligated to pay the fees and expenses of more than one counsel for all parties indemnified by such indemnifying party with respect to such claim, unless in the reasonable judgment of any indemnified party a conflict of interest may exist between such indemnified party and any other of such indemnified parties with respect to such claim. |

Β Β Β Β Β Β Β Β Β Β (d)Β Β The indemnification provided for under this Agreement will remain in full force and effect regardless of any investigation made by or on behalf of the indemnified party or any officer, director or controlling Person of such indemnified party and will survive the transfer of securities. The Company also agrees to make such provisions, as are reasonably requested by any indemnified party, for contribution to such party in the event the Company's indemnification is unavailable for any reason. |
Β Β Β Β Β 7.8Β Β Participation in Underwritten Registrations. No Person may participate in any registration hereunder which is underwritten unless such Person (a) agrees to sell such Person's securities on the basis provided in any underwriting arrangements approved by the Person or Persons entitled hereunder to approve such arrangements and (b) completes and executes all questionnaires, powers of attorney, indemnities, underwriting agreements and other documents required under the terms of such underwriting arrangements; provided that no holder of Registrable Securities included in any underwritten registration shall be required to make any representations or warranties to the Company or the underwriters other than representations and warranties regarding such holder and such holder's intended method of distribution. |
Β Β Β Β Β 7.9Β Β Termination of Registration Rights. All registration rights granted under this Article 7 will expire if the Company is subject to the provisions of the Securities Exchange Act and all of the holder's Registrable Securities may be sold under SEC Rule 144 during any ninety-day period. |

MISCELLANEOUS |
Β Β Β Β Β 8.1Β Β Successors and Assigns. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns, except that (a)Β the Company may not assign or transfer its rights hereunder or any interest herein or delegate its duties hereunder. |
Β Β Β Β Β 8.2Β Β Modifications and Amendments. The provisions of this Agreement may be modified, waived or amended, but only by a written instrument signed by the Company and the Purchaser. |
Β Β Β Β Β 8.3Β Β No Implied Waivers; Cumulative Remedies; Writing Required. No delay or failure in exercising any right, power or remedy hereunder shall affect or operate as a waiver thereof; nor shall any single or partial exercise thereof or any abandonment or discontinuance of steps to enforce such a right, power or remedy preclude any further exercise thereof or of any other right, power or remedy. The rights and remedies hereunder are cumulative and not exclusive of any rights or remedies that the Purchaser or any holder of Warrants or Underlying Common Stock would otherwise have. Any waiver, permit, consent or approval of any kind or character of any breach or default under this Agreement or any such waiver of any provision or condition of this Agreement must be in writing, and shall be effective only to the extent in such writing specifically set forth. |
Β Β Β Β Β 8.4Β Β Fees and Expenses. The Company has paid $25,000 to Roaring Fork as partial reimbursement of such Roaring Fork's legal fees in connection with the preparation of the Purchase Documents and other expenses. The Company agrees to also reimburse Roaring Fork for its reasonable legal fees in connection with review of this Amended and Restated Agreement. The Company agrees to reimburse Charter for its actual legal fees and expenses reasonably incurred in connection with review the preparation and review of the Purchase Documents with respect to Charter's investment, up to $25,000. It is understood that counsel for each Purchaser has only rendered legal advice to such Purchaser, and not to the Company or any other Purchaser in connection with the transactions contemplated hereby, and that each of the Company and each Purchaser has relied for such matters on the advice of its own respective counsel. Except as specified in the immediately preceding sentence, each party shall pay the fees and expenses of its advisers, counsel, accountants and other experts, if any, and all other expenses incurred by such party incident to the negotiation, preparation, execution, delivery and performance of the Purchase Documents. |
Β Β Β Β Β 8.5Β Β Reimbursement of Expenses-Enforcement and Collection. The Company upon demand shall pay or reimburse the Purchaser for all fees and expenses incurred or payable by the Purchaser (including, without limitation, reasonable fees and expenses of counsel for the Purchaser), from time to timeΒ arising in connection with the enforcement of this Agreement. |

All notices and other communications given to or made upon any party hereto in connection with this Agreement shall, except as otherwise expressly herein provided, be in writing (including telecopy, but in such case, a confirming copy will be sent by another permitted means) and mailed via certified mail, telecopied or delivered by guaranteed overnight parcel express service or courier to the respective parties, as follows: |

Β Β Β Β Β 8.7Β Β Survival. All representations, warranties, covenants and agreements of the Company contained herein or made in writing in connection herewith shall survive the execution and delivery of this Agreement, the Closing and the purchase and delivery of the Common Stock and Warrants. |
Β Β Β Β Β 8.8Β Β Governing Law; Consent to Jurisdiction. This Agreement shall be governed by, and construed in accordance with, the laws of the State of Texas, without regard to conflict of laws principles. Each of the parties hereto irrevocably submits to the exclusive jurisdiction of the courts of the State of Texas, County of Bexar, and the United States District Court for the Western District of Texas. for the purpose of any suit, action, proceeding or judgment relating or arising out of this Agreement and the transactions contemplated hereby. Service of process in connection with any such suit, action or proceeding may be served on each party hereto by the same methods as are specified for the giving of notices under this Agreement. Each of the parties hereto irrevocably consents to the jurisdiction of any such court in any such suit, action or proceeding and the laying of venue in such court. Each party hereto irrevocably waives any objection to the laying of venue of any such suit, action or proceeding brought in such courts and irrevocably waives any claim that any such suit, action or proceeding brought in any such court has been brought in an inconvenient forum. |
Β Β Β Β Β 8.9Β Β Jury Trial Waiver. THE COMPANY AND THE PURCHASER HEREBY IRREVOCABLY WAIVE ANY RIGHT TO TRIAL BY JURY IN ANY ACTION OR PROCEEDING (I) TO ENFORCE OR DEFEND ANY RIGHTS UNDER OR IN CONNECTION WITH THIS AGREEMENT, OR (II) ARISING FROM ANY DISPUTE OR CONTROVERSY IN CONNECTION WITH OR RELATED TO THIS AGREEMENT AND AGREES THAT ANY SUCH ACTION OR COUNTERCLAIM SHALL BE TRIED BEFORE A COURT AND NOT BEFORE A JURY. |
Β Β Β Β Β 8.10Β Β Remedies. In addition to being entitled to exercise all rights provided herein or granted by law, including recovery of damages, the Purchaser will be entitled to specific performance under the Purchase Documents. The parties agree that monetary damages may not be adequate compensation for any loss incurred by reason of any breach of obligations described in the foregoing sentence and hereby agrees to waive in any action for specific performance of any such obligation the defense that a remedy at law would be adequate. |
Β Β Β Β Β 8.11Β Β Limitation of Liability. Notwithstanding anything herein to the contrary, the Company acknowledges and agrees that the liability of the Purchaser arising directly or indirectly, under any Transaction Document of any and every nature whatsoever shall be satisfied solely out of the assets of such Purchaser, and that no trustee, officer, other investment vehicle or any other Affiliate of such Purchaser or any investor, partner, shareholder or holder of shares of beneficial interest of such Purchaser shall be personally liable for any liabilities of such Purchaser. |
Β Β Β Β Β 8.12Β Β Severability. Whenever possible, each provision of this Agreement shall be interpreted in such manner as to be effective and valid under applicable law, but if any provision of this Agreement is held to be prohibited by or invalid under applicable law in any jurisdiction, such provision shall be ineffective only to the extent of such prohibition or invalidity, without invalidating any other provision of this Agreement. |
Β Β Β Β Β 8.13Β Β Headings. Article, section and subsection headings in this Agreement are included for convenience of reference only and shall not constitute a part of this Agreement for any other purpose. |
Β Β Β Β Β 8.14Β Β Counterparts. This Agreement may be executed in any number of counterparts and by any party hereto on separate counterparts, each of which, when so executed and delivered, shall be an original, but all such counterparts shall together constitute one and the same instrument. |
Β Β Β Β Β 8.15Β Β Integration. This Agreement and the other Purchase Documents set forth the entire understanding of the parties hereto with respect to all matters contemplated hereby and supersede all previous agreements and understandings among them concerning such matters. No statements or agreements, oral or written, made prior to or at the signing hereof, shall vary, waive or modify the written terms hereof. |
Β Β Β Β Β 8.16Β Β Independent Nature of Purchaser Obligations and Rights. Each Purchaser acknowledges that it has sole responsibility for its own due diligence investigation and its own investment decision and that in connection with its investigation and its investment decision (i) such Purchaser has not relied on any representation by or on behalf of the Company not set forth in the SEC Reports or in this Agreement, and (ii) such Purchaser has not relied on the fact that any other Person has decided to invest in the Offering. |
