THIS PROFESSIONAL SERVICES AGREEMENT (“Agreement”), made effective as of the date signed by the Weber County Commission Chair , is entered into by and between Weber County (“Client”), with principal place of business at 2380 Washington Blvd # 320, Ogden, UT 84401, and Innovative Emergency Management, Inc. (“IEM”), a corporation organized and existing under the laws of the State of Louisiana, with its principal place of business at 2801 Slater Road, Suite 200, Morrisville, North Carolina, 27560-8477. The Client and IEM are hereinafter referred to individually as a “Party” and collectively as the “Parties.”
