WHEREAS, pursuant to that certain Membership Interest Purchase Agreement dated as of December 13, 2018 by and among Licensee and the other parties thereto (as the same now exists or may hereafter be amended, modified, supplemented, renewed, restated or replaced, the “HOR Purchase Agreement”), the Parties have entered into that certain Amended and Restated Intellectual Property License, dated December 13, 2018 (as the same now exists or may hereafter be amended, modified, supplemented, renewed, restated, or replaced, the “License Agreement”);
