Healthcare Fund II SCSp (the “Partnership”) formed under the laws of the Grand Duchy of Luxembourg and, in particular, in accordance with the Companies Law, dated 30 June 2022, by and among Kieger Capital Partners SARL, a Luxembourg private limited company (société à responsabilité limitée) formed under the laws of the Grand Duchy of Luxembourg, as managing general partner (the “General Partner”), and all Persons hereafter admitted as limited partners of the Partnership in accordance with this Agreement (the “Limited Partners”) and whose names appear on the Register (as defined in Section 3.1). The General Partner and the Limited Partners are sometimes collectively referred to herein as the “Partners”.
