The Build-Operate Transfer Agreement is a form of engagement so that it is also bound to book III of the Civil Code concerning engagements, BOT arises due to limited Government budget so that it gives to other parties in this case the private use of land for development is used and operated and then handed over at the end of the period. The BOT agreement has an agreement duration of tens of years so that with the length of time there is a risk of causing problems in the implementation of the agreement because the initial and final conditions of the agreement are very different and lead to a default which leads to a lawsuit in court. This article is to find out what causes a default and what legal protections can be taken by landowners and investors from problem studies taken by researchers. The research method that will be used is normative juridical with descriptive analytical specifications. The results of this research agreement are BOT Agreements and the protection against default
