This Dealer Participation Agreement (“Agreement”) (together with the Exhibits hereto, the “Agreement”) is made and entered into on the date Dealer electronically accepts this Agreement through TMS/USA’s designated enrollment system which shall be determinative (the “Effective Date”), by and between Dealer and Toyota Motor Sales, U.S.A., Inc. (“TMS/USA”), a California corporation, in connection with the Program (as defined below). TMS/USA and Dealer are also sometimes referred to herein individually, as a “Party” or, collectively, as the “Parties”.
