INSTRUCTIONS (this “Agreement”) is entered into as of July , 2017 (the “Effective Date”), by and between the City of Walnut Creek, a California municipal corporation, which acquired title to portions of the Property (as defined herein) as “City of Walnut Creek, a municipal corporation” (“Seller”) and Tharaldson Hospitality Development, LLC, a Nevada limited liability company (“Buyer”). Seller and Buyer are each referred to as a “Party” and collectively referred to herein as the “Parties.”
