This Amendment No. 2 to Distribution License Agreement (this “Amendment”), dated as of April 22, 2014 (the “Amendment Date”), amends the Distribution License Agreement by and between Sony Pictures Home Entertainment Inc. (“SPHE”) and Anchor Bay Entertainment, LLC (“Licensee”) dated as of March 19, 2009 (as amended, restated, supplemented or otherwise modified from time to time, the “Agreement”). Capitalized terms that are not defined herein shall have the meaning assigned to them in the Agreement. All paragraphs and schedules referenced herein are to the Agreement unless stated otherwise.
