This Settlement Agreement (the “Agreement”) is made by, between, and among the Township of West Orange (the “Township”), Mayor Robert D. Parisi (the “Mayor”), and John O. Gross (the “CFO”, and collectively with the Township and the Mayor, the “Township Defendants”) on the one hand, and Prism Green Associates IV, LLC (“Prism”) on the other hand (hereinafter, the Township, Mayor, CFO, and Prism may be referred to individually as a “Party”, and sometimes collectively be referred to as the “Parties”).
